At the COMMISSION ' request of the Arcadia Beautiful Committee this Department James Bishop has restored the fountain to an operable condition and Arturo Chayra formulated the terms of an agreement whereby the City would provide day-to-day maintenance and the County would be GloriaHeer responsible for repairs to the fountain. The attached George Ray agreement would be for a term of three (3) years from the Douglas Washington date of approval by your Board. It has been approved as to form by County Counsel and the City Attorney. The Arcadia City Council will approve the agreement at its evening meeting FISH AND GAME of Tuesday, May 19, 1987. MILLER, CITY ATTORNEY )71 041 . SUBJECT: ARCADIA COUNTY PARK MAINTENANCE AGREEMENT Per Council direction, the attached agreement was finalized after discussion with the County. The County Board of Supervisors will be approving the agreement on Tuesday, May 19, 1987 . With the exception of warranty parts, the City will maintain the fountain for at least three ( 3) years with automatic renewal thereafter subject to termination by either party upon sixty ( 60 ) days written notice. OF �UF-W 1 ORS' COPY • Vt .••0 - giq MAINTENANCE AGREEMENT (Arcadia County Park Fountain) This Agreement is by and between the City of Arcadia, a municipal corporation, hereinafter referred to as "City" and the County of Los Angeles, hereinafter referred to as "County" . WHEREAS, the County of Los Angeles has agreed to restore the fountain which now exists in the Arcadia County Park at Huntington Drive and Santa Anita Avenue as set forth in the attached Exhibit "A" incorporated as part of this Agreement ; and WHEREAS, the County ' s restoration will result in an operating fountain; and WHEREAS, the operating fountain will eliminate a dormant condition which now exists at said County Park; and WHEREAS, said fountain will enhance the appearance of the City in subject area; and WHEREAS, the reestablishment of this fountain is consistent with the City ' s on-going program to beautify the downtown area. NOW, THEREFORE THE CITY AND THE COUNTY AGREE AS FOLLOWS: 1 . COUNTY RESPONSIBILITY. (a) County shall restore the fountain and fountain area as designated in the attached Exhibit "A" incorporated as part of this Agreement . Said restoration shall result in a fully operational fountain. (b) County shall permit and allow the City or the City' s designated agents full access to the fountain at all times for purposes of this Agreement . ro o 2. CITY RESPONSIBILITY. Upon receipt of written notice from the County that the fountain is completely restored and in good working order, and affirmation of this by the City Public Works Director, the City shall assume maintenance responsibility for subject fountain. Maintenance shall include responsibility to assure continued operation of the fountain, the fountain lights and cleanliness of the water therein . Maintenance shall not include responsibility for the surface area of the fountain structure. Malfunctioning, deteriorated or damaged parts subject to warranty will be repaired or replaced by County. 3 . HOLD HARMLESS. The County will assume liability and defend and hold the City harmless from loss, costs or expenses caused by the negligent or wrongful act or omission of County officers, agents and employees occurring in the performance of this Agreement . The City will assume liability and defend and hold the County harmless from loss, costs or expenses caused by the negligent or wrongful act or omission of City officers, agents and employees occurring in the performance of this Agreement . 4 . TERM: The Agreement shall remain in effect for three (3 ) years from the date noted on the Agreement and thereafter shall continue, unless terminated by either party subject to sixty (60) days written notice . -2- • • • . . .
