FREE 8 , THIS AGREEMENT, made and entered into this I ( AAay of ?_� 5- 19 9C7 , by and between City of Arcadia, a body corporate and politic hereinafter referred to as 'Owner,' and COUNTY SANITATION DISTRICT NO. 15 OF LOS ANGELES COUNTY, a body corporate and politic, hereinafter referred to as "District" WITNESSETH WHEREAS, fee title is vested in Owner to the following described real property in the City of Arcadia, County of Los Angeles, State of California: A portion of Lot 3 of Tract No. 2409 as shown on map filed in Book 23, page 23 of maps, in the office of the Recorder of the County of Los Angeles, and WHEREAS, District has been granted a permit by Los Angeles County dated December 1,5, 1942, for the construction of a 21-inch pipe line for sanitary sewer purposes, and WHEREAS, Owner desires to construct a covered building entrance for a senior citizens center, hereinafter referred to as "Improvement", in or on the real property described in said permit, and WHEREAS, construction of Improvement could endanger the District sewer which lies within the permit referred to above unless construction is carried out in strict conformance with the provisions of this Agreement, and WHEREAS, District is willing to permit construction of improvement in or on the real property described in said permit upon execution of this Agreement by Owner. NOW, THEREFORE, the parties hereto, for and in consideration of the mutual covenants and conditions hereinafter contained and the performance thereof, do agree as follows: RECORDED IN RECORDS RECORDEROFFIS OFFICE CIAL LOS�A TM LIFORNIAUN Santa Anita Outfall Trunk Sewer MIN 9 A.M.JUN 4 (Upper Section) 31 PAST. �1 1. District grants permission to Owner to construct, operate, and maintain Improvement in or on the aforesaid permit provided that detailed plans of Improvement are first prepared by Owner and approved by the Chief Engineer of District, and that Improvement is constructed in accordance with the approved plans therefore. 2. District makes no representation concerning the nature, type, condition or degree of compaction of the backfill. In the event the backfill within the permit is unstable or unusable for Owner's proposed use, or if Owner for any reason removes or treats the backfill or any part thereof, the total expense therefore shall be borne by Owner. 3. Owner shall indemnify and hold harmless District, its officers, agents, and employees, from and against all cost, liability, loss, or damage or expenditure of whatsoever kind and nature sustained or incurred by District by reason of the exercise of the rights provided for by this Agreement, including but not limited to the expense of the defense of any action instituted to recover damages, losses or expenses. 4. Owner hereby waives any right to make or prosecute any claims, or demands or actions against District, or any of its officers, employees, or agents for any injury to or death of any person or damage to property that may arise out of the exercise of the rights provided by this Agreement, including but not limited to damages to or destruction of Improvement. 5. Owner hereby grants to District, its agents, representatives, officers and employees right of ingress and egress to said permit including the portion occupied by Improvement authorized hereunder, for the purpose of operation, maintenance, repair, reconstruction or removal of District's facilities or other lawful acts in or to said permit. 6. The permission granted hereunder shall not relieve Owner or Owner's heirs, successors in interest or assigns from liability for assessments for city or county improvements at, in, on or about said permit. 7. Owner shall provide continuous access to District's sewer manhole located within said real property suitable. The proper operation and maintenance of the sewer. 8. The parties hereto hereby agree that both the benefits and the burdens created by this Agreement touch and concern the land described in District's permit, that this Agreement shall be and 2 90- 996071 *Iwo •fts04 constitute a covenant running with said land and shall be binding upon Owner's heirs, executors, administrators, successors in interest and assigns as their interest may appear, and that this Agreement shall be recorded by District.
