The CITY OF TEMPLE CITY, a Municipal Corporation, hereinafter referred to
as Temple City, and the CITY OF ARCADIA, a Municipal Corporation, hereinafter
referred to as Arcadia do enter into the following agreement:
WHEREAS, said cities desire to provide for the maintenance of certain traffic
signal and highway safety lighting installations at locations which are partially
under jurisdiction both of the parties hereto, and to arrange herein for the
particular maintenance functions to be performed and to specify the cost of such
maintenance;
• NOW THEREFORE, it is mutually agreed as follows:
1. TEMPLE CITY will perform routine traffic signal and highway safety
lighting maintenance, hereinafter referred to as "routine maintenance", and extra-
ordinary traffic signal and highway safety lighting maintenance, hereinafter
referred to as "extraordinary maintenance", at Baldwin and Live Oak Avenues,
and ARCADIA shall perform such services at Santa Anita and Live Oak Avenues.
For each highway intersection, the parties hereto shall share the expense of
such services in the same proportion that the number of approaches or percentages
of approaches under their respective jurisdiction bears to the total number of
approaches entering said intersection. Said percentages are deemed to be as
follows:
1. At Baldwin-Live Oak: Temple City 75%, Arcadia 25%
At Santa Anita-Live Oak: Arcadia 871/2%, Temple City 1211%
2. Routine maintenance shall include but will not be limited to patrolling
for traffic signal malfunctions and highway safety lighting outages; inspection,
testing, and timing of traffic signal controllers, and minor repairs necessary to
insure satisfactory traffic signal service; and minor touch-up painting.
3. Each party that provides routine maintenance shall establish a flat
monthly rate per intersection for trattic signs maintenance and a separate flat
monthly rate for each highway safety light maintained. These monthly rates shall
be the monthly cost of routine maintenance for all traffic signals and highway
safety lighting that each maintains and operates ac•_:ord.in.; to each City's contracted
costs. These monthly rates shall be used for bill g under Paragraph 7 hereof
and shall be revised and adjusted in accordance with the respective contract cost
revisions.
4. Extraordinary maintenance may include replacement or addition of major
traffic signal and highway safety lighting equipment due to obsolescence, wear or
inadequacy; repair due to damage from any cause, including vandalism; replacement
of non-repairable traffic signal components; repair or replacement of inductive
loop detectors and detector pads; extensive repainting; and relamping and replace-
ment of ballasts for highway safety lighting. Specific items in this category
will be limited to such items as are included in each city's maintenance contract
and will be paid for in accordance with provisions of said contract.
5. Extraordinary maintenance which exceeds $200 in cost (except that neces-
sary to maintain operation) shall be subject to the approval of ARCADIA'S
Director of Public Works when performed by TEMPLE CITY and subject to the approval
of TEMPLE CITY
of the City Manager'when performed by ARCADIA. All costs shall be assessed
directly against the installation involved.
6. Each City will provide for the furnishing of electrical energy at the
intersection that each City maintains.
7. Bills for all routine maintenance, extraordinary maintenance, and electrical
energy shall be rendered quarterly. All bills for extraordinary maintenance shall
include a copy of the contractor's itemized bill.
8. On bills for routine and extraordinary maintenance, current percentages
may be added to salaries and wages for overhead and to equipment costs for depre-
ciation of equipment if so provided for in either contract. These percentages,
if added, shall be shown as aparate items in the rates for routine maintenance and
on the bill for extraordinary maintenance.
9. Neither TEMPLE CITY nor any officer or employee of TEMPLE CITY shall be
responsible for any damage or liability occurring by reason of anything done or
omitted to be done by ARCADIA under or in connection with any work, authority or
jurisdiction delegated to ARCADIA under this Agreement. It is also understood
and agreed that, pursuant to Government Code Section 895.4, ARCADIA shall fully
indemnify, defend and hold TEMPLE CITY harmless from any liability imposed for
injury (as defined by Government Code Section 810.8) occurring by reason of
anything done or omitted to be done by ARCADIA under or in connection with any
work, authority or jurisdiction delegated to Arcadia under this Agreement.
10. Neither ARCADIA nor any officer or employee of ARCADIA shall be responsi-
ble for any damage or liability occurring by reason of anything done or omitted

to be done by TEMPLE CITY under or in connection with any work, authority or
jurisdiction delegated to Temple City under this Agreement. It is also understood
and agreed that, pursuant to Government Code Section 895.4, TEMPLE CITY shall fully
indemnify, defend and hold ARCADIA harmless from any liability imposed for injury
(as defined by Government Code Section 810.8) occurrring by reason of anything

done or omitted to be done by, under, or in connection with any work, authority or
jurisdiction delegated to TEMPLE CITY under this Agreement.
11. This Agreement shall supersede all prior ARCADIA-LOS ANGELES agreements
regarding the maintenance of traffic signals and highway safety lighting. at above
stated intersections.
12. This Agreement shall be affective as of September 1, 1976 and may be
terminated upon tMrty days' written notice by either party.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be
executed by their respective officers, duly authorized, for the CI OF TEMPLE fpy.
