AGREEMENT
MONTEBELLO 909
This Agreement is made and entered into this 23rd day of
November , 1987, by and between the CITY OF ARCADIA, a
municipal corporation, located in the County of Los Angeles,
organized and existing under the laws of the State of California,
and the CITY OF MONTEBELLO, a municipal corporation, located in
the County of Los Angeles, organized and existing under the laws
of the State of California.
W I T N E S S E T H:
The parties hereto do agree as follows :
1. Recitals. This Agreement is made and entered into with
respect to the following facts :
(a) That each of the parties hereto, desire to provide
for the temporary use of each others computer systems in the
event of temporary unavailability of that parties computer
system; and
(b) That each of the parties hereto, have determined
that the public interest , convenience and necessity require
execution of this Agreement .
2 . Use of Computer Systems . Each party hereto, agrees that
the other party shall be permitted to utilize the other parties
computer system, if there is a temporary unavailability due to
malfunction, maintenance or repair of the requesting parties
computer system. The parties agree that the availability of
their respective computer systems will be dependent on the data
being compatible with the computer proposed for such usage, and
the availability of that computer based upon that party' s usage

thereof. Where one party desires to utilize the computer system
of the other, the party requesting such usage will give written
and telephonic notice of such request which shall include the
nature of such request and the duration thereof. The party to
whom such request is addressed, shall permit such usage to the
extent that is possible, provided that, it does not seriously
dislocate its computer functions. Temporary unavailability as
set forth in this Agreement contemplates a short term emergency
type situation.
The host party (party allowing use of computer) will require
an employee to be at the sytem. The guest party (party using
City' s computer) will be responsible for the salary of the
employee at the rate applicable during the time the employee is
required to be present (two-hour minimum) . No other costs will
be charged to the guest party for air conditioning, electricity
or other overhead costs . The guest party will supply their own
magnetic tapes and be responsible for paper and special forms.
3 . This Agreement shall remain in effect unless terminated
pursuant to the following:
Notwithstanding any other provisions of this Agreement,
either party hereto, may terminate this Agreement upon thirty
(30) days written notice of such intent to terminate, given to
the other party. Upon such termination, or upon the expiration
of the term or terms hereof, each party shall return to the other
party materials stored pursuant to the provisions hereof .

4 . Liability. Arcadia will assume liability and defend and
hold Montebello harmless from loss, costs, or expenses caused by
the negligent or wrongful act or omission of Arcadia officers,
agents and employees occuring in the performance of this
Agreement . Montebello will assume liability and defend and hold
Arcadia harmless from loss, costs, or expenses caused by the
negligent or wrongful act or omission of Montebello officers,
agents and employees occuring in the performance of this
Agreement .
5. Notices . Notices pursuant to this Agreement shall be
given by personal service or by United States Mail, postage
prepaid, deposited in the custody of the United States Post
Office, addressed as follows :

SUBJECT: Computer Back-Up Facility Agreement
Attached to this memo is an agreement between the City of
Arcadia and the City of Montebello regarding use of their
computer in case the City of Arcadia is down for any
reason.
It is normal practice for a Data Processing facility to
have an agreement with another Data Processing facility for
back-up. This back-up, for example, could be used if our
computer is down and we have to meet a payroll. In this
case, we would take our computer tapes over to the other
facility, set all this information on the tape on the other
party' s computer and run our payroll checks at their
facility. This can be done for example, for accounts
payable checks or utility billing or any other reports that
have to be run if our computer is not functioning.
There is no additional cost for this agreement with the
City of Arcadia or the City of Montebello. It is a mutual
agreement for the benefit of both parties to run computer
applications incase of any emergencies on either party' s
computer.
This agreement has been reviewed by our City Attorney and
also the City Attorney for the City of Montebello and they
found no exception.
Request that this item be placed on the Council agenda for
Oct. 21, 1986.

SUBJECT: Agreement with City of Montebello for Reciprocal
Data Processing Support.
The City of Arcadia entered into an agreement with the City of
Montebello for reciprocal data processing support on October 29,
1986, with expiration occurring one year later on October 29,
1987. A letter was sent to the City Administrator of Montebello on
October 23, 1987, requesting that Montebello approve a revised
agreement maintaining the relationship as rapidly as possible as
time was of the essence.
The City of Montebello City Council approved the attached agreement
on November 23, 1987, and it is now being presented to you for review
and approval as well. Please note that this agreement has been
changed from the expired agreement such that, upon Manager/Council
approval, it will remain in effect until terminated by either party
upon 30 days written notice. This change will eliminate the need
each year to process through the system a new agreement saving both
cities significant staff time.
RECOMMENDATION: That the City Council authorize the City Manager to
enter into the attached agreement with the City of Montebello for
reciprocal data processing support. Please note that there will be
no cost to the City of Arcadia by entering into this agreement
other than should the need arise to use Montebello' s data processing
staff members duj ng a pe 'od of reciprocal support.

AGREEMENT

on and after the effective date hereof and shall be subject to renewal pursuant to
written agreement of the parties at least thirty (30) days prior to the termination
date.
Notwithstanding any other provisions of this Agreement, either party hereto,
may terminate this Agreement upon thirty (30) days written notice of such intent
to terminate, given to the other party. Upon such termination, or upon the
expiration of the term or terms hereof, each party shall return to the other party
materials stored pursuant to the provision hereof.
