MORHAR Road Commissioner HM:cic Attachment gi P "CITY ORIGINAL" *tool SI Id 21 f 1F.: AGREEMENT THIS AGREEMENT, made and entered into by the CITY OF ARCADIA, a municipal corporation in the County of Los Angeles, hereinafter referred to as "CITY", and the COUNTY OF LOS ANGELES, a political subdivision of the State of California, hereinafter referred to as "COUNTY": W I T N E S S E T H WHEREAS, Peck Road within CITY'S boundaries is on CITY'S Select System of Streets and on COUNTY'S Master Plan of Highways; and WHEREAS, CITY and COUNTY propose to upgrade and modify traffic signals on Peck Road wholly or partially within CITY'S boundaries, which work is hereinafter referred to as PROJECT; and WHEREAS, PROJECT is in the general interest of CITY and COUNTY; and WHEREAS, CITY and COUNTY are willing to share in PROJECT COSTS; and WHEREAS, PROJECT has been submitted to the State of California for approval for TOPICS financing; and WHEREAS, COUNTY proposes to use TOPICS funds previously assigned to COUNTY by CITY as CITY'S fixed share of PROJECT COSTS. NOW, THEREFORE, in consideration of the mutual benefits to be derived by CITY and COUNTY and of the premises herein contained, it is hereby agreed as follows: (1) CITY AGREES upon completion of PROJECT and rcli.nquishmen:`, of COUNTY'S jur.i.sd i_cti:.n fa:- construction purpose s to continue to maintain or cause to be maintained, in good condition and at its own proportionate expense, all improvements constructed as part of PROJECT and wholly or partially within its .jurisdiction. (2) COUNTY AGREES: a. To prepare plans, specifications and cost estimates, and to furnish construction engineering and administration for PROJECT, all at no cost to CITY. b. To obtain approval from CITY of plans and cost estimates for PROJECT prior to advertising for construction contract bids. c. To advertise PROJECT for construction contract bids, to award and administer the construction contract, to do all things necessary and proper to complete PROJECT and to act in behalf of the CITY in all negotiations pertaining thereto. d. To use Eleven Thousand Seven Hundred Dollars ($11,700) of TOPICS funds previously assigned to COUNTY by CITY as CITY'S fixed share of PROJECT COSTS. e. To pay all PROJECT COSTS in excess of the amount herein set forth as CITY'S share, utilizing maximum TOPICS financing. (3) IT IS I UTUALLY UNDERSTOOD AND AGREED AS FOLLOWS: a. PROJECT COSTS as referred to in this Agreement shall consist of the costs of required materials, construction and ell other work necessary to upgrade and/or modify traffic signals on Peck Road within the boundaries of the. City of Arcadia in accordance with approved plans.. *id ‘11M0 b. If PROJECT is not approved for TOPICS financing, this - Agreement shall be considered null and void. c. This Agreement shall not take effect unless and until COUNTY, pursuant to Section 1700 of the Streets and Highways Code of the State of California, declares Peck Road within CITY boundaries to be a COUNTY highway for construction of improvements thereon and CITY, pursuant to Section 1701 of aforementioned Code, shall consent to said street becoming a COUNTY highway for said purpose. d. Neither COUNTY nor any officer or employee of COUNTY shall be responsible for any damage or liability occurring by reason of anything done or omitted to be done by CITY under or in connection with any work, authority or jurisdiction delegated to CITY under this Agreement. It is also understood and agreed that, pursuant to Government Code Section 895.4, CITY 0a1.1 fully indemnify. defend and hold COUNTY harmless from any liability imposed for injury (as defined by Government Code Section 810.8) occurring by reason of anything done or omitted to be done by CITY under or in connection with any work, authority or jurisdiction delegated to CITY under this Agreement. e. Neither CITY nor any officer or employee of CITY sh:-11 be responsible for any damage or liability occurring by reason of anything done or omitted to be done by COUNTY under or in connection with any work, authority or jurisdiction delegated to COUNTY under this Agreement. It is also understood and • • -4- agreed that, pursuant to Government Code Section 895.4, COUNTY shall fully indemnify, defend and hold CITY harmless from any liability imposed for injury (as defined by Government Code Section 810.8) occurring by reason of anything done or omitted to be done by COUNTY under or in connection with any work, authority or jurisdiction delegated to COUNTY under this Agreement. IN 'WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by their respective officers, duly authorized, by the CITY OF ARCADIA on APRIL 3 , 1973, and by the COUNTY OF LOS ANGELES on z , 1973.
