A G R E E M E N T•
THIS AGREEMENT, made and entered into by and between the CITY OF ARCADIA,
a municipal corporation in the County of Los Angeles, hereinafter referred to
as "CITY" and the COUNTY OF LOS ANGEIRS, a political subdivision of the State
of California, hereinafter referred to as "COUNTY":
W I T N E S S E T H
WHEREAS, CITY and COUNTY desire to modify the existing traffic control
signals and appurtenances at the intersection of Huntington Drive and
Michillinda Avenue and to install a signal interconnect system on Huntington
Drive between Sunset Avenue and Michillinda Avenue, hereinafter referred to as
"PROJECT"; and
WHEREAS, PROJECT is within the jurisdictional limits of both CITY and
COUNTY; and
WHEREAS, Huntington Drive and Sunset Avenue are on CITY'S Select System
of Streets and on COUNTY'S Master Plan of Highways; and
WHEREAS, PROJECT is in the general interest of both CITY and COUNTY; and
WHEREAS, CITY and COUNTY are willing to share the cost of PROJECT.
NOW, THEREFORE, in consideration of the mutual benefits to he derived by
both CITY and COUNTY and of the premises herein contained, it is hereby agreed
as follows:

(1) CITY AGREES:
a. To prepare plans, specifications, and cost estimates for PROJECT
at no cost to COUNTY.
b. To obtain approval from COUNTY of plans for PROJECT prior to ad-
vertising for construction contract bids.
c. To advertise PROJECT for construction contract bids, to award
and administer the construction contract, to do all things neces-
sary and proper to complete PROJECT, and to act in behalf of CITY
and COUNTY in all negotiations pertaining thereto.
d. To furnish COUNTY, within 120 days after completion of PROJECT, a
final accounting itemizing actual unit costs and actual quantities.
(2) COUNTY AGREES:
a. Upon approval of PROJECT plans, to issue CITY a non-fee permit
under which the work in the unincorporated area shall be performed.
b. To pay its share of PROJECT cost, which amounts to 60 percent of
the total cost of traffic signal modification at the intersection
of Huntington Drive and Michillinda Avenue and 30 percent of the
total cost of the signal interconnect system on Huntington Drive
between Sunset Avenue and Michillinda Avenue.
c. To deposit $13,300 with CITY after PROJECT is advertised for con-
struction contract bids and upon demand as COUNTYIS estimated
share of PROJECT cost.

(3) IT IS MUTUALLY UNDERSTOOD AND AGREED AS FOLLOWS:
a. PROJECT cost, as referred to in this agreement, shall consist of
the costs of required materials, construction, construction en-
gineering, administration, and all other work necessary to
construct PROJECT in accordance with approved plans and shall
include currently effective percentages added to total salaries,
wages, and equipment costs to cover overhead, administration, and
depreciation in connection with any or all of the aforementioned
items.

b. If COUNTY'S share of PROJECT cost, as set forth herein, exceeds
the amount deposited with CITY by COUNTY, COUNTY shall pay CITY
the additional amount upon demand. Conversely, if said COUNTY
share of PROJECT cost is less than said amount, CITY shall re-
turn the difference to COUNTY.
c. After PROJECT has been completed, the signals and signal inter-
connect system will not be further modified without mutual
consent of all parties then having jurisdiction over those items.
d. If, at some future time, it is mutually agreed that the signals
and signal interconnect system are no longer necessary or conven-
ient, the cost of dismantling and removing the same shall be made
subject to further agreement between the parties then having
jurisdiction over those items.

e. Neither COUNTY, nor any officer or employee of COUNTY, shall
be responsible for any damage or liability occurring by reason
of anything done or omitted to be done by CITY under or in
connection with any work, authority, or jurisdiction delegated
to CITY under this agreement. It is also understood and agreed
that, pursuant to Government Code Section 895.4, CITY shall
fully indemnify, defend, and hold COUNTY harmless from any
liability imposed for injury (as defined by Government Code
Section 810.8) occurring by reason of anything done or omitted

to be done by CITY under or in connection with any work, author-
ity, or jurisdiction delegated to CITY under this agreement.
f. Neither CITY, nor any officer or employee of CITY, shall be re-
sponsible for any damage or liability occurring by reason of
anything done or omitted to be done by COUNTY under or in con-
nection with any work, authority, or jurisdiction delegated to
COUNTY under this agreement. It is also understood and agreed
that, pursuant to Government Code Section 895.4, COUNTY shall
fully indemnify, defend, and hold CITY harmless from any liabil-
• ity imposed for injury (as defined by Government Code Section

SUBJECT: LOS ANGELES COUNTY COOPERATIVE AGREEMENT FOR MODIFICATION OF TRAFFIC SIGNAL
HUNTINGTON DRIVE AT MICHILLINDA
Attached are the letter of transmittal and agreement that provide for County
financial participation in the modification of subject traffic signal.
The purpose of this project is to install the necessary controller and signal
modifications at Michillinda Avenue so that during the racing season a police
officer who is controlling the signal at Sunset may also control Michillinda.
It is recommended that the City Council authorize the Ma or and Cit Clerk
to execute said agreement in form a roved by the City Attorney.

COOPERATIVE AGREEMENT
Enclosed are four copies of the proposed agreement relative to
County participation with the City of Arcadia for the modifica-
tion of the traffic signals on Huntington Drive at Michillinda
Avenue and for the installation of a signal interconnect system
on Huntington Drive between Michillinda Avenue and Sunset Avenue.
This agreement has been prepared pursuant to Supervisor Ward ' s
letter of June 24 to your Mayor and in accordance with Mr . Howard ' s
letter of August 20 , 1976 , and calls for the City to prepare the
plans and specifications and to administer the construction con-
tract for this project. In addition, the agreement calls for the
County to pay its share of the cost of the work, which amounts to
60 percent of the cost of the signal modification at the Huntington
Drive/Michillinda Avenue intersection and 30 percent of the cost
of the signal interconnect system on Huntington Drive between
Michillinda Avenue and Sunset Avenue. Under the terms of the
agreement, the County is to deposit $13 ,300 with your City after
the project is advertised for contract bids as the County ' s esti-
mated share of the project cost with the County' s actual cost to
be determined by final accounting.
If the proposed agreement is satisfactory, please present it to
your duly authorized officials for approval and execution. Upon
execution, return three copies to the Road Department for further

proval by the Board of Supervisors, we will return one fully

We understand that this project will be scheduled so as not to con-
