3 AGREEMENT NO. 2194

5 The City of Arcadia, a body politic and municipal
corporation of the State of California, hereinafter referred to as
6
"CITY", and the State of California, Department of Public Works,
7
8 Division of Highways, hereinafter referred to as "STATE", do CD
9
enter into the following agreement:
10 WHEREAS, State and City contemplate installation of
11 traffic control signal system and highway lighting and construe-
12 tion of channelization at the intersection of Colorado Boulevard
13 with State Highway Route 07-LA-2k8 7.2 (Colorado Street-
14 Colorado Place), within the City of Arcadia, and desire to specify
15 the proportionate share of the costs that are to be borne by City
16 and State and to arrange herein for maintenance;
17 NOW, THEREFORE, IT IS AGREED AS FOLLOWS:
18 SECTION I
19 For and in consideration of the covenants and conditions
20 to be kept and performed by City as set forth herein, State
21 agrees :
22 (a) To furnish the traffic control signal system, high-
23 way lighting and channelization hereinbefore mentioned, through
24 construction by contracts with construction contractors licensed
25 by the State of California, said contract to be carried out in
26 accordance with provisions of the State Contract Act, Chapter 3,
27 Part 5, Division 3, Title 2 of the Government Code, and to be
28 completed in conformity with plans and specifications of the
29 State of California, Department of Public Works, Division of
30 Highways. •
31 (b) To bear the entire expense of preparation of plans-

and specifications, and State's share of expense of the construc-

tion engineering costs, including assessments for indirect

charges to be made at current rates,and construction costs re-
4
5 quired to complete the traffic control signal system, highway
6 lighting and channelization referred to herein, such share to be
a sum bearing the same proportion to the total cost of installa-
8 tion of the traffic control signal system, highway lighting and
9 channelization as the number of legs of highways under jurisdic-
10 tion of State at the intersection involved, bears to the total
11 number of legs of highways at such intersection.
12 (c) State will maintain and operate the entire traffic
13 control signal system and highway lighting as constructed.
14 SECTION II
15 For and in consideration of the covenants and conditions
16 to be kept and performed by State as set forth in this Agreement,
17 City agrees:
18 (a) To reimburse State promptly upon rendition of
19 statement therefor, City's share of expense of the construction
20 engineering costs, including assessments for indirect charges to
21 be made at current rates, and construction costs required to
22 complete the traffic control signal system, highway lighting and
23 channelization referred to herein, such share to be a sum bearing
24 the same proportion to the total cost of installation of the
25 traffic control signal system, highway lighting and channelization
26 as the number of legs of highways under jurisdiction of City at
27 the intersection involved, bears to the total number of legs of
28 highways at such intersection.
29 It is estimated that City's share is $11,000. The
30 actual amount of City's share will be determined after award and
31 completion of the construction contract.

2 (b) To reimburse State for City's proportionate share
3 of the cost of general maintenance and operation of said traffic
4 control signal system and highway lighting in the manner provided
5 in that agreement for maintenance of State Highways in the City
6 which is in effect at the time said costs arise.
7 SECTION III
8 IT IS MUTUALLY UNDERSTOOD AND AGREED:
9 (a) That neither State nor any officer or employee
10 thereof shall be responsible for any damage or liability occurring
11 by reason of anything done or omitted to be done by City under or
12 in connection with any work, authority or jurisdiction delegated
13 to City under this Agreement. It is also understood and agreed
14 that, pursuant to Government Code Section 895.4, City shall fully
15 indemnify and hold State harmless from any liability imposed for
16 injury (as defined by Government Code Section 810.8) occurring by
17
reason of anything done or omitted to be done by City under or in
18 connection with any work, authority or jurisdiction delegated to
19
City under this Agreement.

(b) That neither City nor any officer or employee there-

of anything done or omitted to be done by State under or in

connection with any work, authority or jurisdiction not delegated
24
to City under this Agreement. It is also understood and agreed
25
that, pursuant to Government Code Section 895.4, State shall

29 by reason of anything done or omitted to be done by State under

(c) Should the City finance any portion of the project

1 with gas tax funds apportioned to the City or request Collier-
2 Unruh matching credit for such expenditures, all applicable
3 procedures and policies relating to the use of such funds shall
4 apply notwithstanding other provisions of this Agreement.
