From your description, the building, while prefabri- cated, would not be moveable in five years when the Armory would have to vacate the property pursuant to the Purchase Agreement now pending before the State Departments of the Military/General Services and the City of Arcadia. The City is strongly opposed to any such new building for several reasons: 1. Your call is the first disclosure to the City of Arcadia of the possible existence of this building. The Purchase Agree- ment does not contemplate nor permit such a material change in the property the City would be acquiring. 2. Since the building is not apparently moveable by the State, the City would, we assume, be left with the demolition cost in five years. This will be expensive to the City (e.g. , $15, 000 plus ) and has not even been considered in our budgeting to date. 3. Since the State would be using the building for only five years, the taxpayers would be paying both to construct and then to tear down a building whose effective life would at best be about four and one-half years. We feel the Agreement prepared by the State does not contemplate such a new building, and we would therefore ask that you reconsider your plans and not con- struct the building. Roger Chandler concurs and joins with me in extending an offer to meet with us for dinner in Arcadia when you are in the area. As you are probably aware, the City of Arcadia and the State Department of General Services are currently discussing the pos- sible sale of the National Guard Armory (SSL 356) to the City. Although we are close to an agreement, negotiations appear to have come to an impasse. I am hopeful that a brief explanation of the City' s position may help us get over this rough patch so we can get on with the deal. In summary: - The City of Arcadia purchased the 13 acre Civic Center site in 1947 from Rancho Santa Anita. It was deed-restricted for a "Municipal Civic Center, for an Armory, for a Municipal Audi- torium, for Municipal Parks or Gardens, or other public pur- poses". - In 1948 the City sold 2. 126 acres of the Civic Center site to the State of California National Guard for $1.00 for pur- poses of constructing an Armory. (The balance of the site now contains our City Hall, Police Station and recreation field. ) - The 1948 sale to the State was restricted by City Resolution and Grant Deed to "use and occupancy of the California National Guard as an Armory site" . - For over 40 years the site has clearly been intended for public use. The site is zoned "Public Purpose" (S2) and the General Plan designation is Civic Center (CC) . Mr. W. J. Anthony, Director September 4, 1987 Page two - The State Legislature declared the property surplus in 1986 and subsequently the Department of General Services (DGS) verbally offered it to the City for $1 ,860,000 ( $20. 01/square foot) . (This figure was based upon an in-house appraisal by the DGS as if it were zoned for Commercial Offices. ) The National Guard would move out in five years and would be willing to make annual lease payments. The State would accept payment by the City over time. - The City has argued (unsuccessfully to date) that: a) The State National Guard would be reaping an unfair wind- fall on land sold originally by the City for $1.00. b) Government Code Section 11011.1 permits a sale of surplus State property at below market value if the future use is for a public purpose. The City' s proposed future use is for our Civic Center expansion, specifically for a new, badly needed police station which would also incorporate space for the . regional Norsat operations (a multi-jurisdictional police task force for the apprehension of career criminals) and regional mutual aid and training facilities. Senator Newton Russell who drafted the language of 11011.1 agrees with the City that existing language would permit the sale of the site for less than market value. - On January 29, 1987 the City responded with a written offer of $806, 500 which was based upon 50% of the City' s appraised fair market value for deed restricted property ( $1,613,000) . The City would make payments over ten years and the National Guard would use the site rent-free for two years. - On June 16, 1987 the DGS made a verbal counter offer of $1, 400,000 with the National Guard using the site rent-free and the City making payments over five years. - On June 26, 1987 the City made a written counter offer of $1,200,000 with the National Guard using the site rent-free and the City making payments over five years. - On July 6, 1987 the DGS' written response was to stay at $1, 400, 000 cash or with $350,000 down and the balance over five years, at 7.3 percent interest, provided the National Guard can continue to use the site for five years "or" until a re- placement facility is completed. 4 Mr. W. Anthony, Director September 4 , 1987 Page three While it appeared that we were slowly moving toward agreement, the July 6, 1987 letter from the DGS actually increased the cost to the City by adding two new deal points (the 7.3 percent in- terest and the language regarding staying on the site until a replacement facility is completed) . The City is offering $1,200, 000 to be paid over five years, with the National Guard remaining on the site rent-free for up to five years. The City is neither asking for rent nor for interest on our payments during the five years we are paying for but do not have use of the pro- perty. The City has clearly indicated to the DGS its desire to continue negotiations until agreement. We felt we were close. The August 18, 1987 letter from the DGS states that they are ceasing negotiations and withdrawing the offer to sell. We do not under- stand this, particularly when the City' s current position is so lucrative to the State (1,199, 999 percent profit over the • $1.00 the State paid for the property) . In light of the above, we would respectfully request that the DGS and National Guard reconsider their position and continue to negotiate. I firmly believe that a reasonable counter offer by the State at this time would close this deal. We would be most happy to meet with you at your convenience in Sacramento to discuss this further if you so desire. Thank you very much for your consideration. Russell COUNCIL 401 North Brand Boulevard Suite 424 Glendale, California 91203 Dear Senator Russell: Re: Arcadia National Guard Armory Site The City of Arcadia was recently informed that the State Depart- ment of General Services and State Department of the Military re- quire a purchase price of $1,860, 000 (see Attachment 1) for the Armory site which the City of Arcadia sold to the State for $1.00. They have rejected the City' s position that our proposed use of the site for a police station is sufficient justification for what they believe to be a below market sale. If they do not get their price from the City, they say they will remove the Armory from the surplus property list. Could your office investigate whether the State Department of Gener- al Services and State Department of the Military are in fact willing to negotiate the purchase price or is the price non-negotiable despite the City's proposed public purpose use of the site? In addition to the "mutual aid" that a new police station would provide (see our letter of February 26, 1987, Attachment 2) , the City would use the facility for the North Regional Surveillance and Apprehen- sion Team (NORSAT) . The staff for NORSAT are now temporarily housed in the County Engineer's building here in Arcadia. The eight member NORSAT group is working on burglary/robbery/stolen property matters with four San Gabriel Valley Sheriff stations (Altadena, San Dimas, Temple City, Crescenta Valley) as well as the cities of Azusa, Covina, El Monte, Pasadena, and Arcadia. It has also provided assistance to Alhambra, Glendale, West Covina, Pomona. The new facility could provide conference space for regional law enforcement training and other regional community meetings. We feel this is clearly a broad public benefit. 2C • Senator Newton R. Russell April 2, 1987 Page two Alternatively, could your office assist us with special legislation that recognizes the uniqueness of our $1. 00 sale of the property to the State and our need for the property in the future. The City has spent a great deal of time and effort on this project ever since the State informed us that the property was surplus. The arrogant "take it or leave it" attitude of the State Department of General Services and their unwillingness to negotiate is both frustrating and insulting. The property in question has always been intended to be used for a public purpose. The original deed to the City restricted the uses to municipal or public purposes. In 1948 the City gave the property to the State for $1.00 to use the site for an Armory. We feel that the State should return the property to the City for the same $1.00 now that the State has declared it surplus and doesn' t need it anymore. Nevertheless, we have offered $806,500 and are willing to negotiate terms. We have a definite need for the pro- perty, intend to continue to use it for a governmental purpose, and have made a most generous offer to the State. We strongly be- lieve that the response from the Department of General Services is not in keeping with the legislation that you yourself drafted to guide the State in disposing of surplus property. Healy, Sr. Land Agent (if its" Nosio October 9, 1986 CITY OF ARCADIA ARMORY SITE The State of California recently advised the City of Arcadia that the 2. 13 acre National Guard Armory site immediately adjacent to Arcadia' s Civic Center is for sale as surplus property. (A Site Map and aerial photo are enclosed for your review. ) Repre- sentatives of the State Department of General Services, Real Estate Division have advised City staff that the State is asking $1,860, 000 ( $20. 00/square foot) for the property based upon their appraisal of its value. The City of Arcadia purchased the entire 13 acre Civic Center in 1947 from Rancho Santa Anita, Inc. , (RSA) , one of the corporate successors of the old Lucky Baldwin estate for $39, 324. 00. The Agreement of Sale between RSA and the City restricted the use of the site for " . . .a Municipal Civic Center, for an Armory, for a Municipal Auditorium, for Municipal Parks or Gardens, or for other Municipal or Public Purposes. . . " . A year later the City sold a 2.126 acre parcel at the southwest end of the Civic Center site to the State of California National Guard for $1.00 for an Armory. The State constructed their Armory and the City constructed our City Hall in the early 1950s on their respective properties. The State General Services Department maintains that should the City not come to agreement with the State on the City' s acquisi- tion of the property, they can market and sell the site to any private party for any private purpose. We maintain that this is totally inconsistent with the intent that the property remain for a "public purpose. " Certainly the original intent of the Seller, Rancho Santa Anita, Inc. to have the land used for a municipal or public purpose is clear in the documents. We further take exception to the forced sale of the original Civic Center property to a private party whose use( s) could conflict with the intended public or municipal purpose. Our disagreement with the State Department of General Services, however, derives more from the inequitable result of the State' s $1. 00 purchase price and its $1, 860,000 asking price. We can understand the State ' s desire to receive a reasonable amount %r+' NNW of compensation for the three buildings and the related amenities on the Armory site. However, the value of the 35-year-old main building and the subsequently constructed service buildings is certainly not $1, 859, 999. In fact, the usefulness of these build- ings for other than an Armory is practically non-existent due to their construction, placement, and the declining state of their service system. Further, we have an estimate of $90, 000 to clear the site. The State Department of General Services has informed us that certain State statutes, i.e. , Government Code Section 11011. 1 require that the State sell surplus property for fair marked value. If the purchaser agrees to restrict the use of the land to recrea- tion, open space, low-moderate income housing, or some other public purpose of benefit to more than the citizens of the local jurisdiction, the State Public Works ' Board can approve a sale for less than fair market value. It should be noted that Government Code Section 11011. 6 provides that the State can transfer property back to the City at no cost subject to the general criteria set forth in that Section. In view of the legislative intent surrounding the surplus property statutes, we suggest that either the restrictions of Section 11011. 1 are not applicable or that a flexible interpretation of 11011. 6 is appropriate in view of particular set of the circum- stances applicable to the Armory in Arcadia where the State' s gratuitous acquisition is now evolving into a windfall profit- making venture at the expense of the citizens of Arcadia. We have informed the General Services representatives that we intend to use the Armory site as a logical expansion of our exist- ing Civic Center. Sgecific plans have not been finalized but currently include recreation, police facility, or other general municipal uses as set forth in the 1947 Agreement with Rancho Santa Anita. Given the State' s original $1. 00 purchase price, and the City' s intended public use, the State' s asking price of $1,860, 000, or of any significant amount above the reasonable costs of selling the property, are inequitable and unjust to the taxpayers of the City of Arcadia who subsidized the State ' s ori- ginal purchase. We feel also that the legislature in passing Government Code, Section 11011. 1 did not intend nor envision this particular situa- tion. Further, if there are technical legal objections to the return of the site to the City for $1. 00, we would ask that consideration be given for legislation to correct the unforeseen inequities of the existing statute. fir'` We would be pleased to meet with you or your representatives to discuss this in more detail. Gilb Councilman, City of Arcadia 240 West Huntington Drive Arcadia, CA 91006 Dear Mr. Gilb: This is in response to your letter of March 22, 1985 concerning the Arcadia National Guard Armory. As you requested, I contacted Rriqadier General Thrasher at the Office of the Adjutant General in Sacramento. The California National Guard understands the desire to expand your City Hall Complex which could be accommodated incident to their long-range construction planning. Situations such as yours have occurred periodically throughout the years. Generally, the National Guard proposes two alternatives. The first and most expeditious is to offer to trade the existing armory for a suitable replacement facility at no cost to the state. This alternative is conditional on a five acre site with good public access and construction of a replacement building in conformance with state and National Guard Bureau criteria. The second alternative is to sell the present armory at fair market value and construct a replacement armory on more economical property. The latter alternative is being pursued as sale authority for the Arcadia Armory has been included in the 1986 State Surplus Property Bill , SB 132, authored by Senator Presley. I expect that the sale of the Arcadia Armory would be contingent on the National Guard being able to remain on the property until construction of a replacement armory is completed which is anticipated in 1989. Based on the actions taken to date, I believe that the National Guard is taking positive steps to accommodate your needs. Provided disposition of the present facility and land acquisition and construction of the facility proceed as programmed, the way should be clear to accomplish your objectives in the not too distant future. If you feel a meeting with the City Council and staff would be beneficial or need further assistance, please do not hesitate to call . Several months ago, pursuant to a request from Mayor Pro-Tem Lojeski , staff provided the City Council some general information regarding the possibility of relocating the National Guard Armory from their current facility next to City Hall so that the site could be used for a medical-office development . Since that time , staff has been contacted by several parties who have expressed an interest in develop- ing the site. Because of this apparent interest , staff met with Assemblyman Mountjoy and Senator Richardson to discuss the potentials of the project and to get advice as to how best to go about pursuing it . • As suggested by Assemblyman Mountjoy/ before approaching the State staff will need to have a more precise idea of what type of develop- ment is contemplated by the various interested parties . The Assembly- man suggested, among other things , that we have renderings in hand. Attached is a suggested "Request for Proposal" letter which could be sent to the interested parties should the City Council wish to pursue this opportunity.
