RESOLUTION NO. 4396
A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF ARCADIA AUTHORIZING AN AGREEMENT
WITH THE CITY OF PASADENA FOR A POLICE
HELICOPTER PATROL.
THE CITY COUNCIL OF THE CITY OF ARCADIA DOES HEREBY
DETERMINE AND RESOLVE AS FOLLOWS:
That the Mayor is authorized to execute on behalf of
the City of Arcadia an agreement with the City of Pasadena for a
police helicopter patrol in the form attached hereto.
The City Clerk shall certify to the adoption of this
resolution.
I HEREBY CERTIFY that the foregoing resolution was
adopted at a regular meeting of the City Council of the City of
Arcadia held on the 18th day of December , 1973, by the
affirmative vote of at least three Councilmen, to wit:

OPERATING AGREEMENT NO.
THIS OPERATING AGREEMENT, by and between the CITY OF
PASADENA, a municipal corporation, herein referred to as
"Pasadena," and the CITY OF ARCADIA, herein referred to as
"Arcadia" ;
WIT N E SSE T H :
WHEREAS, the California Council of Criminal Justice
(C.C.C.J.) approved a project commonly known as the "West San
Gabriel Valley Regional Helicopter System"; and
WHEREAS, said project provided funding whereby Arcadia
could utilize helicopters owned and operated by the Pasadena
Police Department; and
WHEREAS, C.C.C.J. funding for said participation
expired on June 30, 1973; and
WHEREAS, both Arcadia and Pasadena have benefited from
their joint participation in said project and Arcadia desires
to continue to utilize Pasadena Police Department helicopters
for patrol;
NOW, THEREFORE, in consideration of their mutual
covenants, the parties hereto agree as follows:
1. Arcadia will continue to receive patrol services
by said helicopters at the same level or higher that it received
in the period between July 1, 1972 and June 30, 1973.

2. Arcadia will receive helicopter patrol on a level
equal to that of being provided to Pasadena.
3. Computation of the support costs for the fiscal
year are determined to be $40,094.00. Additionally, allowances
for one policeman observer provided by Arcadia will offset
said support costs in the sum of $10,094.00. The balance of
$30,000.00 will be charged to Arcadia, to be paid within 20
days of the presentation of an invoice therefor from the Finance
Department of Pasadena.
4. Pasadena shall indemnify and hold harmless Arcadia
for any liability or loss including cost or expenses arising
out of the said helicopter operations during the performance of
this Agreement. Notwithstanding the foregoing, Pasadena shall
not be liable for any liability or loss for which Arcadia is
responsible under employer's liability or workmen's compensation
statutes.
5. Pasadena shall furnish a certificate of insurance
to Arcadia showing that its aircraft liability policy is in an
amount of not less than Five Million Dollars ($5,000,000.00),
combined single limit, with the City of Arcadia, its City
Council, officers and employees as additional assureds. The
policy shall be endorsed to show the following:
"A. The naming of an additional insured as herein
provided shall not affect any recovery to which such additional
insured would be entitled under this policy if not named as
such additional insured, and

B. The additional insured named herein shall not be
held liable for any premium or expense of any nature on this
policy or any extension thereof, and
C. The additional insured named herein shall not by
reason of being so named be considered a member of any mutual
insurance company for any purpose whatsoever, and
D. The provisions of the-policy will not be changed,
suspended, cancelled or otherwise terminated as to the interest
of the additional insured named herein without first giving
such additional insured twenty (20) days' written notice, sent
care of Mr. Charles W. Reiman, Director of Finance, City of
Arcadia, P. O. Box 60, Arcadia, California 91006.
E. Any other insurance held by the additional insured
shall not be required to contribute anything toward any loss
or expense covered by the insurance which is referred to by
this certificate.
Notwithstanding "A," above, underwriters shall not be
liable for claims which may be made by assured or additional
assureds which they are responsible for under employer's
liability or workmen's compensation statutes."
6. This Agreement shall cover the period from
July 1, 1973 through June 30, 1974.
7. This Agreement may be modified by the mutual
consent of the City Managers of Pasadena and Arcadia.
