A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF ARCADIA APPROVING A REPRESENTATIVE
PROJECT AREA COMMITTEE IN THE CENTRAL
REDEVELOPMENT PROJECT AND ADOPTING RULES
AND REGULATIONS FOR THAT PROJECT AREA COMMITTEE

WHEREAS, the City Council of the City of Arcadia has
designated a survey area for purposes of redevelopment pursuant
to Health and Safety Code Sections 33310 through 33312; and
WHEREAS, the City Planning Commission under the direction
of the City Council has selected the bounda_ri_es for the Redevelop-
ment Project area from within the designated survey area; and
WHEREAS, the California Community Redevelopment Law

requires that the City Council call upon the residents and
existing organizations in the Redevelopment Project Area to form
/
a project area committee; and
WHEREAS, the California. Community Redevelopment La\-l
requires such a committee to includ~, when applicable, residential
owner occupants, residential tenants, businessmen und members
of existing organizations within the project area; and
WHEREAS, a meeting for the purpose of fonuing such a
committee \-Ias called by the City Council and notice of the
meeting \-Ias distributed to each place of residence and business
~ithin the Project Area and was published in a newspaper of
general circulation in the City; and
\vllEREAS, such a meeting was held at the place and
time noticed and the residential o\vner occupants, residential
tenants, businessmen and members of existing organizations within
the Project Area in attendance selected ten persons to be members
of the Project Area committee; and
\'IHEREAS, the Committee members s_elected one of their
number to be chairman; and
WHEREAS, that chairman has presented information to the
City Council establishing the qualifications of each person and

of. the Committee; and
WHEREAS, the Committee includes persons who are residen-
tial owner occupants, residential tenants, businessmen and
members of existing organizations within the Project Area; and
WHEREAS, the City Council is required to approve a
representative committee within 60 days after the project area
is selected; and
WHEREAS, .the Redevelopment Agency desires to submit
a proposed redevelopment plan to such a committee so that said
committee may, if it chooses, prepare a report and recommendation
to the City Council; and
WHEREAS, the Redevelopment Agency is required, upon the
direction of the City Council, to consult with and obtain the
advice of said committee concerning matters of policy which
affect the residents of the project area for a minimum period of
three years after the apoption of the redevelopment plan; and
WHEREAS, rules and regulations are appropriate by which
the Project Area Committee will orderly operate as an advisory
and consulting body to The Redevelopment Agency as to those
ma.tters which deal with the planning and provision of residential
facilities or replacement housing for those persons to be displaced
by project activities and as to those other policy matters which
affect the residents of the Project area.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF
THE CITY OF ARCADIA AS FOLLOWS:
SECTION 1. The Redevelo~nent Project Area Committee
is a representative project area committee and is approved as
presently constituted.
SECTION 2. The Redevelopment Agency and its staff are
directed to consult with and obtain the advice of the Project

SECTION 4. Subject to such amendments as

shall be made from time to time by the City
Council, the Rules and Regulations, attached
to this Resolution as Exhibit "A", are hereby
adopted as the rules and regulations by which
the Project Area Committee shall faithfully
perform its functions and duties.

SECTION 3. The City Manager shall determine the
appropriate amount of funds or equivalent resources to be made
. available for the operation of the committee, including equip-
ment and supplies and adequate staffing for purposes of consult-
ing with and giving advice to the Redevelopment Agency.
SECTION 4. The Rules and Regulations, attached to this
Resolution as Exhibit "A", are hereby adopted as the rules and
regulations by which the Project Area Committee shall faithfully
perform its functions and duties.
SECTION S. The City Clerk shall certify to the adoption
of this resolution.

ARCADIA REDEVELOPMENT AGENCY
CENTRAL REDEVELOPMENT PROJECT AREA COMMITTEE
RULES AND REGULATIONS
Section I. GENERAL
These Rules and Regulations are promulgated to provide for
and promote the orderly participation of the Central Redevelopment
Project Area COl1UUittee ("Project Area COl1UUittee") in consulting with
and advising the Arcadia Redevelopment Agency ("Agency") members,
staff, and consultants on:(l) those matters which deal with the
planning and provision of residential facilities or replacement hous-
ing for those to be displaced by project activities, (2) other policy
matters which affect the residents of the project area, and (3) any
other matters regarding the project area which may be submitted to
the Project Area COl1UUitteeby the City Councilor the Redevelopment
Agency. The provisions of this Section I shall apply throughout the
period of preparation. and adoption of the Redevelopment plan ("Plan")
.for the Central Redevelopment Project ("Project") and for a three-
year period after the adoption of the Plan, subject to one-year
extensions by the City Council of the City of Arcadia ("City").
Section II. ELECTION
The Project Area COl1UUittee shall be elected at an annual meet-
ing hel~ on the second Tuesday in July of each year at 7:30 p.m.

Notice of this annual meeting shall be given to all the following

located within the Project area boundaries:
(1) residential owner-
occupants, (2) residential tenants, (3) .businessmen~ and (4) members
of existing organizations at least one (1) week prior to the date
of the annual meeting. Notices shall be personally delivered or
mailed and shall be published in the Arcadia Tribune on each of the
two Tuesdays immediately preceding the second Tuesday in July of each
year.
Section III. MEMBERSHIP
A. Composition
The Project Area Committee. shall consist of ten (10) members
and shall be composed of the number of representatives elected from
the following groups from within the Project area as follows:
1. Residential owner-occupants: 5 members
2. Residential tenants: 1 member
'3. Businessmen: 3 members
4. Members of Existing Organizations: 1 member
B. Qualifications
Only those persons within the Project area boundaries who are
residential owner-occupants, residential tenants, businessmen, and/or
members of existing organizations shall be eligible to be members
of the Project Area Committee and only during the time they are
located within the Project area. Any Project Area Committee member
who is not or is no longer a member of that group of residential
owner-occupants, residential tenants, businessmen, or members of
existing organizations within the Project from which he or she was

elected shall resign or be subject to removal from the Project Area

Committee as provided in subsection B of Section VI of these Rules
and Regulations.
However, nothing in this subsection B or in these Rules and
Regulations shall prevent a person who is a member of two or more
such groups from being eligible to be elected and to serve on this
Project Area Committee, provided that he or she is and remains a
member of that group from which he or she was elected.
C. Project Area Boundaries
The Project area boundaries are those which have been adopted
as the official boundaries of the Arcadia Redevelopment Agency's
Central Redevelopment Project, and are more specifically described
as follows in the description attached as Exhibit "A." The boun-
daries are illustrated on the map attached, as Exhibit "B." If the
Project area boundaries are amended, then the Project Area Committee
shall be reconstituted by procedures established by the City Council
to reflect the circumsta~ces.
Section IV. HEMBERSllIP TERH
The terms of the members of the Project Area Corrmittee are for
one (1) calendar year commencing on the second Tuesday in July, and
ending on the second Tuesday of the ne>;t year if successors are
elected or re-elected and in office by then. The term for any member
elected for less than a one-year term is until the next second
Tuesday in July if a successor is elected and in office by then.
The members' terms continue until successors are elected and in office.

Section V. OFFICERS

A. Chairman and Vice-Chairman
The officers of the Project Area Committee shall be the
Chairman and Vice-Chairman. The officers shall be elected by a
majority vote of the Project Area Committee immediately after the
annual July election of the Project Area Committee's membership.
B. Duties of the Officers
The Chairman shall preside at all meetings of the Project Area
Committee.
The Vice-Chairman shall perform all duties and assume all res-
ponsibilities of the Chairman in his absence. Should the office of
the Chairman become vacant, the Vice-Chairman shall perform the
duties of the Chairman until the Project Area Committee elects a
nelo{ Ch<lirman.
Section VI. VACANCY, REMOVAL, AND RESIGNATION
A. Vacancy
In the event a vaca~cy occurs on the Project Area Committee,
by reason of death, resignation, moving from the Project area, or
otherwise, it shall be the duty of the Chairman to call a special
meeting for the purpose of electing a person to represent that group
of residential owner-occupants, residentia~ tenants, businessmen,
or members of existing organizations which lacks the representation
required by Section III of these Rules and Regulations. Notice of
this special meeting shall be given by the Project Area COTImlittee
to members of that group from which the former project Area

Committee member was elected within one (1) week prior to the da~e

of the special meeting. Notices shall be personally delivered or
mailed and shall be published weekly in the Arcadia Tribune.
B. Removal
A member of the Project Area Committee may be removed by at
least seven (7) votes of the Project Area Co~ittee after a public
hearing, if it is found that:
1. The member is not within the Project area, a residential
owner-occupant, a residential tenant, a businessman, nor a member
of an existing organization.
2. The member is not a member or no longer a m~~ber of
that group of residential owner-occupants, residential tenants,
businessmen, or ,members of existing organizations within the Project
area from which .he or she was elected.
3. The member has been absent an unreasonable number of
times from Project Area Committee meetings or has acted in violation
of Sections VIII or IX o~ these Rules and Regulations.
Any such removal is subject to appeal by such member to the
City Council in writing filed within 10 days of receiving written
notice of such removal. The City Council must act on such appeal
within 30 days or the appeal is denied. Such a member retains member-
ship until the 10-day appeal expires or until the appeal is denied.
C. Resignation
Any Project Area Committee member may resign at any time by
giving written notice to the Chairman. Any such resignation will
take effect upon receipt or upon any date specified therein. The

acceptance of such resignation shall not be necessary to make it-

effective.
Section VII. MEETINGS
A. Regular and Special Meetings
The Project Area Committee shall meet regularly at such time
and place as decided upon by its members by resolution. Special
meetings may beheld upon call of the Chairman after notification of
all members of the Project Area Committee, by written notice, either
personally delivered or by mail, at least 24 hours before the time
specified in the notice for a special meeting. Additionally, the
Chairman shall be responsible for the posting of said notice publicly
in the Arcadia City Hall at least 24 hours prior to the time spec i-
fied in the notice for the meeting.
B. Annual Meetings
,Annual meetings shall be held on the second Tuesday in July of
each year at 7:30 p.m. in the City Hall Council Chambers.
C. Heetings to be Open and Public
All meetings of the Project Area Committee shall be open and
public to the extent required by la...... All persons shall be per-
mitted to attend any such meetings except as otherwise provided by
'law. Nothing contained in these Rules and -Regulations shall be
construed to prevent the proj ect Area Conuni ttee from holding execu-
tive sessions during a regular meeting concerning any matter regard-
ing City personnel designated by the City Council to aid the
Project Area Committee, 'any matter pertaining to present, future, or

potential litigation, and any other matter permitted by law to be

considered in executive session.
D. Quorum
six (6) members of the Project Area Committee shall constitute
a quorum, and a quorum shall be necessary for the Project Area
Committee to conduct its business, exercise its powers, and for all
other purposes. A smaller number of Project Area Committee members
may adjourn a meeting from time-to-time until a quorum is present.
E. Voting
Voting shall be by roll call for all official Project Area
Con~ittee transactions, and actions may be taken only upon a favor-
able vote of at least six (6) members of the Project Area
Committee.
F. Agenda & Order of Business
All items and matters of business to be acted upon by the
Project Area Committee shall be listed in an agenda prepared by the
Chairman prior to the meeting at which these items and matters of
business are scheduled to be acted upon.
The order of business at all meetings shall be as follows:
1. Roll call
2. Specified items and matters of business
3. General
4. Project area citizen complaints
5, Adjournment
G. Rules of Order
Except as provided in these Rules and Regulations, all business
and matters before the Project Area Committee shall be transacted in

conformance with Robert's Rules of Order (Newly Revised).

Section VIII. DISCLOSURES AND CONFLICTS OF INTEREST
The members of the Project Area Committee shall make written
disclosures to the Agency, City Council, and the Project Area
Committee of the facts and location, but not the amount, of all
direct or indirect interests in property presently owned or here-
after acquired in the Project area. Failure to make such written
disclosure shall be grounds for removal from the Project Area
Committee.
No member of the Project Area Committee shall participate or
vote on any matter which involves the purchase, lease, or development
of property within the Project area in which the member has a direct
or indirect interest. Any such participation by the member shall
constitute grounds for removal from the Project Area Committee.
,For the purposes of this Section VIII, the term "direct or
indirect interest" shall be defined to include, but not be limited
to, any monetary interest ,in property, or benefit arising from the
sale, lease, mortgage, or disposition of property, owned by, in
trust for, or subject to inheritance by a member of the Project Area
Co~~ittee, his or her spouse, his or her children, and his or her
parents.
Section IX. REPRESENTATION BEFORE PUBLIC BODIES
Any official representations on the behalf of the Project Area
Co~ittee before, the Agency, the City Council, or any other public
body shall be made by the Chairman, the Vice-Chairman in the

Chairman's absence, or a member of the Project Area Committee -

specifically so designated by the Project Area Committee. Any other
member of the Project Area Committee who appears before the Agency,
the Council, and any other public body claiming to be or apparently
claiming to be the official representative shall be subject to removal
from the Project Area Committee.
