AMENDMENT
Covenantor: Arcadia Hub Shopping Center, L.P., as successor in interest to Pashaie &
Shooshani, a General Partnership.
Covenantee: City of Arcadia, a Municipal Corporation.
Covenantor and Covenantee shall be referred to, collectively, as the "Parties."
WHEREFOR, on April 2, 1987, the Parties entered into a COVENANT AND
AGREEMENT NOT TO USE BASEMENT AREA FOR RETAIL SPACE
("Covenant"), which was recorded April 10, 1987, in official records of the Recorder's
Office, Los Angeles County, California, affecting certain real property located at 1201-
1325 S. Baldwin Avenue and 748-752 Naomi in the City of Arcadia, County of Los
Angeles, State of Califomia, Legally described as follows:
PARCEL A:
LOT I INCLUSIV E, OF TRACT NO. 6925, IN THE CITY OF ARCADIA, COUNTY OF LOS
ANGELES, STATE OF CALIFORNIA, AS PER MAP RECORDED IN BOOK 74, PAGE 79 OF
MAPS, IN THE OFFICE OF THE COUNTY RECORDER OF SAID COUNTY.
PARCEL B:
THOSE POR"PIONS OF SAN 1'A ANITA LAND COMPANY'D PUMPING PLANT NO. 1

NOW, THEREFORE, For good and valuable consideration, the receipt and sufficiency
of which is hereby acknowledged, the Parties agree that notwithstanding the terms and
provisions of paragraph 1 of the Covenant, the Covenantor shall have the right to lease
the basement portion of 1325 S. Baldwin Ave, Arcadia, CA ("Premises'') for retail sale
purposes, which shall be restricted solely for use as a gym/health/fimess club facility (the
"Use").
The Use shall include only those retail activities typically found in regional fitness clubs
-and, in particulars the uses typically exploited by clubs similar to LA Fitness, Bally's, and
24-Hour Fitness.
The Use is restricted to the Premises and shall not affect any other pcrtions of Parcels A,
B or C.
All other terms and conditions of the Covenant shall remain in fitll force and effect.
