FOR GOOD, 'VALUABLE AND ADEQUATE CONSIDERATION, receipt
of which is hereby acknowledged, Headquarters Construction
Limited, a California limited partnership, (hereinafter referred
to as the "Covenantor"), owners of the land particularly described
as follows:
Parcell, That portion or Lot 1 of Tract No, 919, in the
City of Arcadia, County of Los Angeles, State of California,
as per map recorded in Book 17, Page 13 of Maps, in the
office of the County Recorder of said County, described
as follows:
Beginning at the easterly terminus of that certain curve
described in Parcel 3 of the deed to said City recorded
in Book 9396, Page 145 of Official Records of said County,
as having a radius of 716-78 feet and a length of 756,92
feet; thence northwesterly along said curve an arc distance
of 190.12 feet, (a radial line to said point bears south
15 degrees, 11 minutes, 50 seconds we'st); thence north 15
degrees, '11 minutes, 50 seconds west 290 feet to the south-
westerly line of Tract No, 13154, recorded in Book 264,
Pages 3 and 4 of said Maps; thence north westerly along a
distance of the southwesterly line of last said Tract
124.82 feet to the true point of beginning; thence south
15 degrees 11 minutes, 50 seconds west 250 feet to the
northeasterly line on Colorado Place, 8b feet wide, as
described in said Parcel 3 of deed recorded in Book 9396,
Page 145, Official Records; thence northwesterly along
said Colorado Place 140 feet to the most westerly corner
of the land conveyed to James Edward, Jr, recorded in
Book 19130, Page 66 Official Records of said County;
thence northeasterly along said northwesterly line to the
southwesterly line of said Tract No, 13]54; thence south-
easterly along last said Tract 105 feet to the true point
of beginning.
Parcel 2, That portion of Lot 1 of Tract No, 949, in the
City of Arcadia, as per map recorded in Book 17, Page 13
of Maps, in the office of the County recorder of said
County, described as follows:

Commencing at the easterly termination of that certain curve
described in Parcel 3 in the deed to the City of Arcadia,
a Municipal Corporation, and recorded in Book 9396, Page
145, Official Records, as having a radius of 716.78 feet
and a length of 756.92 feet; thence northwesterly along
said curve 190,12 feet to the true point of beginning (a
radial bearing to said point bears south 15 degrees 11
minutes, 50 seconds west); thence north 15 degrees 11

degrees 30 minutes 43 seconds west 124,82 feet; thence
south 15 degrees 11 minutes, 50 seconds west 290,65 feet,
more or less, to the intersection with the hereinabove-
mentioned curve (a radial bearing to said intersection
bears south 25 degrees 10 minutes, 57 seconds west);
thence southeasterly along said curve a distance of
124,92 feet, more or less, to the' true point of beginning.
Excepting therefrom that portion thereof in said Colorado
Street (80 feet wide).
Parcel 4, That portion of Lot 1 of Tract No. 949, in the
City of Arcadia, County of Los Angeles, State of California,
as per map recorded in Book 17, page 13 of Maps, in the
offlce of the County Recorder of said County, described as
follows:
Beginning at a point in the northerly line of Colorado
Place (formerly Colorado Street) 80 feet in width, as
described in Parcel 3 in deed to the City of Arcadia,
recorded in Book 9396, Page 115, Official Records,
distant north 88 degrees 56 minutes 29 seconds east 20,49
feet, measured along said north line from the easterly
terminus of that curve therein, having a radius of 676,78
feet; thence north 6 degrees 49 minutes 29 seconds east,
along the westerly line of the land described in deed to
R, Carson Bowser and wife, recorded September 17, 1947,
as Instrument No, 1129, in Book 25140, Page 386, Official
Records, a distance of 135 feet; thence north 88 degrees
56 minutes 29 s~conds east to the westerly line of
San Rafael Road (60 feet wide) as shown on the map of
Tract No, 12506, as per map recorded in Book 236, Page
44 of Maps, in the Office of the County Recorder of said
County; thence south 1 degree 03 minutes 31 seconds east
along said westerly line of San Rafael Road (60 feet in
width) to the beginning of a tangent curve concave to the
northwest and having a radius of 20 feet; thence southerly
and westerly along said curve 31.42 feet to its tangent
intersection with the north line of Huntington Drive (100
feet in width) as described in Parcell in deed to the
City of Arcadia, recorded in Book 9396, Page 145, Official
Records; thence along the north lines of said Huntington
Drive and Colorado Place, as follows:

Beginning at the intersection of the easterly line of that
parcel of land conveyed to Paul C, Wagoner, et aI" and

Official Records, with the northerly line of Colorado
Street, now Colorado Place, (80 feet in width), as described
in the deed to the City of Arcadia, a Municipal Corporation,
and recorded in Book 9396, Page 145; of Official Records;
thence easterly along the northerly line of said Colorado
Street along a curve concave to the northeast and having a
radius of 676,78 feet a distance of 179,51 feet to the
east~rly termination thereof; thence east along the north
line of said Colorado Street, tangent to said last-mentioned

corner of the hereinbefore-mentioned parcel of land conveyed

which land is hereinafter referred to as the "Affected
Land", hereby agree and covenant with the City of Arcadia, a
Municipal Corporation (hereinafter referred to as the "Covenantee")
on behalf of and for the benefit of the,Covenantee's land, which is
the public street and right-of-way adjacent and contiguous to the
Affected Land, and on behalf of and for the benefit of,the

"Benefited Land" which consists of and includes all the public
and private land located within 500 feet of the Affected Land
as follows:
~, The Affected Land shall be held as one parcel and no
portion thereof shall be sold, conveyed or assigned
separately or legally divided until released in writing

by the City of Arcadia, Any ~ttempt to sell, conveyor
assign' less than the entire parcel shall 'be a nullity
and of no effect and the Covenantee is hereby authorized
to bring an action in a 'competent court to set aside and
have declared null and void such attempted sale, con-
veyance or assignment, In the event of such legal
actions Covenantor or successors or assigns shall be
liable for the reasonable attorney's fees of Covenantee,
2, This Covenant and Agreement is for the benefit of the
land of the Covenantee and its heirs, successors and
assigns and is for the benefit of all the Benefitted
Land and the heirs, successors and assigns of the owners
of the Benefitted Land, and this Covenant and Agreement
shall run with the'land and shall be binding upon the
heirs, successors and assigns of the Covenantor.
3. The City of Arcadia in its capacity as Covenantee and
in its capacity as the legal representative of the
residents of the City of Arcadia and more particularly
as the legal representative of all the owners of the
Benefitted Land is hereby authorized to enforce the
provisions of this Covenant and Agreement,
4.' If any section, subsection, sentence, clause, phrase or
portion of this Covenant and Agreement is for any reason
held to be invalid or unconstitutional by the decision
of any court of competent jurisdiction, such decisions
shall not affect the validity of the remaining portions
of this Covenant and Agreement,
IN WITNESS WHEREOF, Covenantor and Covenantee have each
executed this instrument on the date shown opposite their
respective signatures.

to the City of Arcadia, a Municipal Corporation, by deed, grant, conveyance,
or instrument dated Mav fJD 1978 , from or executed by
Headquarters Constructl.on Ll.ffil.ted
is hereby accepted by the City of Arcadia by the order or authorization of the
City Council of,the City of Arcadia contained in Resolution 2963, adopted
January 21, 1958, and recorded in the office of the Recorder of Los Angeles County
on January 29, 1958, as Instrument No. 3069 in Book 56448, Page 264, Official
Records of Los Angeles'County; and the City of Arcadia consents to the recordation
thereof by its duly authorized officers.
