GREAT WESTERN SAVINGS AND LOAN ASSOCIATION a California corporation,
hereinafter referred to as "Great Western, 7, is the owner of that
certain real property located in the City of Arcadia, County of Los
Angeles, State of California, described as follows:
Parcell of Parcel Map No. 7919 as per
map filed in Book 82, Pages 64 and 65
of Parcel Maps, in the office of the
County Recorder of said county
hereinafter referred to as Parcel A, and FRANK B. MYERS and ELLEN L.
MYERS, hereinafter referred to as "Myers" is the fee owner of that
certain real property located in the City of Arcadia, County of Los
Angeles, State of California, described as follows:
Parcell and Parcel 2 of Parcel Map No. 1757
as per map filed in Book 28, Page 10 of Parcel
Maps, in the office of the County Recorder of
said county
hereinafter referred to as Parcel B, do hereby covenant and agree
between themselves and with the City of Arcadia that Parcels A and
B shall be developed as one parcel and one parcel shall not be
developed separately from the other parcel without the prior written
consent of the City of Arcadia. This Covenant and Agreement to
Develop Two Parcels as One Parcel ("Covenant") shall run with the
land and shall be binding upon the undersigned, their successors and
assigns, shall inure to the benefit of the City of Arcadia and shall
continue in effect from the date hereof, unless otherwise released
by authority of the City of Arcadia.

Hereinafter referred to as "OWNER(S)" of that certain real property
located in the City of Arcadia, County of Los Angeles, StaE of California,
described as follows:
Parcell:
That portion of Lot 122 of Tract No. 2731, in the City of Arcadia, County
of Los Angeles, State of California, as per map recorded in Book 33, Page
29 of Maps, in the office of the County Recorder of said County, lying
North of the North line of the South '80 feet; measured along the East line
of said lot.

do hereby covenant and agree between themselves and with the City of Arcadia
that Parcels A and B shall be held and developed as one parcel and one
parcel shall not be developed or sold separately from the other parcel without
the prior written consent of the City of Arcadia. This Covenant and Agreement
to develop and hold two parcels as one parcel ("Covenant") shall run with the
land and shall be binding upon the OWNER(S), their successors and assigns,
shall inure to the benefit of the City of Arcadia and shall continue in effect
from the date hereof, unless otherwise released by authority of the City of ,
Arcadia.
