benefits and other'good and valuable con~ideration, the receipt and
sufficiency of which is hereby acknowledged, grants the CITY OF
ARCADIA, a municipal corporation of the state of California
("city"), its contractors, employees and agents a right-of-way
easement (the "Easement") over, under and across the real property
owned by grantor and described in Exhibit A attached hereto and by
reference incorporated herein (the "Property") for the purpose of
constructing and maintaining certain street improvements (the
"Improvements") to the southwest corner of Huntington Drive and
First Avenue, a public street owned and maintained by the city,
described as follows (the "Easement Area").
RIGHT-OF-WAY EASEMENT AGREEMENT
That portion of Lot 20, in Block 73 of a part of Arcadia
Santa Anita Tract, in the City of Arcadia, County of Los
Angeles, as per map recorded in Book 15, Pages 89 and 90
of Miscellaneous Records in the office of the Recorder of
said County described as follows:
Beginning at the Northeast corner of said Lot 20; thence
southerly along the easterly line of said Lot 20 a
distance of 18.00 feet, thence, Westerly a distance of
10.00 feet measured at right angles to the TRUE POINT OF
BEGINNING, thence, Northerly along a line which is
parallel with thp. ,Easterly line ,.f said Lot 20 a distance
ot' 4. ULI teet to its intersection with a line that is
parallel with and 14.00 feet south, measured at right
angles, from the northerly line of said Lot 20, thence,
Westerly along last mentioned parallel line a distance of
4.00 feet, thence, Southeasterly in a direct line a
distance of 5.66 feet, more or less, to the TRUE POINT OF
BEGINNING. To be known as Huntington Drive.
CONTAINS 8.00 SQUARE FEET
Said Improvements consist of widening and upgrading the curb
return as shown on the maps described as Exhibit Band Exhibit C,
attached hereto and by reference incorporated herein.
The terms of this Right-of-Way Easement Agreement (the
"Agreement") are as follows:
1. City, its employees, contractors and agents, shall use
the Easement Area only for purposes of constructing, replacing,
inspecting, maintaining, and reconstructing the Improvements.
2. Upon completion of the Improvements, City shall, at its
sole cost and eXpense, remove all debris from the E~~erop-nt Area and
restore the surface of the Easement Area as nearly as possible to
the condition in which it existed at the date of this Agreement.

3. This Easement shall be non-exclusive and Grantor reserves
the right to grant to others easement rights in and to this
Easement; provided that such easeme~t rights shall not interfere
with the easement rights granted hereunder.
4. City shall pay for all labor, services and materials and
agrees that all construct.ion and other work that City performs
pursuant to this Agreement shall be completed in a prompt and
workmanlike manner.
5. The duration of this Easement shall be perpetual or until
such time as the Easement is abandoned by the city. This Easement
is granted subj ect to all prior easements and encumbrances of
record.
6. City shall protect, defend, indemnify and hold Grantor
harmless from and against any and all claims, demands, losses,
damages, expenses and liabilities of every kind and description
including personal injury and for any damage to or loss or
destruction of property whatsoever suffered by Grantor, its heirs,
successors, assigns, employees, tenants and invitees and its
tenant's employees and invitees or by any other person, firm or
corporation arising out of or resulting from the construction of
the Improvements, or arising in any manner out of the city's
exercise of its rights under this Agreement; provided, however that
Grantor shall not be entitled to such indemnification for damage
caused to Grantor or any third party by reason of the sole
negligence or intentional acts or omissions of Grantor or damage
caused by the concurrent negligence of Grantor to the extent of
such ~oncurrent negligence.
