DECLARATION OF COVENANT

MARKET SQUARE, INC., a California Corporation, G. M. SHU-
MAKER, MARJORIE F. SHUMAKER and MICHELE FIORITTO, all hereinafter
referred to as "Declarants", hereby declare as follows:
That Declarants Market Square, Inc., and G. M. Shumaker
and Marjorie F. Shumaker, husband and wife as joint tenants, hereby
declare that they are the owners of that certain real property in
the City of Arcadia, County of Los Angeles, State of California,
hereinafter referred to as Parcel 1 and specifically described as
follows:
Lot 41, Tract No. 3430, except the South 10 feet
and the North 30 feet thereof, as shown on map
recorded in Book 42, page 32, of Maps in the of-
fice of the County Recorder of said County.
That Declarants G. M. Shumaker and Michele Fioritto are
owners as joint tenants of that certain real property in the City
of Arcadia, County of Los Angeles, State of California, hereinafter
referred to as Parcel 2 and specifically described as follows:
The East 75 feet of Lot 40, Tract No. 3430, ex-
cept the South 10 feet thereof, as shown on map
recorded in Book 42, page 32, of Maps in the
office of the County Recorder of said County.
That in consideration of the granting by the City of Ar-
cadia of permission to Declarants G. M. Shumaker and Michele Fio-
ritto to erect a building on said Parcel 2 with vehicular offstreet
parking thereon not accessible solely from said Parcel 2, Declar-
ants G. M. Shumaker and Michele Fioritto hereby covenant and agree,
for themselves, their heirs, successors and assigns, that the
following portion of Parcel 2, to wit:

The East 16 feet of Lot 40, Tract No. 3430, ex-
cept the South 10 feet thereof, as shown on map
recorded in Book 42, page 32, of Maps in the
office of the County Recorder of said County,
shall be kept open and shall be used and maintained solely for park-
ing for the buildings erected on said Parcels 1 and 2; and Declar-
ants Market Square, Inc., G. M. Shumaker and Marjorie F. Shumaker
hereby covenant and agree, for themselves, their heirs, successors
and assigns, that the following portion of Parcell, to wit:
The West 30 feet of the North 250 feet of the
South 260.12 feet of Lot 41, Tract No. 3430,
as shown on map recorded in Book 42, page 32,
of Maps in the office of the County Recorder
of said County,
shall be kept open and unobstructed for access for vehicle parking
on Parcels 1 and 2 as hereinabove described.
This covenant shall inure to the benefit of and shall be
enforceable by the City of Arcadia, and may be released or modified
only with the written consent of the City of Arcadia.
IN WITNESS WHEREOF, Declarants have executed the within
