1. The said easement is granted subjec~to the right
6 of said Grantor, its successore and assigns, to construct,
7 maintain, use, operate, alter, add to, repair, replace, recon-
8 struct and/or remove in, on, over, under, through, along and
9 across the above-described real property, electric transmission
10 and distribution lines and telephone lines, together with.

11 supporting structures and appurtenances, for conveying electric
12 energy for light, heat, power and telephone purposes, and pipe-
13 lines and appurtenances, for the transportation of oil, petroleum,
14 gas, water or other substances, and.conduits for any and all
15 purposes.

2. Said ear.ement shall be exercieed so as not to
17 interfere with the construction, maintenance, use, operation,
18 presence, repair, ~eplacement, relocation, ~econstructio~ or
19 removal of such electric transmission, distribution or telephone
20 lines, pipelines, or other conduits.

3. Grantee agrees to pay to said Grantor, its succes-
22 .sors or assigns, upon demand, any and all ~osts of relocation
23 and/or constructi.on of such electric transmission, distribution
24 and telephone lines and supporting structures, pipelines" and
25 conduits which may be or become necessary by reason of the exercise
26 of the rights granted pursuant to this easement.

4. Grantee agrees for itself, its successors and
28 assigns, to hold harmless and indemnify Grantor, its successors
29 and assigns, to the fullest extent to which it can legally do so,
30 from and against all claims, liens, encumbrances, actions, loss,
31 damage, expense and/or liability, arising from or growing out of
32 loss of or damage to property, including Grantor's own property,

1 or injury to or, death of persons, resulting in any manner'what-
2 soever, directly or indirectly, by reason of the exercise of the
3 rights hereby granted; provided, however, that this cov:enant
4 shall not apply in those instances where such claims, liens,
5 encumbrances, actions, loss, damage, expense and/or liability
6 are proximately caused in whole or in part by any active neg1i-
7 gence of Grantor.

5. Grantor shall not erect or place at any future
9 time any of its facilities so as to interfere unreasonably with
10 the rights of Grantee created by this easement grant.

6. Grantor reserves for itself, its successors and
12 assigns, the right to trim any tree or trees which may grow in
13 or on the real property which is subject to this easement,
14 and which in the opinion of Grantor, its successors or assigns,
15 endanger or interfere with the proper operation or maintenance
16 of saicl e1ee:trie: tl:ansmission, diGt;:-ibution and telephone lines,
17 to the extent necessary to prevent any such interference or
18 danger.

7. The above property is to be used only for the
20 purposes specified herein and in the event:

(a) said land is not so used, or
(b) said land shall be vacated as a public
23 road, or
24 (c) the project for which this easement grant
25 is being made is abandoned,
26 said property shall thereupon, ipso facto, revert to said Grantor,
27 its successors and assigns.
28 8. As a controlling part of the consideration for
29 the execution and delivery of this instrument by Grantor, this
30 grant is accepted upon and subject to the express condition
31 that the municipal improvement for which this easement is given,
32 regardless of the time performed, and any other work of

1 I improv~nent commenced within two years from the date of
2 recording of thisinstrwnent (which municipal improvement and
3 other work of improvement are hereinafter sometimes collectively
4 called "Improvement"), shall be done without any cost or expense
5 whatsoever to Grantor, its successors or assigns, and that in
6 the event a special assessment or assessments is or are levied
7 by any authorized lawful body against the real property of
8 Grantor, its successors or assigns, for the Improvement, the
9 Grantee agrees that it will reimburse Grantor, its successors
10 or assigns, and it shall be the binding obligation of the
11 Grantee to reimburse Grantor, its successors or assigns, for
12 the full amount of any and all such special assessment or
13 assessments so levied for said Improvement and paid by Grantor,
14 its successors or assigns.

9. The rights hereby granted ave not necessary or
useful in the performance of the duties of said Grantor to the
public.
10.- It is expressly understood and agreed that this
easement is granted pursuant to the authority of and upon and
subject to the conditions prescribed by General Order No. 69-B
of the Public Utilities Commission of the State of California
dated and effective September 10, 1963, which by this reference

is incorporated herein and made a part hereof.
11. Grantee agrees that any facilities installed
pursuant to the rights granted by this instrument shall be
capable of supporting vehicles weighing up to twenty-three
(23) tons.
28 12. Upon termination of the rights herein given,
29 Grantee shall execute and deliver to Grantor within thirty (30)
30 days after service of a written demand therefor a good and

sufficient quitclaim deed to the rights herein given. Should
Grantee fail or refuse to deliver to Grantor a quitclaim deed,

as aforesaid, a written notice by Grantor reciting the failure
or refusal of Grantee to execute and deliver said quitclaim deed
as herein provided and terminating this agreement shall, after
ten (10) days from the date of recordation of said ~otice, be
conclusive evidence against Grantee and all persons claiming
Grantee of the termination of the rights herein given.

Upon the termination of the rights herein given
Grantee shall at its own risk and expense remove said facilities
and restore said premises as nearly as possible to the same state
and condition they were in prior to any construction of said
facilities, but if it should fail so to do within sixty (60) days
after such termination, Grantor may so do at the risk of Grantee,
and all cost and expense of such removal and the restoration of
said premises as aforesaid, together with interest thereon at
the rate of ten per cent per annum" shall be paid by Grantee upon
demand.
14. In case of a suit to enforce any terms, covenants
18 and conditions of this instrument, Grantee agrees to pay Grantor
19 in addition thereto a reasonable attorney's fee to be fixed and
20 allowed by the Court.

15. Any notice provided herein to be given by either
party hereto to the other may be served by depositing in the
United States Post Office, postage prepaid, a sealed envelope
containing a copy of such notice and addressed to said other
party at its principal place of business, and the same shall be
sufficient of such notice.
16. Grantee hereby recognizes Grantor's title and
28 interest in and to said premises and agrees never to assail or
29 resist Grantor's title or interest therein.

A RESOLUTION OF THE CITY COUNCIL OF
THE CITY OF ARCADIA ACCEPTING A
CERTAIN EASEMENT AND AGREEING TO THE
CONDITIONS ATTACHED THERETO.

THE CITY COUNCIL OF THE CITY OF ARCADIA DOES DETERMINE,
AND RESOLVE AS FOLLOWS:

SECTION 1. The City of Arcadia does hereby accept from
the Southern California Edison Company, a corporation, the ,grant of
a certain easement for road purposes i~, on, over, and across that
certain real property hereinafter described and accepts said ease-
ment upon and subject to all of the terms, covenants and conditions
contained in said grant of easement and does hereby agree to comply
with and perform each and all of the said terms, covenants and con-
ditions. Said grant of easement is dated February 19, 1968. Said
property is located in the City of Arcadia, County of Los Angeles,
State of California and is particularly described as follows:
That portion of Lot 32 of E. J. Baldwin's Addition
No.1 to Santa Anita Colony, as per map recorded
in Book 52, page 60 of Mis~ellaneous Records, in
the office of the County Recorder of said County,
described as follows:
Beginning at a point in the Northerly line of
said Lot 32, said point being 2 feet Westerly,
measured at right angles, from the Easterly line
of said Lot 32; thence from said point of beginning,
Westerly along said Northerly line, 15.00 feet;
thence Southeasterly in a straight line to a point
in a line that is parallel with and 2 feet Westerly,
measured at right angles, from the Easterly line of
said Lot 32, said last mentioned point being 15.00
