HomeMy WebLinkAboutC-1969AGREEMENT FOR SPECIAL SERVICES This Agreement is entered into between the CITY OF ARCADIA,, A Municipal Corporation, hereinafter referred to as "City," and the law firm of LIEBERT CASSIDY WHITMORE, A Professional Corporation, hereinafter referred to as "Attorney." WHEREAS City has the need to secure expert training and consulting services to assist City in its relations and negotiations with its employee organizations; and . WHEREAS City has determined that no less than twenty -two (22) public agencies in the San Gabriel Valley area have the same need and have agreed to enter into identical agreements with Attorney; and WHEREAS "Attorney is specially experienced and qualified to perform the special services desired by the Cify and is willing to perform such services;' NOW, THEREFORE, City and Attorney agree as-follows: Attorney's Services: During the year beginning July 1, 2002, Attorney will provide the following services to City (and the other aforesaid public agencies): 1. Five (5) days of group training workshops covering such employment relations subjects as management rights and obligations, negotiation strategies, employment discrimination and affirmative action, employment relations from the perspective of elected officials, performance evaluation (administering evaluations), grievance and discipline administration for supervisors and managers, planning for and responding to concerted job actions, current court, administrative and legislative developments in personnel administration and employment relations, etc., with the specific subjects covered and lengths. of individual workshop presentations to be determined by City and the other said local agencies. . 2. Availability of Attorney for City to consult by telephone. 3. " Providing of a monthly newsletter covering employment relations developments. Fee:. Attorney will provide these special services to City for a fee of One Thousand Eight Hundred and Thirty Five Dollars ($1,835.00), payable in one payment prior to August 1, 2002. Said fee will cover Attorney's time in providing said training and consultative services and the development and printing of written materials provided to attendees at the training. Additional Services: Attorney shall, as and when requested by City, make itself available to City to provide representational, litigation,' and other employment relations services. The City will be billed for the actual time such representation services are rendered, including reasonable travel time, plus . any necessary costs and expenses authorized by the City. The range of hourly rates for Attorney time is from One Hundred Forty- Five to Two Hundred Twenty Five Dollars ($145.00 - $225.00) per hour for attorney staff and from Ninety Dollars to One Hundred Ten Dollars ($90.00- $110.00) per hour for services provided by paraprofessional staff. Attorneys and paraprofessional staff bill their time in minimum units of one -tenth of an hour." Communications advice (telephone, voice -mail, e-mail) is billed in a minimum increment of three- tenths (.30) of an hour. Independent Contractor: It is understood and agreed that Attorney is and shall remain an independent contractor " under this Agreement. Term: The term of this Agreement is twelve (12) months commencing July 1, 2002. The term may be extended for additional periods of time by the written consent of the parties. Condition Precedent: It is understood and agreed that the parties' aforesaid rights and obligations are contingent on no less. than twenty -two (22) local agency employers entering into a substantially, identical Agreement with Attorney on or about July 1, 2002. This letter confirms that we will provide the ERC members with four full days of training, our monthly Client Update, and telephone consultation. The workshops chosen for the upcoming training are listed on the enclosed planning meeting notes. We will send a detailed schedule of the workshops in the next few weeks. There is an agency fee of $26.00 for each attendee at the workshops to cover the cost of the refreshments during training. Enclosed is an Agreement for Special Services. Please execute and return a copy to our office. Some members at the planning meeting requested information regarding our customized training. We provide training outside of the consortium on a variety of topics, all of which can be customized to include your policies and procedures. Our current rates for individual training are from $1,600 to $2,000 for a three hour, half -day presentation and $2,500 - $3,000 for a six hour, full -day presentation. The rates vary depending on who the presenter is. We are willing to provide this customized training for an individual agency or a group of agencies so that the rate can be pro- rated. We are also willing to create a mini conference day, where multi topics can be covered. You could select 4 -5 topics that would be covered in 1 — 1 %2 hour presentations each. We will develop material for each topic area. The idea behind the mini - conference is to involve upper level management by customizing the topics to truly be an "executive briefing." The rate for the mini - conference is $3,000 per day. Finally, our workbooks are available for sale. Our workbook order form is enclosed. Conditions This Agreement will not take effect, and Attorney will have no obligation to provide services, until City returns a property signed and executed copy of this Agreement. 2. Attorney's Services Attorney agrees to provide City all necessary and reasonable services relating to employer- employee relations, including the providing of expert advice to the City Council and City Manager or their designee(s), and the City Attorney, representing City in negotiations with Police, Fire and Teamsters employee organizations as requested by City, including impasse resolution procedures and the drafting of Memoranda of Understanding, attendance at planning and study sessions with City Management, attendance at closed sessions and assistance in administering Memoranda of Understanding. The services to be provided pursuant to this Agreement shall include, when specified by the City, the provision of Attorney to assist the Human Resources and Risk Manager when acting as Chief Negotiator, as requested by the City Manager, or his delegate, or otherwise required by law. 3. Fees, Costs Expenses City agrees to pay Attorney the sums billed monthly for time spent by Attorney in providing the services and for reasonable travel time. City shall pay Attorney a retainer fee of $2,900 per, month, not to exceed $34,800 annually, for the above services, payable on the first day of each month during the term of this Agreement, commencing on the effective date hereof. Representation in connection with administrative hearings (other than in meet and confer impasse procedures covered under No. 1 above) and court proceedings are not covered under the basic services hereunder; Attorney shall, upon request of the City, provide such representation at the rate of between One Hundred Forty-Five to Two Hundred Twenty-Five Dollars ($145.00- $225.00) per hour for the actual time such representation services are rendered, or as may be provided for under separate written Agreement entered into between the parties for special services, and Seventy -Five Dollars ($75.00) per hour for time of paraprofessional staff. Attorneys and paraprofessional staff bill their time in minimum units of one -fourth of an hour. City agrees to reimburse Attorney for necessary costs and expenses incurred by Attorney on behalf of City. Attorney bills photocopying charges at Fifteen Cents ($.15) per page and facsimile charges at One Dollar ($1.00) per page. Payment by City against monthly billings is due upon receipt of statements, and is considered delinquent if payment is not received within thirty (30) days of the date of the invoice. 4. Assignment This Agreement is not assignable without the written consent of City. 5. Indeaendent Contractor It is understood and agreed that Attorney, while engaged in performing the terms of this Agreement is an independent contractor and not an employee of City. The City retains the right to approve attorney assigned if other that Mr. Bruce Barsook. Unless otherwise agreed upon by City, the Attorney who is to perform all services contemplated by this Agreement is Bruce Barsook. No substitute for Mr. Barsook is contemplated unless approved by the City Manager. Mr. Barsook shall be reasonably accessible and available to perform the required services set forth above. Attorney shall communicate scheduling considerations in a timely manner to the City Human Resources Manager or City Manager and shall be present on an as needed basis for all negotiations, meetings and closed sessions pursuant to request by the City Manager or Human Resources Manager. 6. Term This Agreement will take effect when City has performed the conditions stated in paragraph 1, but its effective date will be retroactive to the date Attorney first provided services. Should this Agreement not take effect, City will be obligated to pay Attorney for the reasonable value of any services Attorney may have performed for City. Upon its effective date, this Agreement shall remain in effect for a period of twenty -four (24) months. The term of this Agreement may be extended for additional periods of time by the written consent of the parties, executed within thirty (30) days of the termination date. Attorney shall be paid up to the date of termination based on the amount specified in Section 2 prorated to the date of termination. 5. Independent Contractor. It is understood and agreed by the parties that Attorney is and shall remain an independent contractor under this Agreement. NOW, THEREFORE, City and Attorney agree as follows: 1. SERVICES TO BE PROVIDED. At the specific direction of the City Manager, his designee or the City Attorney, Attorney shall perform all necessary services determined by the City relating to employer - employee relations. This shall include, but not necessarily limited to the following: a. Representing the City in negotiations with employee organizations as specified by the City Manager or his designee. b. Providing expert advice and consultation to the City Council, City Management including the City Attorney with regard to labor relations and related issues. c. Handling of impasse resolution procedures. d. Drafting Memorandum of Understanding. (MOU) e. Attendance at City Council meetings upon request of City Manager. f. Assistance and advice with regard to implementation, interpretation, and administration of Memoranda of Understanding. 2. ASSIGNED ATTORNEY. Dan Cassidy shall be the designated attorney to handle the 0 0 services provided for by this Agreement. The use of other attorneys to provide services hereunder shall he subject to prior written approval of the City. 3. PERFORMANCE REQUIREMENTS. Attorney shall make himself fully available to perform the services requested by the City Manager. Attorney shall respond to City requests for service as soon as possible, and shall provide through staff designation and communication devices the means to make rapid contact with Attorney. 4. COMPENSATION. Attorney shall be paid at the hourly rate of One Hundred Ninety- Five Dollars ($195.00) which shall include travel time measured from Attorney's office to Arcadia City Hall. Other approved attorneys shall be paid at a rate of between One Hundred Ninety-Five and One Hundred Thirty -Five Dollars ($195.00 - $135.00), and Seventy -Five Dollars ($75.00) per hour for services provided by paralegal staff. The services to be provided shall be pursuant to direction and approval of either the Human Resources Manager, City Manager, or City Attorney. All bills for Attorney services shall be subject to approval by the City Attorney. Reimbursable expenses shall be for long distance calling, faxes, necessary messenger service, and direct copying costs. TERM AND TERMINATION. This Agreement shall be in effect for a period of one (1) year subject to termination at any time pursuant to ten (10) days written notice. If terminated, Attorney shall be paid for all unpaid services performed to the date of termination. Within sixty (60) days prior to termination of the one (1) year term, the fee arrangement shall be reevaluated and a subsequent term shall be considered.
