1. This Contract shall set forth the agreement for professional legal services between the
CITY OF ARCADIA and JACKSON LEWIS LLP.
2. JACKSON LEWIS LLP shall provide the City legal advice and defense in the City's
labor and employment matters as needed and requested by the City.
3. The City shall compensate Jackson Lewis LLP for legal services and defense provided
as requested by the City at rates of $275.00 per hour for legal services provided by partners and
senior "of counsel" attorneys; 5250.00 per hour for associate attorneys, and $120.00 for paralegal
services. Jackson Lewis shall limit the number of attorneys working on the case to one partner and
one associate, unless additional assistance is pre - authorized by the City Attorney as necessary and
appropriate.
4. The City will reimburse Jackson Lewis LLP for reasonable costs and expenses
incurred related to legal services provided to the City such as travel, copies, deposition transcripts,
etc., consistent with City billing guidelines, and so long as adequate supporting documentation and
receipts for such expenses are provided to the City by Jackson Lewis LLP.
5. Contractor shall provide proof of errors and omissions professional liability insurance
appropriate to its profession in an amount, with conditions and for a term acceptable to the City.
6. The term of this Agreement shall be one year from the date of execution. In the
absence of written termination of this agreement, it shall automatically renew for one year periods,
until such time as either party terminates the agreement:
7. Either party may terminate the agreement at any time with or without cause. Any
party terminating the agreement shall in good faith attempt to provide the other a minimum of 30
days written notice of intent to terminate the agreement.
