PRESENT: AIlSENT: Councilmen Ilalser, Phillips, Reibold, Turner, Butterworth None The City Council, having adjourned to. this date and time for the primary purpose of receiving the Council Negotiation Committee's (Councilmen Phillips and Turner) report and recommendatien on the dispesitien of the former library site, received, reviewed and discussed at lenGth said repert. The City to ent~r into an agreement ..<lIth Dcntco, a Cali[orni.a Corporation, 25 llorth Santa Anita Avenue, Arcadia, California. The lease agreement and purchase option i.s basically as folloWG: Dentco to pay the City $3,000 as land rental for a period ending December 31, 1962. Dentco to make no structural changes on the property except seil tests and other things preliminary to construction. Denteo has to December 31, 1')62 to submit to the City construction plans for a structure or structures containing not less than three stories nor more than six stories above ground floor level and base- ment, if any, so designed that open court and landscape area is provided. Failure to produce such construction plans, meeting the approval ef the City, shall result in forfeiture ef initial rental payment. Upon exercise of the option on or before December 31, 1962 annual land rental of $4000 shall be paid to the City. Dentco agrees to commence '\.vithin six months from date of ba:;ic base period. (J.:1l1uary 1, 1963) the destruction of the existing atructurcs and the cOllGtruction of tile new buildings und improvements and such construction shall be completed within one year from such date. The lease commencin::; January 1, 1963, with an annual land lease 'of $4000, except as hereinafter specified. The purchase price of saId property shall be $97,000. Ih addition to the basic land rental of $4000 a year, Lessee shall pay a supplemental rental of 10% of tile gross rentals received by Lessee in connection with leasine or subleasing any and all faci.1ities, said supplemental rentals to apply to purchase price. When supplemental payments, totaline $29,000 or more, have been paid by Lessee, then the basic land rental shall be changed to. an amount equal to 6% of the unpaid balance. In any case the total purchase price shall be paid \vithill 10 years from January 1, 1963. Lessor has the right to pay the unpaid balance at any time after the completion of the building at which time all rentals shall cease and a deed shall be delivered to Dentco CorporRtion. ] . 6-26-62 FOOTHILL BOULEVARD SIGNALS ~ INDEXED PLANNING SECRETARY PROCEDURAL ORDINANCE 14:5709 The City shall have the right during regular business heurs to audit the books to. determine the accuracy of the supplemental rentals. In additien to these prevLsLons the lease agreement and purchase optien prevides for a lease on the pertion of the preperty now develeped fer parking and owned by the City, to the year 2014. Said lease of the park- ing property provides that Dentce Corporation shall bear the cost ef all maintenance and improvements in connection with said parking area to at least the same degree and manner the adjacent parking lots of Arcadia Vehicle Parking District No.. 2 are maintained and improved. This lease parking area shall be available at all times fer the use ef the public generally up en terms no. less faverable to. the public generally than the terms and cenditions, regulatiens, and restrictions upon which the adjacel parking lets of Vehicle Parking District No.2 are made available to the public generally. Throughout the term of the lease Dentco Cerperatien shall carry a minimum of One Mil1ien Dollars public liability and One Hundred Thousand Dollars preperty damage ceverage on the parking area with the City named additiena1 assured. After perusal and discussien ef the report as modified by the Chairman of the Committee, all conditions of the proposed lease were reviwed by Chairman Phillips and the City Atterney. Thereafter Councilman Reibold MOVED, secended by Ceuncilman Balser and carried en rel1 call vete as fellows that the repert of the Ceuncil Negotiatien Committee be accepted and that the Mayer and City Clerk be authorized to execute a Lease Agreement with the Dentce Corperatien and an Option to. Purchase by the Dentco Cerperation in ferm presented and explained by Councilman Phillips, Chairman ef the Negotiation Committee: AYES: Councilmen Balser, Phillips, Reibeld, Turner, Butterwerth NOES: None ABSENT: None The City Manager cemmented that the Negotiation Committee weuld seen meet with members of the Arcadia Realty Beard to. discuss related matters and weuld repert back to. the Council thereafter. The City Manager reported that the agreement between the State of California and the City of Arcadia for the installation and modernization of signals and street lighting at certain intersections on Feothill Boulevard is ready for execution. That the State estimates the City's share in the program will be $21,380, funds having been apprepriated frem the County Gas Tax allecation to. finance the City's share of the expense. MOTION by Councilman Phillips, secended by Councilman Reibeld and carried on roll call vote as follows that the Mayor and City Clerk be autherized to execute said agreement in form approved by the City Atterney: I AYES: Ceuncilmen Balser, Phillips, Reibo1d, Turner, Butterworth NOES: None ABSENT: Nene ' Upon advice from the City Attorney, Councilman Balser MOVED, secended by Councilman Turner and unanimously carried, that the Planning Director act as Planning Secretary in the absence ef the Planning Secretary, said action taken in view of the retirement of Planning Secretary Leslie M. Talley on June 29,1962. Mayor Butterworth advised that the City Atterney is currently preparing a Precedural Ordinance which will be submitted to. the Ceuncil for study and review. 2. 6-26-62 MAYOR BUTTERWORTH (Miscl. ) 1 COUNCILMAN PHILLIPS FORMER LIBRARY SITE CONSULTING FIRM STUDY SESSION ADJOURNMENT 1 14: 5710 Mayor Butterworth brought up the possibility of taking steps to ban gambling devices through a referendum to. be placed on the forthcoming November ballot. Discussion ensued on type ef amusement games to. be banned, what businesses might suffer, etc. It was agreed that exceptions weaken an ordinance. Door to door se1icitation was also discussed at length, it being the consensus ef the Ceuncil that commercial solicitation is the problem, the City Attorney being instructed to prepare an ordinance to submit to the Council andfurther consideration to be given to placing said matter before the electorate in Nevember, 1962. Councilman Phillips commented on the subject of service stations selling various items other than those customarily sold in gas stations. The matter to be given thought. The Councilmen expressed satisfaction and pleasure with the dispositien of the former library site. Up en inquiry by Councilman Reibold regarding the pregress made en the proposed retaining ef a Consulting Firm, he was advised that the meeting to. be held June 27, 1962 may result in a recommendation by the Committee. Upen suggestien of Mayer Butterworth that in view of the many meetings which the Council has had recently, the Study Sessien which would - nermally be held Thursday, June 28, 1962, be dispensed with, the Ceuncil cencurred and the City Clerk is to adjeurn same at the appeinted hour ef 7:30 P.M. At 9:10 P.M. there being no further business, Councilman Reibold MOVED that the meeting adjourn. Councilman Phillips seconded the metien which was carried unanimously.
