INDEPENDENT CONTRACTOR AGREEMENT FOR
COMMUNICATIONS AND MARKETING CONSULTANT

This Agreement is made and entered into this day of n & 2001 by and
between the City of Arcadia, a Municipal Corporation (hereinafter referred to as "City ") and Ling
Ming Chang (hereinafter referred to as "Consultant ").
A. RECITALS.
On behalf of the City of Arcadia, the City Manager (hereinafter referred to as "City Manager ")
desires to retain the services of Ling Ming Chang as Consultant to serve the City pursuant to the
Arcadia City Charter Sections 601, 700, and 901(a).
It is the desire of City to retain the Consultant for a temporary assignment to assist the
Communications and Marketing Division in translation services. Specifically, the duties will be to
translate English written materials into Chinese typed text.
B. AGREEMENT.
Now, therefore, in consideration of mutual promises, covenants and conditions herein
contained, the parties agree as follows:
1. Duties: City hereby agrees to engage Ling Ming Chang as Consultant to the City of
Arcadia to perform the functions and duties specified in the attached Exhibit "A"
incorporated as part of this Agreement, plus other related duties as requested by the City
Manager and Management Analyst.
2. Conditions. All conditions, compensation, and other terms of Consultant's status are
prescribed by this Agreement alone. City retains Consultant on an independent
contractor basis and not as an employee. Consultant does not assume the status of a
probationary, permanent, or classified employee pursuant to this Agreement.
3. Term.
a. The term of this Agreement shall be from May 30, 2001 until terminated by
either City or Consultant by means of ten (10) days advance written notice to the
other party.
b. Consultant will provide translation services and shall be responsible for
providing all Chinese computer software and miscellaneous supplies that may be
required.
C. Consultant shall drop off or send original computer generated Chinese translated
text to the City Manager's office as specified.

d. Nothing in this Agreement shall prevent, limit, or otherwise interfere with the
right of City, acting through its City Manager, or Consultant to terminate this
Agreement, either with or without cause, at any time following submission of
written notice as described in Section 3.a. above.
4. Work Schedule and Compensation. Consultant shall serve on an as needed basis at the
compensation of $15.00 per hour. Other than the compensation set forth in this
Agreement no other compensation or benefits shall be provided to Consultant.
Consultant shall maintain an accurate log of all time worked pursuant to this Agreement
and shall submit itemized billings to City indicating the amount of time spent, the date
of work, and a description of the project.
5. Indemnification. Consultant shall defend, indemnify and hold City, its officials,
officers, employees, volunteers, and agents free and harmless from any and all claims,
demands, causes of action, costs, expenses, liability, loss, damage, or injury to property
or persons resulting from or related to Consultant's performance under this Agreement.
6. Documents & Data; Licensing of Intellectual Property. This Agreement creates a non-
exclusive and perpetual license for City to copy, use, modify, reuse, or sublicense any
and all copyrights, designs, and other intellectual property embodied in documents or
works of authorship fixed in any tangible medium of expression, including but not
limited to, physical drawings or data magnetically or otherwise recorded on computer
diskettes, which are prepared or caused to be prepared by Consultant under this
Agreement ( "Documents & Data "). City shall not be limited in any way in its use of the
Documents and Data at any time, provided that any such use not within the purposes
intended by this Agreement shall be at City's sole risk.

IN WITNESS WHEREOF, City has caused this Agreement to be signed and duly executed on
its behalf by its City Manager, and Consultant has signed and executed this Agreement.
