SUBJECT: Recommendation for an Alternate Deferred Compensation Plan
For quite some time, we have had inquiries from City employees requesting the
City to consider offering an alternate deferred compensation program. These
inquiries were initiated because of the limited investment options currently
available through our existing deferred compensation administrator and the
seemingly low interest rates offered. Finance has solicited proposals from
other administrators to provide more flexibility for our program and
additional investment options.
As you know, the City is currently under contract with Great Western Bank for
the administration and investment of the City's deferred compensation
program. The City has been with Great Western for over 10 years now and
although they continue to be a solid institution that offers and administers
a quality program, it is in the best interest of the City and our employees
to offer an alternate plan so that employees can exercise more control over
the investment of their retired assets consistent with their retirement
goals.
Jerry Parker, the City Treasurer, who is well versed on investments and
market interest rates, Sharon Casey, our in -house expert and the City's
administrator for our deferred compensation program and myself met with three
(3) well established administrators in our effort to select the most suitable
administrator. We interviewed the following companies:
ICMA Retirement Corp.
Lincoln National Life
Public Employees Benefit Service Corp. (PEBSCO)
These administrators are well qualified to provide services to our employees
and each offer a quality plan with a variety of investment options.
In evaluating the various programs, we contacted other municipalities to
obtain additional input and comments in making our selection. Following is
a brief discussion of each of the plans for your considerations.
ICMA Retirement Corporation
This plan provider is dedicated exclusively to the service of public
employees. The assets held are held in trust and are not subject to the
claims of creditors of ICMA. All deposits are held by the Trust, which is

neither a bank nor a savings and loan. It is a common law trust consisting
of over $2.5 billion in pooled retirement plan assets of over 4,200
government plans.
Participants of this plan may invest in as many as seven different funds,
including six total return funds and a minimum -rate option. These investment
options cover a broad spectrum of asset classes considered prudent for
retirement planning. These investments require no front or back end loads,
no withdrawal fees or roll over fees. ICMA utilizes several independent
advisers to manage its investment funds. Participants leaving the plan
(under circumstances defined by the Internal Revenue Code) including those
transferring to another eligible plan, may withdraw all assets without
penalty.
In summary, the ICMA deferred compensation program provides a proven record
of investment performance, comprehensive services and flexible /no cost
benefit payment options.
LINCOLN NATIONAL CORP.
Lincoln National is one of the largest stock life insurance companies in the
United States. They are a publicly -held insurance holding company organized
under Indiana law. They have received the highest rating of A.M. Best, an
independent insurance evaluation service, for more than eight decades and is
currently rated A+ (Superior) by that organization.
Participants of this plan may invest in a variety of investment options
varying from a minimum rate or fixed rate annuity to various mutual
investments. Management of the various investment options is provided by
Lincoln National Investment Management Company. Sub - Advisory Agreements are
also in effect. The sub - advisory may perform some, or substantially all, of
the investment advisory services required by those respective funds.
There are no account charges with respect to Single Payment Deferred
Contracts. For Periodic and Flexible contracts, Lincoln National will deduct
specified amounts for administration services.
In addition, there are other withdrawal charges for periodic payment
contracts for partial withdrawals under certain circumstances. As is the
case with ICMA, there are no front or back end loads for investments in the
various investment options.
Lincoln National provides a quality deferred compensation program, however,
they are owed and managed by Lincoln National and do have certain
restrictions and penalties on withdrawals under certain circumstances.
E� BSCO
PEBSCO is a third party administrator of deferred compensation programs, a
wholly -owned subsidiary of the National Corporation and is backed by National
Enterprise, a large provider of financial services. Investment options have
been selected from existing mutual funds and includes a Money Market Fund
backed by Nationwide. A key feature of PEBSCO's investment option is that

they offer a multitude of existing mutual funds such as Dreyfus, Fidelity
Magellan, Twentieth Century, etc. These funds are managed by their
respective fund managers.
PEBSCO is a well established administrator of Deferred Compensation Programs,
however, their fixed rate investment is backed by a single insurance company
(Nationwide).
Summary
All three providers (ICMA, PEBSCO and Lincoln National) offer a quality
deferred compensation program. All have a proven record and all are well
represented in cities in California, However, it is my feeling that ICMA
offers a program which when compared to the other providers, makes them more
suited for the City of Arcadia. ICMA's program provides:
- Flexibility
- Diversification of managers and investment styles
-Lack of Restrictions and penalties
- Diversification of fixed funds
A major factor in recommending ICMA is their independence from a parent
company dealing in the insurance industry. ICMA's fixed rate investment is
backed by contracts issued through a number of quality financial institutions
and not by a parent or subsidiary insurance corporation.
It is my recommendation that, the City offer a second or alternate deferred
compensation plan and that plan be the deferred compensation program offered
by ICMA. Further, that we schedule July 1, 1993 for implementation and that
Council be asked to approve and sign an agreement with ICMA and that employee
meetings be scheduled for May and June for sign up and implementation
starting in July.
Attached is a Resolution adopting a second employees' Deferred Compensation
Plan and authorizing the execution of certain agreements, subject to approval
by the City Attorney.

SUBJECT: Natural Disaster Assistance
In 1987 the City experienced a major earthquake referred to as the
Whittier Narrows Earthquake. The City Council declared a local
emergency, requested the Governor to proclaim a state of emergency and
requested public aid and assistance. Subsequently, a local emergency was
declared and the City was entitled to financial assistance under the
State Natural Disaster Assistance Act Program.
The City submitted claims for damages incurred and the State office of
Emergency Services approved payment to the City amounting to $5,718.00.
Reimbursement of the approved costs has been received, however, in order
for the Federal Emergency Management Agency to close out the file on this
disaster, a number of close -out documents must be processed and
submitted. These documents must be signed by authorized representatives
of the City. The initial resolution, which was adopted at the time of
the disaster, specified authorized City officials no longer employed by
the City to represent and sign all documents. At this time, a resolution
must be adopted naming a current City representative as the authorized
agent.
The City Planning Director William D. Woolard serves as the Plans Section
Chief in an emergency and as such provides situation analysis, message
control, damage assessment, documentation and resource analysis. His
involvement in an emergency situation makes him a logical choice to serve
as the City's authorized agent in an emergency.
RECOMMENDATION
It is recommended that the City Council approve a resolution authorizing
William D. Woolard as the authorized representative for individual
assistance of the City of Arcadia for the purpose of receipt, processing
and coordingi.ng�f all inquiries and requirements necessary to obtain

SUBJECT: Amendment to Joint Powers Authority Agreement with
Foothill Transit
The City has been requested by Foothill Transit to amend our
existing agreement to make a procedural change in the Foothill
Transit Zone.
Foothill Transit is comprised of twenty-one cities and the
County of Los Angeles. Each city and county supervisorial
district included in the service area has one general
membership vote. The seats on the Executive Board are split
into four geographic clusters by city from Arcadia in the west
to Claremont in the east. Each cluster represents one vote on
the Executive Board. The fifth vote is appointed by the Los
Angeles County Board of Supervisors.
When the Joint Powers Agreement was originally signed, Foothill
Transit's service area fell within two supervisorial districts.
Due to redistricting, Foothill Transit's service area now lies
within three supervisorial districts. The amendment permits one
delegate from each supervisorial district which falls within
Foothill Transit's service area to be included in the Zone
membership.
At its last meeting, the General Membership of Foothill Transit
agreed to modify the existing agreement to reflect this change.
The makeup of the Executive Board is not effected by this
amendment.
Recommendation
It is recommended that the City Council pass a motion to r,
approve Amendment Number Two of the Joint Exercise of Powers
Agreement between the City and Foothill Transit.

AGREEMENT BETWEEN THE COUNTY OF LOS ANGELES,
THE CITIES OF ARCADIA, AZUSA, BALDWIN PARK,
BRADBURY, CLAREMONT, COVINA, DUARTE, EL MONTE,
GLENDORA, INDUSTRY, IRWINDALE,
LA VERNE, MONROVIA, POMONA, SAN DIMAS, SOUTH EL MONTE,
TEMPLE CITY, .WALNUT, WEST COVINA and
DIAMOND BAR TO CHANGE COUNTY REPRESENTATION
ON THE FOOTHILL TRANSIT ZONE

THIS AMENDMENT, dated the /SP day of j(,, ,�� Ar�is
entered into between the COUNTY OF LOS ANGELES, a political
subdivision of the State of California, the CITIES OF ARCADIA,
AZUSA, BALDWIN PARK, BRADBURY, CLAREMONT, COVINA, DIAMOND BAR,
DUARTE, EL MONTE, GLENDORA, INDUSTRY, IRWINDALE, LA VERNE,
MONROVIA, POMONA, SAN DIMAS, SOUTH EL MONTE, TEMPLE CITY,
WALNUT, and WEST COVINA, each a municipal corporation of the
State of California, (collectively referred to as "Cities"
herein. )
WITNESSETH:
WHEREAS, the Foothill Transit Zone, a public entity,
was formed on April 14, 1988 by the execution of a Joint
Powers Agreement;
WHEREAS, the Foothill Transit Zone Joint Powers
Agreement provides for two of the Zone members to be appointed
by the Board of Supervisors of the County of Los Angeles;

WHEREAS, due to redistricting, the Foothill Transit Zone now
lies in three Supervisorial Districts;
WHEREAS, the members of the Foothill Transit Zone desire to
increase the representation appointed by the County of Los
Angeles from two to three members;
NOW THEREFORE, Subsection B of Section 3 the Joint Powers
Agreement dated April 14, 1988, is hereby amended to read as
follows:
"B. Zone Members.
Zone shall consist of one elected city council member
or mayor from each City and three members appointed by the Board
of Supervisors. Each City may also select an alternate who is
also an elected city council member or mayor from that City. No
person who receives the substance of his/her income from another
transit operating agency may sit on the Zone or Executive Board. "
All other provisions of the Agreement shall remain unchanged
and in full effect.
