SUBJECT: LICENSE, COSTS, AND MAINTENANCE AGREEMENT FOR A
PEDESTRIAN BRIDGE TO CROSS WESTBOUND HUNTINGTON
DRIVE FROM 300 WEST HUNTINGTON DRIVE (METHODIST
HOSPITAL PARKING LOT) TO 289 WEST HUNTINGTON DRIVE (HALE
MEDICAL CENTER)

SUMMARY
The City Council conditionally approved the medical office building located at 289 West
Huntington Drive on May 7, 2013. This project includes a pedestrian bridge over
Huntington Drive connecting the new building with the Methodist Hospital property. As
a condition of the approval, the owner (S & H No. 1 LLC) is required to enter into a
License Agreement with the City for the pedestrian bridge across Huntington Drive.
The City Attorney prepared a License, Cost and Maintenance (LCM) Agreement that S
& H No. 1 LLC has approved and signed. The City Attorney also prepared a consent
document for Methodist Hospital to acknowledge the bridge connection to the hospital
property, which the hospital has approved and signed.
The bridge construction plans have been approved and the owner is now ready to begin
construction. It is recommended that the City Council approve the License, Costs, and
Maintenance Agreement between the City of Arcadia and S & H No. 1 LLC.
BACKGROUND
On May 7, 2013, the City Council conditionally approved a four - story, 70,096 square -
foot medical office building with a 366 -space surface parking lot at 289 West Huntington
Drive. This approval included a pedestrian bridge over Huntington Drive, connecting
the proposed building with the Methodist Hospital property at 300 West Huntington
Drive.

The pedestrian bridge will extend from the second floor of the medical office building at
289 West Huntington Drive across Huntington Drive. The bridge will be approximately
five and one -half (5 -1/2') feet tall, seven (7') feet wide, and maintain a minimum
clearance of 15 feet above Huntington Drive, which is the clearance required by state
standards for conventional highways and local facilities. The elevator tower will be
approximately 28 feet in height and will be situated in a landscaped area adjacent to the
Methodist Hospital building. It will not connect directly with any of the hospital buildings.
The use of the pedestrian bridge will be restricted to physicians and authorized medical
office personnel, and will not be open to the public.
One of the conditions of approval for the project is that a LCM Agreement with the City
be obtained for construction of the aerial bridge across Huntington Drive.
DISCUSSION
The City Attorney has drafted a LCM Agreement between the City of Arcadia andS & H
No. 1 LLC, which grants "Air Rights" to the owner to construct, use, and maintain the
pedestrian bridge over City right -of -way.
The Agreement requires the owner to comply with the City's policies, rules, and
regulations for construction, repair, maintenance, and operation of the bridge to protect
the City's right -of -way and its users. It also requires the owner to maintain the bridge in
a clean, neat, and safe condition and in good repair at all times, free from any
damage and vandalism. The Agreement requires the owner to remove graffiti as soon
as practicable, but in no event, later than forty -eight (48) hours of the time of notification
by the City. For any work on the bridge, the owner will be required to obtain an
encroachment permit from the City's Development Services Department. The
Agreement allows the City access to the bridge at reasonable times for the purpose of
inspection, and also allows the City to hang temporary banners and displays on the
bridge, subject to owner's approval. Otherwise, the bridge will not be used for any other
advertising purposes by either the owner or a third party.
The City Attorney also drafted a consent document, which was reviewed and signed by
Methodist Hospital, agreeing to the construction and proposed use of the pedestrian
bridge on their property as outlined by the LCM Agreement.
The owner has submitted plans for the bridge, which have been reviewed and approved
by the City, and is now ready to construct the bridge, pending the approval of the LCM
Agreement.
FISCAL IMPACT
There is no fiscal impact to the City for the Agreement. The pedestrian bridge will be
constructed, maintained, and repaired at the cost of the owner, in accordance with the
LCM Agreement. S & H No. 1 LLC will provide General Liability Insurance for the
bridge in the amount of $10,000,000 to protect the City of Arcadia.

RECOMMENDATION
It is recommended that the City Council authorize and direct the City Manager to
execute a License, Costs, and Maintenance Agreement for a Pedestrian Bridge to cross
westbound Huntington Drive from 300 West Huntington Drive (Methodist Hospital
Parking Lot) to 289 West Huntington Drive (Hale Medical Center).
