BY AND BETWEEN THE
This Amendment No. 1 ( "Amendment No. 1") is hereby entered into by and between the City of
Arcadia, a municipal corporation of the State of California, and Willdan, a California Corporation
with respect to that certain Professional Services Agreement between the parties dated April 9,
2002 ( "Agreement ").
The parties agree as follows:
1. The term of the Agreement is extended to and including September 3, 2004.
2. The Compensation is hereby amended to include, without limitation, change orders in the
amount of $37,016 for additional work and modifications to the contract. This increase was
approved by the City Council in conjunction with awarding the Baldwin Avenue Street
Improvements at the City Council Meeting of March 16, 2004.
3. The Scope of Work is hereby amended for additional work and modifications as described in
detail on the attached letters of March 21, 2003 and December 5, 2003.
4. All other terms and provisions of the Agreement are hereby reaffirmed.
In witness whereof the parties have executed this Amendment No. 1 on the date set forth
below.

Subject: Request for additional compensation for design services
rendered for the Baldwin Avenue Improvements
Dear Mr. Lazo:
I am writing as a follow -up to recent conversations between you and Mr. Carlos Zamano
regarding design changes requested by the City that were beyond the original scope of
work. A total of four major changes to the project were made; they are as follows:
1. Lengthened curb extensions on both sides of Baldwin Avenue at the crosswalk
due to conflict with an above ground sign tower. This change resulted in
changes to both the civil and landscape plans. We revised the location of the
bench, planter areas, irrigation and curb ramp on the westerly side of the street.
2. Performed field survey to obtain storm drain depth of manhole and two catch
basins near the intersection of Baldwin and Naomi Avenues. Survey was
necessary because As -Built storm drain plans did not provide sufficient
information for the design of relocation of two catch basins.
3. Met with City to discuss elimination of miscellaneous items of work in order to
reduce project construction costs. Provided cost estimates for two alternatives.
The first alternative included the following:
• Eliminated portions of reconstruction of curb /gutter, sidewalk and driveways
on the easterly side of Baldwin Avenue by reducing raised median width from
10' to 8'. Revised original quantities impacted by this revision.
• Reduced the total number of trees by increasing the spacing between trees
within the parkway on both side of Baldwin Avenue. We were also directed
to use plastic tree wells. (Specifications were provided to be included in our
contract documents.)

• Added two concrete bus pads at the intersection of Baldwin Avenue and
Duarte Road. The curb extension on the westerly side of Baldwin Avenue
had to be reduced to only include the curb return as a result of constructing a
concrete bus pad. The landscape in this area was therefore eliminated due to
this change and quantities were reduced.
• Eliminated colored sidewalk to match existing. Sidewalk score lines on curb
extensions at crosswalk were requested at 2' by 2'.
• Provided costs for relocation of existing street lights.
The second alternative included all of the above plus the exclusion of the curb
extension on the northeast corner of Baldwin and Naomi Avenues and
installation of new street lights complete with conduit and pull boxes. This
alternative eliminated the need for reconstruction of curb ramp, curb /gutter,
sidewalk, and relocation of existing catch basin. These items and all other
related items were included in the cost estimate for this alternative.
4. Met with City a second time to discuss the preferred alternative. The first
alternative was approved with additional changes to the landscape median. The
City did not want to follow the original concept plan for the landscape median; it
was preferred to follow the City's median master plan. Due to this change, we
agreed to provide the City with a rough concept plan for the median reflecting the
median master plan. Finally, we were given direction to proceed with preparing
final PS &E.
We are hereby requesting a contract budget increase of $17,161.75. A summary of the

Dear Mr. Lazo:
I am writing as a follow -up to recent conversations between you and Mr. Peter Tran regarding design
changes requested by the City to modify curb alignments and the median island as follows:
1. The curb extension at the northeast corner of Baldwin Avenue and Naomi Avenue will be
eliminated.
2. The curb extension at the northwest Baldwin Avenue and Naomi Avenue will be shifted
north.
3. The north end of the median island will be shortened.
These changes will require modifications to the street, signing and striping, traffic signal, street
lighting, and landscape and irrigation plans.
Additionally, in April 2003, additional effort was performed to resolve street lighting issues when the
design changed from City -owned lighting to Edison -owned lighting and relocation versus removal.
Furthermore, the Public Works Services Department requested additional work to prepare plans,
specifications, and cost estimates for the relocation of fire flow meter vaults and fire hydrants, and
modifications to existing water services.
This letter supercedes my previous letter dated October 23, 2003.
To adequately compensate Willdan for this extra work, we are hereby requesting a contract budget
increase of $15,200.
