INSPECTION OF SITE WORK AND EXAMINATION OF CONTRACT DOCUMENTS
Bidders are required to attend a mandatory pre -bid walk which will be held at
Arcadia, California 91007. For information regarding this meeting contact Mr.
James Smitherman, Water Field Superintendent at (818) 359 -2058. Any bidder who
does not attend the are -bid job walk shall be automatically disqualified

WITNESSETH: That the parties hereto do mutually agree and covenant as follows:
1. For and in consideration of the payments and covenants hereinafter
specified to be made and performed by City, Contractor shall perform and
complete the following:
Landscape Maintenance of Water Division Properties in the City of Arcadia

and to perform and complete the same in a good and workmanlike manner all
the work pertaining thereto shown on the Plans and Specifications
therefor; to furnish at his own cost and expense all tools, equipment,
labor, services, and materials necessary therefor (except such materials,
if any, as in the said specifications are stipulated to be furnished by
the City), and to do everything required by this contract, special
provisions, technical specifications, and all addenda issued by City to
the foregoing prior to the opening of bids.
2. For furnishing all said materials and labor, services, tools, and
equipment, and doing all work specified herein, also arising out of the
nature of the work aforesaid, or from the action of the elements, or from
any unforeseen difficulties which may arise or be encountered in the
prosecution of the work until its acceptance by the City, and for all
risks of every description connected with the work, for all expenses
incurred by or in consequence of the suspension or discontinuance of work,
except such as in said specifications are expressly stipulated to be borne
by the City, and for well and faithfully completing the work in the manner
specified in said Plans and Specifications, the City will pay and the
Contractor shall receive in full compensation therefor the lump sum price
or if the bid is on the unit price basis, the total price for the several
items furnished pursuant to the specifications, as set forth in
Contractor's bid heretofore filed by him and accepted by City, at the times
and manner specified in the Contract Documents.

3. Contractor agrees to perform the work according to the terms of this
Contract for price(s) named in the bid, and City agrees to pay the same at
the time, in the manner, and upon the conditions stipulated in the said
contract documents.
4. Subject to the provisions of this Contract, all terms, covenants,
conditions, and provisions hereof shall inure to and shall bind each of
the parties hereto and each of their respective heirs, executors,
administrators, successors, and assigns.
5. The Notice Inviting Bids, Information Required of* Bidders, Contractor's
Bid, Special Provisions, Technical Specifications, and all addenda issued
by City to the foregoing prior to the opening of bids, are hereby
incorporated in and made part of this contract by reference and are
collectively referred to therein and herein as "Contract Documents."
6. Contractor shall be responsible for compliance with the Apprenticeable
Occupations Regulations of Labor Code, Section 1777.5, including
compliance by all subcontractors.

CITY OF ARCADIA SPECIFICATIONS FOR THE
LANDSCAPE MAINTENANCE OF WATER FACILITIES
I. The contractor is to provide all the necessary labor, materials,
equipment and transportation required for a complete maintenance service
on all Water Division properties as described in Exhibit A and as listed
below:

B. Longden Plant, 1179 East Longden Avenue (East of Little League field)
C. Longden #2 Well, 1179 East Longden Avenue (West of Little League
field)
D. Camino Real Plant, 141 East Camino Real Avenue
E. St. Joseph Plant, 230 North Second Avenue
F. Orange Grove Plant, 67 West Orange Grove Avenue
G. Longley Well, 2401 El Monte Avenue
H. Rancho #6 Well, 1160 Hugo Reid Drive
I. Rancho #8 Well, 26 Corto Road
J. Hugo Reid #1 Well, 1128 De Anza Place
K. Chapman #1 Well, 48 Carol Pine Lane

II. The City's Director of Public Works shall be the judge of all work
performed by the contractor. If in the Director's opinion, the
contractor fails to perform the work to the extent that the provisions of
this Agreement are not being accomplished, the contractor shall, upon
order from the Director, immediately take the steps necessary to fully
comply with said provisions. Should the contractor fail to take the
necessary steps after orders of the Director to do so, the Director may
suspend the Agreement for any period of time up to and including the next
regular meeting of the Arcadia City Council, at which time the Arcadia
City Council may reinstate or terminate the Agreement. No sums shall be
due or payable to the contractor for or during any time of such
suspension.

As an alternate to suspension of the Agreement, the Director may cause an
estimate to be made of the cost of that portion of the work that is not
being performed to the satisfaction of the Director, and to withhold such
sum from the contractor's monthly payment. If prompt corrective action
is not taken by the contractor, the Director will perform said work and
it will be paid for with the withheld funds.
III. The Agreement shall not be assignable or transferable by either party
without the express consent of the other.
IV. The contractor must submit with his bid a detailed analysis of locations,
names, telephone numbers, and addresses where the contractor has
successfully completed maintenance operation of landscaped areas, the
magnitude of which shall be comparable to the scope and size of
operations described herein.
V. The contractor shall maintain adequate Workers' Compensation Insurance
under the laws of the State of California for all labor employed by him
or by any subcontractor under him who may come within the protection of
such Workers' Compensation Insurance laws.
VI. The contractor shall maintain public liability insurance to protect said
contractor and the City against loss from liability imposed by law, for
damages on account of bodily injury, including death resulting therefrom,
suffered or alleged to have been suffered by any person or persons, other
than employees, resulting directly or indirectly from the performance or
execution of this contract or any subcontract thereunder, and also to
protect said contractor and the City against loss from liability imposed
by law for damage to any property, caused directly or indirectly by the
performance and execution of this contract or of any subcontract
thereunder. Said public liability and property damage insurance shall be
maintained by the contractor in full force and effect during the entire
period of performance under this contract, in the amount of not less than
Three Hundred Thousand Dollars ($300,000.00), for one person injured in
one accident, and not less than Four Hundred Thousand Dollars
($400,000.00) for more than one person injured in one accident, and in
the amount of not less than One Hundred Thousand Dollars ($100,000.00)
with respect to any property damage aforesaid.
VII. Payments to the contractor will be made monthly and will be payable on
the tenth day of the month following each month during which the
Agreement shall have been satisfactorily performed by the contractor.
VIII. The materials to be supplied and labor to be performed in the ordinary
maintenance of the landscaped areas for the unit prices set forth in the
Bid Items of this Agreement shall consist of the following:

A. Mowing and Edging: Lawns shall be mowed not less than once weekly,
however, during active growing season, the lawn shall be maintained
at a height of 1 ". Lawns shall be edged once bi- weekly. Lawns shall
be swept weekly to maintain a neat appearance. If a lawn area is not
mowed weekly or edged bi- weekly, the City shall deduct from the
monthly payment the cost of labor and equipment value of performing
this operation. The value shall be determined by the Director of
Public Works or his agent and the money shall be non - refundable.
B. The contractor shall remove and control weeds which grow in and
through cracks, seams and edges of the asphalt or concrete paving in
and around Water Division properties.
Failure to comply will result in a penalty against payment of
contract which is not refundable and will be determined by the
Director of Public Works.
C. Tree and Shrub Maintenance and /or Replacement: Dead or undesirable
trees, shrubs, or plants or those deemed by the Director of Public
Works to be a safety hazard shall be removed by the contractor and
replaced. Trees replaced shall be 15 gallon size and shrubs shall be
5 gallon size, and shall be supplied by the City. Replacement
occasioned by contractor's negligence shall be at contractor's
expense.
D. Miscellaneous Items
1. All refuse resulting from the contractor's operation shall be
disposed of by the contractor at his sole expense.
2. Dust or nuisance conditions occasioned by the contractor's work
shall be alleviated.
3. Each working crew shall have a lead man who can speak English
sufficiently well to discuss work items with a City
representative.
4. Stakes and guy wires shall be provided and maintained by the
contractor where required.
5. Contractor's work force shall be properly attired at all times.
Dress standards shall be equal to maintenance men of the City of
Arcadia. Alcoholic beverages shall not be consumed by the men
during working hours.
6. Ordinary maintenance shall include cleanup and disposal of all
foreign debris that is found in any landscaped area which is part
of this Agreement. Such cleanup shall be performed whenever the
contractor is notified to do so.

E. Extraordinary Work: Work performed by the contractor at the request
and prior approval of the City shall be paid for at a reasonable rate
for materials and labor for the following items.
1. Planting additional trees and shrubs.
2. Replacements or repairs due to wind or storm damage or other Acts
of God.
F. Unless cancelled by the mutual consent of both parties, the Agreement
to be executed by the successful bidder will be in full force and
effective for a period of one to three years from the date thereof
and work will begin on September 1, 1992.
G. The contractor shall have and be familiar with safety orders issued
by the State Division of Industrial Safety and shall comply with
provisions of these and all other applicable laws, ordinances, and
regulations governing safety, health, and sanitation. The contractor
shall provide all safeguards, and protection equipment and take any
other needed action reasonably necessary to protect the life and
health of employees on the job and safety to the public in connection
with the performance of the work covered by the contract.
