AMENDMENT NO. 1 TO THE AGREEMENT FOR INTERIOR
RENOVATION SERVICES BY AND BETWEEN THE CITY OF
ARCADIA AND CHARLES WALTON ASSOCIATES, A CALIFORNIA
CORPORATION
This Amendment No. 1 ( "Amendment No. 1") is hereby entered into by and between the
City of Arcadia, a municipal corporation in the state of California, and CHARLES WALTON
ASSOCIATES, A CALIFORNIA CORPORATION with respect to that certain Professional
Services Agreement between the parties dated May 14, 2002 ( "Agreement ").
The parties agree as follows:
1. Section 3. 1.1 of the Agreement is amended to read as follows:
3.1.1 General Scope of Services. Consultant promises and agrees to furnish to
the City all labor, materials, tools, equipment, services, and incidental and customary
work necessary to fully and adequately supply the professional interior renovation
services necessary for the Project ( "Services "). The Services are more particularly
described in Exhibit "A -1" attached hereto and incorporated herein by reference. All
Services shall be subject to, and performed in accordance with, this Agreement, the
exhibits attached hereto and incorporated herein by reference, and all applicable local,
state and federal laws, rules and regulations.
2. Section 3.1.2 of the Agreement is amended to read as follows:
3.1.2 Term. The term of this Agreement shall be extended through and
including June 30, 2003, unless earlier terminated as provided herein. Consultant shall
complete the Services within the term of this Agreement, and shall meet any other
established schedules and deadlines.
3. Section 3.2.2 of the Agreement is amended to read as follows:
3.2.2 Schedule of Services. Consultant shall perform the Services
expeditiously, within the term of this Agreement, and in accordance with the Schedule of
Services set forth in Exhibit "B -1" attached hereto and incorporated herein by reference.
Consultant represents that it has the professional and technical personnel required to
perform the Services in conformance with such conditions. In order to facilitate
Consultant's conformance with the Schedule, City shall respond to Consultant's
submittals in a timely manner. Upon request of City, Consultant shall provide a more
detailed schedule of anticipated performance to meet the Schedule of Services.
4. Section 3.3.1 of the Agreement is amended to read as follows:
3.3.1 Compensation. Consultant shall receive compensation, including
authorized reimbursements, for all Services rendered under this Agreement at the rates
set forth in Exhibit "C -1 " attached hereto and incorporated herein by reference. The total
compensation shall not exceed Twenty Four Thousand Five Hundred Dollars ($24,500)
without written approval of the City's Assistant City Manager/Development Services
Director. Extra Work may be authorized, as described below, and if authorized, will be
compensated at the rates and manner set forth in this Agreement.
5. All of the remaining terms and provisions of the Agreement are hereby reaffirmed.
In witness whereof the parties have executed this Amendment No. 1 on the date set forth
below.

EXHIBIT "A -111
AMENDMENT TO THE SCOPE OF SERVICES
The services required by the City include but are not limited to the following:
Design Development
➢ Meetings with Library staff as required to define full scope of project
including cabinetry and stack design.
➢ Meetings with staff to define electrical and data requirements.
➢ Develop mechanical, electrical and plumbing design with consultants.
➢ Review statement of probably cost with input from consultants.
Construction Documents
➢ Prepare drawings including: architectural, mechanical, electrical and
plumbing.
➢ Prepare technical specifications.
➢ Submit to plan check and obtain building permits.
➢ Assist City in answering RFI's and questions during the bidding process.
➢ Assist City in analyzing bids.
Construction Observation
➢ Attend weekly job meetings and field visits (assume eight)
➢ Review submittals and shop drawings.
➢ Answer RFI's
➢ Assist City in preparing final punch list.
Charles Walton Associates will be required to retain any and all subcontractors to complete
the assignment.

AMENDMENT TO THE SCHEDULE OF SERVICES
The term of this Agreement shall empire on June 30, 2003 provided that Consultant requested
data and City actions are provided/taken in a timely manner in accordance with the agreed upon
schedule.

AMENDMENT TO THE COMPENSATION
Design Development (billed hourly, not to exceed) $5,000.00
Construction Documents $15,500.00
Construction Observation (billed hourly, not to exceed) $3,500.00
Reimbursables (not to exceed) $500.00
TOTAL $24,500.00
Additional meetings will be billed at an hourly rate. Hourly rates are as follows:
