For valuable consideration, receipt of which is hereby acknowledged, METRO GOLD LINE
FOOTHILL EXTENSION CONSTRUCTION AUTHORITY, a public agency existing under the
authority of the laws of the State of California, TRUSTEE OF THE LOS ANGELES - PASADENA
METRO BLUE LINE GOVERNMENTAL PROPERTY TRUST U /T/D DATED AUGUST 19, 1999
( "Grantor "), hereby grants to the CITY OF ARCADIA, a California municipal corporation
( "Grantee "), the following described real property in the City of Arcadia, County of Los Angeles, State
of California for plaza area, including without limitation pedestrian access, purposes:
SEE LEGAL DESCRIPTION IN EXHIBIT "A" ATTACHED HERETO
AND PLAT OR MAP IN EXHIBIT `B" ATTACHED HERETO ( "Grantee Parcel "); EXHIBITS "A"
AND "B" ARE INCORPORATED HEREIN BY THIS REFERENCE.
Excepting therefrom a reservation of easement as follows: Grantor hereby reserves, for itself, its
successors, heirs, assigns and successors -in- interest, an exclusive permanent and perpetual storm drain
easement and appurtenances thereto, in, on, along, through, above, below, over, under and across that
portion of the Grantee Parcel described in Exhibit "C" attached hereto and incorporated herein by this
reference and shown on the plat or map in "Exhibit D" attached hereto and incorporated herein by this
reference ( "Easement Area "), together with the right to remove, but including the responsibility to
replace in kind, any improvements, brush, trees, shrubs, asphalt, pavers or concrete paving and any
other improvements and, at any time and from time to time, locate, relocate, construct, reconstruct,
operate, maintain, repair, replace, renew, enlarge and/or remove the storm drain, storm drain system
and appurtenances thereto (for example, water, storm water, and/or waste water drain(s), drainage
ditch(es), culvert(s), channel(s), pipe(s), pipeline(s), basin(s), and/or catch basin(s), together with any

and all appurtenances pertaining thereto), across the Easement Area for all purposes convenient and
useful in connection with or incidental to the use or the exercise of the rights reserved in this
instrument, including the right to temporarily store excavated and construction materials as well as
tools, implements and excavation, construction, transportation and other equipment on and /or adjacent
to said easement and with the right of ingress and egress at all times to and from said easement and the
easement area at locations that will not unreasonably interfere with Grantee's reasonable use of the
Grantee Parcel for plaza area, including without limitation pedestrian access, purposes.
Grantor's rights shall inure to the benefit of and may be exercised by said Grantor, its directors,
officers, agents, representatives, employees, licensees, successors, assigns, heirs and successors -in-
interest, and by any consultant, contractor, subcontractor, supplier and its or their directors, officers,
agents, representatives and employees engaged by, through or under Grantor, its licensees, successors,
assigns, heirs and successors -in- interest, whenever and wherever necessary or convenient for the
purposes set forth in this instrument.
The easement reserved herein shall be enforceable as an easement upon the Grantee Parcel, and shall
be binding upon the Grantee Parcel, each person or entity having or acquiring any right, title or interest
in the Grantee Parcel or any part of it or any improvements on the Grantee Parcel or any part of it, and
upon Grantee's successors, heirs and assigns owning all or a portion of the Grantee Parcel. Except as
contemplated by this instrument, Grantee shall at all times keep the easement and the Easement Area
free and clear of permanent structures, debris, parked or stored vehicles or trailers, trees, landscaping
(except for minor features and shrubs) and any other objects that may (i) obstruct ingress and egress
over, above, on, under, in, across, along and through the Easement Area or (ii) adversely impact or
adversely affect the use of Easement Area by Grantor or those claiming by, through or under Grantor
as permitted or contemplated by this instrument. Grantee shall not plant any tree within or erect any
fence, wall or any other type of structure over, across or upon said easement or the Easement Area
without first obtaining written permission from Grantor. Any fencing on or impacting the easement or
Easement Area shall be approved in advance and in writing by Grantor, and shall be gated by Grantee
in a manner, as well as at a location(s) and width(s), that allows access by applicable vehicles,
equipment and personnel, as approved in advance and in writing by Grantor.
