RECITALS WHEREAS,pursuant to the conditions set forth in the CUP,the City of Arcadia specifies criteria which must be met in order to utilize a shared parking covenant to satisfy on-site parking requirements. A. Landlord and Tenant are parties to that certain lease dated March 19,2016(the"Lease"),for Suite/Unit 52 ("Premises")located at 52-54 E.Live Oak Ave,Arcadia,CA 91106("Building"). B. Landlord agrees to provide Tenant with reciprocal access to parking for other properties owned and managed by Landlord,all as hereinafter provided to satisfy the City's CUP requirements. NOW,THEREFORE,in consideration of the foregoing recitals and the mutual covenants contained herein,and for other good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged,the parties hereto hereby agree as follows: 1. Reciprocal Parking.In addition to the spaces provided in the parking lot areas designated for the Premises in accordance with Section 2.5 of the Lease,Tenant shall have access to and use of parking for the property currently owned and managed by the Landlord at and proximate to the Building. Said property is located at 30-40 E.Live Oak Avenue,Arcadia(APN 8573-023-009). The property on which the Premises are located,52-54 E.Live Oak Avenue,Arcadia is APN 8573-023-006(legal description of the properties attached hereto as"Exhibit A").Any properties described in Exhibit A other than 52-54 E. Live Oak Avenue,Arcadia(APN 8573-023-006)and 30-40 E.Live Oak Avenue,Arcadia(APN 8573- 023-009)shall not be included under the terms and conditions of this Covenant. „ • O a 2. The property or portion thereof on which the parking spaces are located will not be made subject to a gt any other covenant or contract for use which interferes with the Tenant's parking use,without prior written consent of the City. 5. The provisions and conditions of this Agreement shall run with the land for those properties referenced in paragraph 1 of this document and be enforceable against successors in interest and assigns of the signing parties,unless terminated by the City. 6. This Covenant shall continue to be binding and in effect during the term of the Lease and any extension thereof,and shall not be amended or terminated,without the prior written approval of the City.Notwithstanding the aforementioned,the Covenant shall automatically terminate at the same time the Lease terminates,without approval of the City required therefore;provided however,that the City's Community Development Administrator shall be notified in writing of the lease termination promptly upon termination of the lease. �� 7. No Other Modification.The Landlord and the Tenant agree that their Lease shall remain in full force and effect. To the extent of any inconsistency between the terms and conditions of the Lease and the terms and conditions of this Covenant,the terms and conditions of this Covenant shall apply and govern the Landlord and the Tenant. "EXHIBIT A" LEGAL DESCRIPTION PARCEL 1: Lots 4 to 6 inclusive and 10 to 12 inclusive of Tract No. 15628, in the City of Arcadia, County of Los Angeles, State of California,as per Map recorded in Book 354, Pages 24 and 25 of Miscellaneous Maps, in the Office of the County Recorder of said County. PARCEL 2: Lots 3 of Tract No. 13623, in the City of Arcadia, County of Los Angeles, State of California, as per Map recorded in Book 278, Page 29 of Miscellaneous Maps, in the office of the County Recorder of said County.
