AMENDMENT NO. 2 TO PROFESSIONAL SERVICES iK- -7,11 74 AGREEMENT FOR THE CONGREGATE SENIOR MEALS PROGRAM J " This Amendment No. 2 ("Amendment No. 2") is hereby entered into by and between the City of Arcadia, a municipal corporation of the State of California, and Preferred Meals/Unified Nutrimeals, a Sole Proprietorship, with respect to that certain Professional Services Agreement between the Parties dated June 13, 2017 ("Agreement"), and further amended by Amendment No. 1 dated May 16, 2018. The Parties agree as follows: 1. Section 3.1.2 of the Agreement is amended by extending the Term from July 1, 2019 to June 30, 2020 ("Extended Term"). 2. Section 3.3.1 of the Agreement is amended to provide that for the Extended Term, the Compensation, is amended as referenced in the attached Exhibit "C". 3. All terms and provisions of the Agreement not amended by this Amendment No. 2 are hereby reaffirmed. In witness whereof the Parties have executed this Amendment No. 2 on the date set forth below. ("Assignor"), Preferred Meal Systems, Inc. ("Assignee")and the City of Arcadia (the"Client"). BACKGROUND WHEREAS,Assignor is a party to that certain Congregate Senior Meals Program(the"Agreement") dated as of May 16,2018 between Assignor and Client; WHEREAS,Assignor and Assignee are both companies who provide services in connection with the provision and sale of food, beverages,goods and merchandise; WHEREAS,Assignee has offered to purchase certain interests of Assignor, including all rights and obligations under this Agreement(the"Purchase Agreement"); WHEREAS, in conjunction with such offer,Assignor has agreed to assign Assignee all of its rights and obligations under the Agreement and other agreements; WHEREAS,Assignee has agreed to assume this Agreement;and WHEREAS,to the extent such purchase occurs,Client agrees to consent to this Assignment. AGREEMENT NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,the parties hereto agree as follows: 1. To the extent that Assignor purchases Assignee's interest in the Agreement, Client hereby consents to the foregoing assignment and assumption of rights of the Agreement. 2. All terms and conditions of the Agreement are hereby ratified, confirmed, and approved in ail respects by the parties hereto. 3. Provided, however, that to the extent Assignor and Assignee do not enter into the Purchase Agreement,this Assignment shall be null and void.
