AMENDMENT NO. 1 TO THE PROFESSIONAL \\ -kg3
SERVICES AGREEMENT REGARDING
LIBRARY SUBSCRIPTION SERVICES
This Amendment No. 1 ("Amendment No. 1") is hereby entered into by and between the City of Arcadia,
a charter city organized under the Constitution and laws of the State of California, and EBSCO
Information Services, a division of EBSCO Industries, a Delaware Corporation with its principal place
of business in Birmingham, AL ("Consultant") with respect to that certain Professional Services
Agreement between the Parties dated June 27, 2017 ("the Agreement").
The Parties agree as follows:
1. Section 3.1.2 of the Agreement is amended by extending the term for the period January 1,
2022 through December 31, 2022 ("Extended Term").
2. For the Extended Term, Section 3.3.1 of the Agreement is amended by deleting "EIGHTEEN
THOUSAND FIVE HUNDRED DOLLARS ($18,500)"and by substituting therefor"TWENTY-
NINE THOUSAND SEVEN HUNDRED DOLLARS ($29,700)."
3. The Agreement is amended for the Extended Term by replacing Exhibit "C" with a new
Exhibit "C" attached hereto.
4. All of the remaining terms and provisions of the Agreement are hereby reaffirmed.
In witness whereof the Parties have executed this Amendment No. 1 on the date set forth below.

COMPENSATION
Consultant shall regularly submit to City itemized statements detailing the subscription price
per title and the overall discount. City shall, within forty-five (45) days of receiving such
statement, review the statement and pay all approved charges thereon.
The cost of materials ordered by the City as well total compensation paid to Consultant shall
not exceed TWENTY-NINE THOUSAND SEVEN HUNDRED DOLLARS ($29,700) for each
fiscal year without written approval of the City Manager. Extra Work may be authorized as
described, and if authorized, will be compensated at the rates and manner set forth in this
Agreement.
