SPECIAL SERVICES CONTRACT
This Agreement ("Agreement") is entered by and between the City of Arcadia ("City") and
Arctic Glacier ("Contractor").
1. The Contractor agrees to conform to and abide by the policies and regulations established by
the Recreation & Community Services Department ("Department") and, if applicable, the
Senior Services Department, and to cooperate with relevant department in all matters relating
to provision the activity.
2. Date of agreed performance is Saturday, December 1, 2018 at (time) 9:OOam-2:OOpm.
Location of performance is Arcadia Community Center, 365 Campus Drive, Arcadia 91006.
3. Contractor shall provide services as follows: Four wooden sled ramps with metal stairs,
delivered, set-up and picked-up; two play areas (One 40x 40 and One 30 x 30) plus four sled
runs fifty feet in lenqth; fifty tons of snow blown as needed for the above events; complete with
snowman using 1,000 lbs. of snow; 68 hale bays delivered and picked-up.
4. Contractor warrants that all services will be performed in a competent, professional and
satisfactory manner in accordance with the standards prevalent in the industry.
5. Access to the location shall be provided to the Contractor at the Arcadia Community Center,
and all equipment shall be removed from the location no later than December 1, 2018 at
2:00pm.
6. Contractor will be paid the sum of$ 13,181.61 for services provided. Payment shall
be made at the conclusion of the event.
7. The Contractor and all of the Contractor's performers shall abide by all City ordinances and
laws pertaining to conduct, smoking, drinking and use of illegal drugs.
8. Contractor agrees that if the City's representative at the performance considers the
Contractor's behavior as unsuitable or offensive, or sufficient reason exists to cancel
agreement, and no payment will be made.
9. After start of performance, if the program is canceled by the City and not due to circumstances
either caused or controlled by the Contractor, full payment will be made.
10. The Contractor shall not be an employee of the City, but instead shall be an independent
Contractor and not an employee of the City of Arcadia. The City shall provide Contractor
with IRS Form 1099 at year's end, and the Contractor shall be responsible for reporting
income to State and Federal Governments. The Contractor understands that he or she is not
covered under the Social Security Act, State Unemployment Insurance, Workmen's
Compensation Insurance, and shall not receive any City employee benefits. The Contractor
shall receive no compensation other than as set forth above and shall not be entitled to any
employee benefits or worker's compensation insurance coverage from the City of Arcadia.

11. Immigration Reform and Control Act. Contractor acknowledges that Contractor, and all
subcontractors hired by Contractor to perform services under this Agreement, are aware of
and understand the Immigration Reform and Control Act ("IRCA"). Contractor is and shall
remain in compliance with the IRCA and shall ensure that any subcontractors hired by
Contractor to perform services under this Agreement are in compliance with the IRCA. In
addition, Contractor agrees to indemnify, defend and hold harmless the City, its agents,
officers and employees, from any liability, damages or causes of action arising out of or
relating to any claims that Contractor's employees, or the employees of any subcontractor
hired by Contractor, are not authorized to work in the United States for Contractor or its
subcontractor and/or any other claims based upon alleged IRCA violations committed by
Contractor or Contractor's subcontractor(s).
12. The Contractor agrees to indemnify and hold harmless the City for any and all claims arising
out of any personal injury, disability, or death and/or any damage to property arising out of or in
connection with Contractor's performance of this Agreement.
13. The Agreement shall continue in full force and effect until terminated by either party.
14. The City reserves the right to terminate this Agreement at any time, with or without cause. In
the event of such termination, the City shall pay the Contractor for services satisfactorily
performed up to and including the date of termination.
