TO MAINTAIN OFF-SITE PARKING
AND TO COMPLY WITH
CITY OF ARCADIA'S PARKING REQUIREMENTS
THIS COVENANT AND AGREEMENT IS MADE WITH REFERENCE TO THE
FOLLOWING RECITALS:
A. Long Kim Huot and Tawny Tran Huot(collectively"Huot")are the owners of certain
premises located at Vacant Lane-APN 8532-017-004, Arcadia, CA 91006 (hereinafter,
"PARCEL 1"), further described with its legal description as follows:
LEGAL DESCRIPTION
THE LAND REFERRED TO HEREIN BELOW IS SITUATED IN THE COUNTY OF LOS
ANGELES, STATE OF CALIFORNIA.AND IS DESCRIBED AS FOLLOWS:
LOTS 1357, 1358, 1359, 1360 AND 1361 OF THE CHICAGO PARK TRACT,IN THE CITY
OF ARCADIA, AS PER MAP RECORDED IN BOOK 30 PAGE 100 OF MISCELLANEOUS
RECORDS,IN THE OFFICE OF THE COUNTY RECORDER OF SAID COUNTY.
EXCEPT THEREFROM THE NORTHEAS 1'ERLY 5 FEET OF SAID LAND AS GRANTED
TO THE CITY OF ARCADIA, A MUNICIPAL CORPORATION BY DEED RECORDED
NOVEMBER 7, 1973 AS INSTRUMENT NO. 4783, OFFICIAL RECORDS.

B. Knockouts Gentlemen's Club conducts an adult business at the premises located at 1580
Clark St,Arcadia, CA 91066 (hereinafter, "PARCEL 2"), further described with its legal
description as follows:
LEGAL DESCRIPTION
THE LAND REFERRED BELOW IS SITUATED IN THE CITY OF ARCADIA, COUNTY OF
LOS ANGELES, STATE OF CALIFORNIA AND IS DESCRIBED AS FOLLOWS:
LOTS 1365 TO 1372 INCLUSIVE OF CHICAGO PARK, IN THE CITY OF ARCADIA,
COUNTY OF LOS ANGELES, STATE OF CALIFORNIA, AS PER MAP RECORDED IN
BOOK 30 PAGE 100 OF MISCELLANEOUS RECORDS.IN THE OFFICE OF THE
COUNTY RECORDER OF SAID COUNTY.
EXCEPT THE NORTHEASTERLY 5 FEET OF LOTS 1369, 1370, 1371 AND 1372
THEREOF.
C. Exhibit A describes the parking spaces on PARCEL 1 and that are subject to
this Covenant and Agreement that are to be utilized as the required parking for Knockouts
Gentlemen's Club, the adult business located of 1580 Clark Street,Arcadia, California.
D. The City of Arcadia requires that the property described in Parcel 1 have parking
to comply with City zoning requirements. It is intended by this Covenant and Agreement
that the property described as Parcel 1 provides the City of Arcadia's required parking
spaces for 1580 Clark Street,Arcadia(Parcel 2).
E. Exhibit A describes the parking spaces on Parcel 1 and that are subject to
this Covenant and Agreement that are to be utilized as the required parking for Knockouts
Gentlemen's Club, which is an adult business located at 1580 Clark St,Arcadia, CA
91066
D. All of the property described in these Recitals is contiguous to public land and it is
intended that this Covenant and Agreement benefit that public land.
COVENANT AND AGREEMENT
1. All Recitals are incorporated by reference and are made a part of this Agreement.
2. The Covenantors are Huot and Knockouts Gentlemen's Club. and the Covenantee is the
City of Arcadia. Huot and Knockouts each represent and warrant that they,respectively,
are the fee owners of the properties described in the Recitals, and that those persons
executing this Agreement on the behalf of their respective parties have full legal authority
to execute and record this Agreement, thereby binding each of the property owners,
respectively,to the terms of this Agreement.
3. This Covenant and Agreement is for the benefit of the City of Arcadia and shall run with
the land and be binding on the heirs, successors and assigns of the Covenantors.

4. This Covenant and Agreement is also required by the City of Arcadia in order to allow
the business conducted at 1580 Clark Street, Arcadia to use 1580 Clark Street facility as
an adult facility complying with City of Arcadia zoning requirements. Violation of this
Covenant and Agreement shall be proof that zoning requirements are not being complied
with and the use located at 1580 Clark Street,Arcadia shall no longer be permitted.
5. By means of this Covenant and Agreement, Huot shall make available, solely and
exclusively for the benefit of the business at 1580 Clark Street during the hours of 11:00
am through 2:00 a.m. every day,those certain parking spaces shown on Exhibit A.
Knockouts Gentlemen's Club shall post everyday and maintain in conspicuous places
signs indicating that the parking spaces described in Exhibit A are reserved exclusively
for the use of 1580 Clark Street between the hours of 11:00 am through 2:00 a.m. and
shall at all times take any and all necessary actions, in order to assure the exclusive
availability of such parking spaces for the use of 1580 Clark Street during said hours.
Huot shall maintain and repair, including, without limitation, striping of all parking
spaces, the parking spaces shown on Exhibit A.
6. Huot represents and warrants to the City of Arcadia that the exclusive use of the parking
spaces described in Exhibit A in accordance with this Covenant and Agreement does not
violate any existing lease or other agreement and shall not violate any future lease or
other agreement Huot may enter into.
7. In the event a permit to conduct an adult business at 1580 Clark Street terminates for any
reason,the City of Arcadia agrees to release Huot from the obligations of this Covenant
and Agreement and to execute any documents reasonably required to implement that
release.
8. Huot and Knockouts Gentlemen's Club agree that this Agreement shall be recorded
against those properties described in the Recitals, in the Office of the Recorder for the
County of Los Angeles.
9. Huot and Knockouts Gentlemen's Club agree that this Agreement shall not be terminated
unless and until thirty days' advance written notice is sent to the City Manager of the City
of Arcadia and the City of Arcadia thereafter approves of such termination.
