Terms and Conditions-
•
1. Fee for Services
1. The minimum fee for observations servicesty Deputy inspection Services, Inc. (D1S)will be based upon a fee for
a minimum of four(4) hours.
2. If the number of hours of observation services exceeds four(4)hours, but is less than eight(B)hours, the fee will
be based upon eight(8)hours.
II. Owner's Duties
1. Permits and Approvals: The Owner and/or his representative(i.e.,the Contractor)are responsible for all
necessary building permits and local municipal and/or state approval unless otherwise specified in writing.
2. Code Violations: D1S is not responsible for any existing building code violations and/or other municipal and/or
government codes,ordinances,and/or regulations. Corrections of Agreement, should they exist, are the
responsibility of the Owner, unless specifically provided in the Agreement,and DIS is not responsible to
determine or advise the Owner of such violations.
3. Notice of Sale Obligations: If the Owner sells any part or all of the Job site and/or the construction project, the
full amount remaining unpaid under this Observation Agreement to DM will become due and payable. The Owner
will provide DIS a written notice of sale within twenty-four(24)hours upon entering into an agreement for sale of
the job site and/or construction project
'IL Disputes •
1. Arbitration: In the event that any disputes arise between the Owner and DIS,related to this Observation
Agreement.and not resolved by mutual agreement,the dispute shall be submitted to binding arbitration in
accordance with the rules of commercial arbitration,the JAMS or ENDISPUTE
2. Cost&Fees: In the event that a dispute arises between the parties related to in this Observation Agreement the
prevailing party shall be entitled to recover from the non-prevailing party all cost incurred in the connection with

1.. Agreement: This Agreement embodies the entire agreement of the parties. No understanding or agreement,
verbal or otherwise, exists between the parties,except as expressly set forth in this Agreement

respect whatsoever the validity of the remainder of this Agreement

4. Cancellation by Owner. This Observation Agreement involves personal the services of employees of DIS. As
such,this Observation Agreement cannot be cancelled by the Owner for any reason, once DIS employees arrives
at the job site.
5. Breach: If Owner breaches any provisions of this Observation Agreement related to payment of observations
services in addition to all other remedies available,DlS has the right to a mechanic's lien. If at any time, payment
owed to DIS by the Owner is in default for a period of five(5)days or more,the Owner shall pay interest to D1S at
the rate of 1.5%of the unpaid amount owed for each month such amount remains unpaid.
6. Non-Assignability: DIS or the Owner may not assign this Observation Agreement,either voluntarily or by
operations of law. My attempted assignment shall be null and void.
7. Consequential Damages: DIS shall not be liable for any consequential damages, incidental or otherwise. DIS's
liability to the Owner,connected with this Observation Agreement,including,without limitation, for breach of this
agreement, shall in no event exceed the aggregate amount of all payment received by D1S from the Owner, minus
cost incurred by DIS.
8. Modification: No modifications, variations and/or changes to this.Agreement shall be binding upon DIS or the
Owner unless mutually agreed to in writing.
