HomeMy WebLinkAboutC-3095-1 CWAS AMENDMENT NO. 2 TO THE PROFESSIONAL SERVICES AGREEMENT FOR POLICE STATION CAMERA SYSTEM MAINTENANCE SERVICES This Amendment No. 2 ("Amendment No. 2") is hereby entered into by and between the City of Arcadia, a charter city organized under the Constitution and laws of the State of California, and CelPlan Technologies, Inc., a Virginia Corporation, with respect to that certain Professional Services Agreement between the parties dated November 9, 2016 ("Agreement"). The parties agree as follows: 1. Section 3.1.2 of the Agreement is amended by extending the term to November 1, 2020, through October 31 , 2021 ("Extended Term"). 2. Section 3.3.1 of the Agreement is amended to provide that for the Extended Term of November 1 , 2020, through October 31 , 2021 , the City agrees to pay CelPlan Technologies, Inc. a total sum not to exceed thirteen thousand nine hundred ninety-five and zero cents ($13,995.00) as referenced in the attached "Exhibit C". 3. All of the remaining terms and provisions of the Agreement are hereby reaffirmed. However, I note for FUTURE consideration by the Police Department and others the following notes: (1) In the opening paragraph of the Agreement, if there has been a prior amendment, it should be noted such as, for example ", as amended by Amendment No. 1 dated (2) The word "dollars" is missing in the amount of compensation, in both places where it is found. We will overlook these in the present Agreement. But worth noting for the future. Thanks.
