REROOF CHAMBER OF COMMERCE
CONTRACT
BID 9091 -12
THIS CONTRACT, made and executed this 19th day of September 1990, by and
between the City of Arcadia, California, hereinafter referred to a "City ", and Weatherite
Roofing hereinafter referred to a "Contractor" and "Bidder ":
WITNESSETH: City and Contractor do mutually agree as follows:
1. The Notice Inviting Bids, Bid, Specifications and all amendments thereof, when
approved by the parties hereto, copies of which are attached hereto, are hereby
incorporated in and made a part of this Contract by reference, as though fully set forth
herein, and all of the foregoing shall constitute the Contract documents.
2. Contractor agrees to reroof Arcadia Chamber of Commerce Building within time
specified in its bid in strict conformance with the contract documents.
3. City agrees to pay contractor the amount specified in the Contract documents
and in the manner specified therein.
4. Time is of the essence of this Contract. If Contractor should fail to complete
the reroofing of Arcadia Chamber of Commerce, as specified in paragraph 2 above, City
may give 30 days' written notice to Contractor to make said delivery, and if Contractor
fails to do so, Contractor shall be liable to City for damages incurred by such failure,
including, but not limited, to, the price differential in reroofing the Arcadia Chamber of
Commerce in conformance with the Contract documents on the open market from
another vendor, with or without advertised competitive bidding.
5. Contractor agrees that City is not obligated to make final payment until
completion of the reroofing of Arcadia Chamber of Commerce. Inspection for compliance
and acceptance is made by the Director of Public Works.
6. Contractor shall obtain adequate liability, collision and property damage
insurance to cover the work done at the Chamber of Commerce areas and all operators
thereof at no cost to the City. Such insurance must be approved by the City Attorney and
shall remain in effect until written acceptance of the reroofing of the Chamber of
Commerce by the Director of Public Works.

7. Contractor agrees that in the performance of this Contract, Contractor is an
independent Contractor, not an employee, agent or officer of the City.
8. This Contract shall be interpreted, construed and given effect in all respects
according to the laws of the State of California.
9. Contractor shall not assign this Contract, or any part thereof, or any monies
due or to become due thereunder without prior written consent of City.
10. Contractor shall indemnify and save harmless the City, and its officers and
employees, from and against any and all claims, demands, suits, loss, damage, injury and
liability, including costs and expenses incurred in connection therewith, however caused,
resulting from, arising out of, or in any way connected with the performance of the
contract, including delivery and unloading of the supplies and equipment.
11. Contractor shall hold the City, its officer, agents, and employees, harmless
from liability of any nature or kind, including costs and expenses, for infringement or use
of any copyrighted or uncopyrighted composition, secret process, patented or unpatented
invention, article or appliance furnished or used in connection with the Contract.
12. Contractor warrants that no gratuities (in the form of entertainment, gifts, or
otherwise) were offered or given by the Contractor, or any agent or representative of the
Contractor, to any officer or employee of the City with a view toward securing the
Contract or securing favorable treatment with respect to any determinations concerning
the performance of the Contract. For breach or violation of this warranty, the City shall
have the right to terminate the contract, either in whole or in part, and any loss or
damage sustained by the City in procuring on the open market any items which the
vendor agreed to supply shall be borne and paid for by the Contractor. The rights and
remedies of the City provided in this clause shall not be exclusive and are in addition to
any other rights and remedies provided by law or under the Contract.
13. Rights and remedies or City for default:
(a) In the event any item furnished by the Contractor in the performance of the
Contract should fail to conform to the specifications therefor, the City may reject the same
and it shall thereupon become the duty of the Contractor to reclaim and remove the same
forthwith, without expense to the City and immediately to replace all such rejected items

with others confirming to such specifications; provided that should the Contractor fail,
neglect or refuse so to do, the City shall thereupon have the right to purchase in the open
market, in lieu thereof, a corresponding item and to deduct from any monies due or that
may thereafter become due to the Contractor and difference between the price named
in the Contract documents and the actual cost thereof to the City.
(b) In the event of the cancellation of the Contract, either in whole or in part,
by reason of the default or breach thereof by the Contractor, any loss or damage
sustained by the City in procuring any items which the Contractor therein agreed to
supply shall be borne and paid for by the Contractor.
(c) The rights and remedies of the City provided above shall not be exclusive
and are in addition to any other rights and remedies provided by law or under the
contract.
14. Subject to the provisions of this Contract, all terms, covenants, conditions and
provisions hereof shall inure and to and shall bind each of the parties hereto and each
of their respective heirs, executors, administrators, successors and assigns.
15. EQUAL OPPORTUNITY: During the performance of this Contract the
Contractor /vendor will not discriminate against any employee or applicant for employment

CIVIL RIGHTS ACT OF 1964: Under Title VI of the Civil Rights Act of 1964, no the

benefits of, or be subjected to discrimination under any program or activity receiving

NOTICE INVITING BIDS
REROOFING OF ARCADIA CHAMBER OF COMMERCE BUILDING
BID # 9091 -12
NOTICE IS HEREBY GIVEN that the City of Arcadia, California will receive bids for the
REROOFING OF ARCADIA CHAMBER OF COMMERCE BUILDING as specified in
accordance with the contract- documents. Bids will be accepted in the Purchasing Office,
City Hall, 240 W. Huntington Drive, up to the hour of 11:00 A.M., September 11, 1990, at
which time and place they will be publicly opened. All bids must be on forms furnished
by the City, sealed and clearly marked, "REROOFING OF ARCADIA CHAMBER OF
COMMERCE, Bid 9091 -12, to be opened at 11:00 A.M., September 11, 1990."
Copies of the bid forms and specification documents may be obtained in the Purchasing
Office, City Hall, 240 W. Huntington Drive, Arcadia, California. Said specifications, bid
forms and contract documents are hereby referred to and incorporated herein and made
a part hereof by reference and all bids must strictly comply therewith.
The City reserves the right to accept any bid in whole or in part, or to reject any or all
bids and to waive any informalities or irregularities in the bids or in the bidding process,
and all bids binding for a period of thirty (30) days after the bid opening and may be
retained by the City for examination and comparison, as specified in the contract
documents.

GENERAL INSTRUCTIONS
0
A. The City of Arcadia is inviting quotations for the reroofing of the Chamber
of Commerce Building, located at 388 W. Huntington Dr., Arcadia, California.
All bids are to include labor, materials, services, applicable taxes and
equipment necessary to perform the work specified.
B. Each bidder shall be held responsible for familiarizing himself with conditions
to be encountered and requirements of the specifications.
C. Bids must be made on forms furnished by the City. Do not remove the
specifications or any of the pages herein but submit as a complete package.
D. To Qualify, each bidder must have a current, valid State of California roofing
contractor's license. The license number shall be clearly stated on the Bid
Proposal form. The license expiration date is to be stated, along with
statement that the representation made herein is made under penalty of
perjury. Any bid not containing this information or a bid containing
information which is subsequently proven false, shall be considered non-
responsive and shall be rejected by the City of Arcadia.
E. The successful bidder must obtain a City of Arcadia Business License, if he
has not already done so.
F. The contract, in the form contained in the contract documents, shall be
executed by the successful bidder in a manner approved by the Arcadia
City Attorney and returned to the City for the City Attorney approval and
execution.
G. A Corporation to which an award is made must furnish evidence of its
corporate existence and evidence that the officer signing the contract is duly
authorized to do so, along with contract executed by the corporation.
H. The award of the contract, if it be awarded, will be to the lowest responsible
bidder whose bid complies most closely to the requirements described. The
award, if made will be made within thirty (30) days after the bid opening.
II. INSURANCE
A. The Contractor shall maintain adequate Worker's Compensation Insurance
under the laws of the State of California for all labor employed by him or by
any subcontractor under him who may come within the protection of such
Worker's Compensation Insurance Laws.

B. The Contractor shall maintain public liability and property damage insurance
to protect said Contractor and the City during the entire period of
performance in the amount of not less than one million dollars ($1.000,000)
for one person injured in one accident and not less than two million dollars
($2,000,000) for more than one person injured in one accident, and the
amount of not less than one million dollars ($1,000,000) with respect to any
property damage. The certificate of insurance shall show the City of
Arcadia as additional insured and shall be issued in form and by insurer
satisfactory to the City and shall carry a ten (10) day notice of cancellation
clause.
III. BONDS (Bond forms are included in the big package)
A. BID BOND: All bids submitted must be accompanied by a Bidder's bond
in the amount of 10% of the bid total.
B. FAITHFUL PERFORMANCE BOND: To insure performance by the
Contractor for all work under said contract in a manner that is satisfactory
and acceptable to the City. This bond shall be 100% of the contract price
and shall be maintained by the Contractor in full force and effect during the
performance of the work until acceptance thereof by the City. TO BE
SUBMITTED AFTER AWARD OF THE CONTRACT.
C. LABOR AND MATERIALS BOND: To insure to the benefit of persons
furnishing materials to the contractor for and /or performing labor upon the
work of the Contractor. The Bond shall be 50% of the contract price and
shall be maintained by the Contractor in full force and effect during the
performance of the work and until acceptance thereof by the City. TO BE
SUBMITTED AFTER AWARD OF THE CONTRACT.
IV. WAGES
Contractor agrees to comply with and be bound by all provisions of the California
Labor Code and particularly by and with Chapter I of Part 7 of Division 2 of the
California Labor Code.
V. PAYMENT
Ninety percent (90 %) of the total amount due under the terms of the contract shall
be paid within fifteen (15) days following final approval, receipt of an original invoice
and acceptance by the City Engineer. The remaining ten percent (10%) shall not

VIII. WORK SCHEDULE
The successful bidder shall furnish a complete work schedule at least five days

IX. ROOFING MATERIALS AND SPECIFICATIONS
Roofing materials shall be manufactured by Henry Company or approved equal
and shall be installed pursuant to these specifications. Every part of the reroofing'
system described and shown in these specifications must be complete and
finished. NO deviations are to be made from the specifications without previous
written authorization from the City of Arcadia Director of Public Works.
X. BIDDER REFERENCE
The bidder shall list the name, address, phone number and contact of no less than
three references. Work for governmental agencies and school districts is preferred.
Acceptable will be references for commercial jobs.

REROOFING SPECIFICATIONS
ROOF PREPARATION:
Complete tear off and removal of existing roof. Contractor to remove and reinstall existing
air conditioning.
ROOF SYSTEM:
On flat area, apply one layer 80# buffer sheet granular side down. Apply one layer 25#
base sheet, cold application cement applied at rate of 2 gallons per 100 sq. ft. Apply top
layer of Ruftac using cold application cement at seams. Apply Henry #229 Reflective
Coating at approximate rate of 1 gallon per 100 sq. ft.
On sloped area, apply Class "B" Roof Covering using Red Tagged Exterior Fire -X Medium
Cedar Shakes applied over 1/2" CDX Plywood.
ROOF APPLICATION:
Along the eave line, a 36" wide strip of ABTM Type 30 roofing felt is laid over the
sheathing. The beginning or starter course at the eave line should be doubled. After
each course of shakes is applied, an 18" wide strip of Type 30 roofing felt is laid over the
top portion of the shakes and extending onto the sheathing with the bottom edge of the
felt positioned at a distance above the butt equal to twice the weather exposure.
NAILING:
Use two hot - dipped zinc - coated nails for each shake placing them approximately one inch
from each edge, and high enough to be covered an inch or two by the succeeding
course. Nails should be long enough to penetrate at least 3/4" or through the sheathing.
The butts of the shakes should project from 1 -1/2 to 2 inches from the first roof board
so that the rainwater will spill into the gutter or to the ground without working down the
side of the building. Individual shakes should be spaced about 1/4" to 3/8" apart to allow
for possible expansion. The joints or spaces between shakes should be broken or offset
at least 1 -1 /2" in adjacent courses and should be kept out of direct alignment in alternate
courses.
VALLEYS, HIPS AND RIDGES
The roof valley flashing shall be provided of not less than No. 28 galvanized sheet gauge
corrosion - resistant metal applied over an underlayment of not less than Type 15 felt. The
metal shall extend at least 11 inches from the center line each way. Hips and ridges can
be site- fabricated, or factory- formed hip and ridge units can be used. Weather exposure

should be the same as that used in applying shakes in the field of the roof, and nails
should be used of sufficient length (usually 8d) to firmly attach the hip and ridge shakes
to the underlying sheathing.
GUARANTEE:
The Contractor shall issue a written guarantee to the City to maintain the roof and flashing
in a watertight condition for a period of five years after installation at no cost to the City
which is due to defective materials or workmanship.
CLEANUP:
Debris resulting from this work shall be removed at the end of each working day and the
premises left in as good a condition as received. Care should be taken to protect existing
improvements. Damage to the building or existing improvements done by the Contractor
shall be repaired by the Contractor to the full satisfaction of the City Director of Public
Works and at no cost to the City.
NOTE:
Contractor shall not block the entrance to the Chamber of Commerce Building during this
operation. Access shall be maintained at all times.

Pursuant to the Notice Inviting Bids for the above described work, the undersigned as a
bidder, declares that he has carefully examined the location of the proposed above
described work and that he has read and examined the contract documents and is
familiar with all bid requirements, and hereby proposed and agrees, if this bid is accepted
by the City of Arcadia, that within ten (10) days, excluding Sundays, after written notice
of award of contract is mailed to bidder, bidder will execute and deliver to Clty Attorney
the contract form provided in the contract documents, the insurance certificates, and
special endorsements, the bonds required therein in a form approved by the City
Attorney. Contractor will also furnish all labor, materials and services necessary to
perform and complete all work required by the contract documents and all addenda
