This agreement is entered into on 11'h day of June, 2008, by and between City of Arcadia of Los
Angeles County, ( "City "), and the Board of Education of the Arcadia Unified School District of
Los Angeles County ( "District ") which agree as follows:
WHEREAS, Arcadia is desirous of contracting with District for said services; and
WHEREAS, District desires to provide such services under the terms and conditions hereinafter
set forth:
1. Provisions of Transportation Services: District, in consideration of the payments to be
made to District by City as set forth below, hereby agrees to provide transportation
services for the summer recreation program as requested, in accordance with Attachment
"A" and Attachment `B ", and additional trips as requested and mutually agreed upon
throughout the tern of this contract. A schedule of services to be provided under this
agreement shall be determined between the parties at least fifteen (15) days in advance of
the need for services.
2. Payment: In consideration of the services rendered by District under this agreement,
City agrees to reimburse District for transportation services in accordance with District's
proposal, Attachment `B ", dated May 22, 2007. Arcadia agrees to pay District Invoices
within 30 days.
3. Compliance With Law: While performing the duties required, District agrees to comply
with and observe all the provisions of the California Vehicle Code and all other
applicable laws.
In addition, District agrees that in the performance of this agreement, it shall comply with
all applicable state and federal regulations concerning non - discrimination against
protected groups.
4. Termination: Either party, at its sole discretion, may terminate this agreement upon
provision of thirty (30) days written notice of the intent to terminate to the other party.
5. Independent Contractor: City assumes no liability for the payment of salary, wages, or
other compensation to agents or employees of District performing services hereunder for
City or any liability other than that provided in this Agreement. City shall not be liable
for compensation or indemnity to officers or employees of District for injury or sickness
arising out of performance of this agreement.
6. Assignment: This contract may not be assigned by either party without the written
approval of the other.
A. District shall employ and train bus drivers assigned to drive City contracted buses in
such a manner as to meet or exceed State and Federal laws, rules and regulations
governing such requirements.

B. The buses and equipment used by District to provide City with transportation services
shall meet or exceed all State, Federal and County laws, rules and regulations
governing such requirements.
C. City shall have the right to request that District request a driver assigned to drive a
bus for City contracted services after City discusses their concerns regarding the
driver with District.
7. Modification: This contract may be modified by the mutual written consent of the
parties. No modification shall be valid unless written and signed by the parties.
8. Term: This contract shall become effective on July 1, 2008 and shall run for the period
ending June 30, 2009.
9. Indemnification: District shall indemnify, hold harmless, and defend City, its governing
board, officers, agents, employees from any and all claims, demand, loss, liability, injury,
death, suits or judgments derived from out of or alleged to arise out of or in consequence
of District's performance of this agreement, or from any act or omission of District, its
agents or employees, or any negligent or intentional act or omissions of District, its agents
or employees which injure or damage any participants or other third parties, including
City personnel or representatives.
City shall indemnify, hold harmless, and defend District, its governing board, officers,
agents, and employees from any and all claims, demands, loss, liability, injury, death,
suits, or judgments arising out of or alleged to arise out of or in consequence of City's
performance of this agreement, or from any act or omission of City's, its agents, or
employees, including, but not limited to any negligent or intentional acts or omissions of
City, its agents or employees which injure or damage any participants or other third
parties, including District personnel or representatives.
10. Insurance: District agrees to obtain and keep in force during the term of this agreement
a policy of comprehensive public liability insurance insuring District and City against any
liability for accident, injury or death arising out of or in consequence of this agreement.
Such insurance shall be in an amount not less than One Million Dollars ($1,000,000) for
any injury to or death of any person or persons in any single accident or occurrence. Said
policy of comprehensive public liability insurance shall guarantee to City at least thirty
(30) days written notice prior to cancellation and shall name City, its governing board,
officers, agents, employees as additional insured and shall state that such coverage is
primary to any other coverage of the City.
District shall obtain and maintain, or be self - insured for, during the period of this
agreement, broad form automobile liability insurance coverage with limits determined by
the City. Said insurance shall apply to both owned /leased and non -owned vehicles used
by District's employees or participants in the performance of this agreement.
In Witness Whereof, the parties to this agreement have caused their names to be affixed
hereto by the proper officers thereof.

The City of Arcadia has a contract with you under Purchase Order No 77587
which is due to expire on June 30, 2008. That purchase order was issued
based on your bid submitted on Quotation Request No. PA- 0708 -011 and is to
provide bus transportation services for the Recreation & Community Services
Department. The City of Arcadia hereby exercises the option to renew the
agreement at the existing prices, terms and conditions for the period of July 1,
2008 through June 30, 2009 as indicated on the Bidder's Proposal page
submitted with that quote.
A new purchase order covering the period of July 1, 2008 through June 30,
2009 will be mailed to you in early July, 2008. Please note that this is the first
year of two years that a renewal option may be exercised.

Municipalities are EXEMPT from Federal Excise Taxes and prices quoted are to EXCLUDE Federal taxes. EXEMPTION
CERTIFICATES will be furnished upon request.
Unless otherwise indicated, prices will be considered to EXCLUDE STATE AND CITY SALES OR USE TAX, which is payable
by the City. In the event, unit prices and the total amount stated by the bidder for an item are not in agreement, then the unit price
alone will be considered as representing the bidder's intention, and the total will be corrected to conform thereto.
The Internal Revenue code requires us to issue Form 1099 for certain payments made to Payees other than Corporation. For each
failure to furnish a TAXPAYER IDENTIFICATION NUMBER COULD RESULT IN A $50.00 PENALTY BEING ASSESSED
by IRS. In addition, we will be required to withhold 20 percent from payments subject to 1099 Reporting, if you fail to furnish us
your IDENTIFICATION NUMBER.
The City Reserves the right to reject any or all quotations, to waive any technicalities and informalities, and to accept or reject all
or any part of this quotation at prices shown.
Unless otherwise indicated, prices quoted herein are considered FIRM and shall remain open and not be withdrawn for a period of
sixty (60) days after the due date.
ALL EQUIPMENT AND/OR MATERIAL REFERRED TO IN THIS QUOTATION. SHALL IN ALL RESPECTS BE IN
FULL COMPLIANCE WITH ALL CAL /OSHA SAFETY AND HEALTH ORDERS.
Return this quotation form whether you quote or not. Retain a copy for your file. Extra copies of this quotation will be made
available upon request. .
Any bidder wishing to bid recycled material is encouraged to do so as an option to this bid.
When bidding "or approved equal'. items, bidder must state complete make, model or product number of alternate being bid.
Bidder must also submit with the bid complete descriptive literature on item(s) being bid. Failure to identify product or submit
literature with your bid may disqualify your bid.
All businesses doing work in the City of Arcadia should verify with the License Office if they are required to be registered for and
pay the Arcadia Business Tax.
Successful bidder shall be required to furnish Certificate of Insurance and Endorsement naming the City of Arcadia, its officers;
officials, employees and agents as additional insured on all installation quotations. If insurance is required, it will be stipulated on
the quotation request form or in the detailed specifications and copy of the City's insurance requirements will be attached to the
quotation request.
Failure to provide all information on this quotation request form or on any attachments to this quotation request may result in
disqualification of the bid.
Return your response in the enclosed envelope provided with this quotation request or clearly mark the outside of your envelope
with the quotation request number and the due date.
On construction quotes, Contractor shall verify that all materials used on the site are free of asbestos containing materials and any
materials specified that do contain asbestos will be brought to the attention of the City representative for review and selection of a
substitute product.
This request for bid, when returned to the City as an offer for material and/or services will constitute the full agreement between
the City and Vendor if a purchase order is awarded. Any changes to the attached documents for proposal must be made at the
time the bid is submitted. Any changes and/or amendments to this agreement presented after the successful vendor receives a
purchase order will not be accepted. Unless the City includes a stipulation for a separate agreement to be executed, the City will
not execute any other agreement in conjunction with this quotation request or the purchase order.

GENERAL CONDITIONS
BACKGROUND:
The City of Arcadia Recreation and Community Services Department has operated a Day
Camp program at Wilderness Park, 2240 Highland Oaks Drive, Arcadia for over 40 years.
During these years the program has grown in terms of the number of weeks camp offered and —
the number of campers attending. The City also has a Sports Camp program for three weeks
each summer at the Arcadia High School Campus, 180 Campus Drive, Arcadia. In addition
the department sponsors weekly family excursions eight weeks in the summer and at various
other times of the year.
SCOPE OF SERVICES:
The City of Arcadia is seeking proposals for bus services on an annual basis. This quotation
request will cover the period July 1, 2007 — June 30, 2008 for summer day camp, summer
sports camp and Southern California family excursion transportation at various times during
the year.
These services will be required for Day Camp, Sports Camp and Family Excursions and all
will require separate busses as explained below. Day Camp and Sports Camps are held
Monday through Friday and Family Excursions are mostly on Fridays. The City requires two
to four (2 -4) busses per day, Monday through Thursday and three to six (3 -6) busses on
Fridays. Attached is a draft of the Day Camp, Sports Camp and Family Excursion schedules
for your information. It is your responsibility to familiarize yourself with these schedules
prior to submitting your bid.
SUCCESSFUL BIDDER'S RESPONSIBILITY:
It is extremely important that the successful vendor be at the specified location promptly at
the time specified in the schedules. All busses need to be clearly identified via a sign or
other appropriate media as "ARCADIA CAMP" busses. For example, some type of sign in
the curb side window of the bus or in the bottom right hand side of the windshield. Parents
and children need to know that the bus they are boarding is for the Arcadia Camps.
Successful vendor must provide certified drivers and vehicles in accordance with all local,
state and federal bus rules and regulations. By submitting a bid to the City, the vendor
certifies that he /she follows all applicable rules and regulations.
Successful vendor must be capable of understanding and/or have the knowledge to
understand complex route planning and follow- through. The City of Arcadia would prefer
school bus type busses rather than motor coach type. Air conditioning is not required.

Bus drivers must have radio contact with their base facility at all times. The base facility
must provide the radios as well as maintain contact with the driver at all times. The City- of
Arcadia would prefer to have the same drivers every day throughout all camps in order to
ensure consistency in routes, familiarity with routes and recognition of the drivers to the
parents and Arcadia staff. In the event a driver is ill or absent, the successful vendor must
provide a qualified replacement driver. The City will provide at least one staff member per
bus to ride each bus to assist with child supervision and route knowledge if necessary.
In the event any busses break down of become inoperable, successful vendor must be able to
provide a replacement bus within 30 minutes, including the need to refuel the busses. Busses
are to be refueled each morning to ensure enough fuel for entire route or make arrangements
for refueling when there are no passengers on the busses. Fuel and all associated
maintenance costs are the sole responsibility of the bus company and it's drivers.
DAY CAMP:
For the summer of 2007 there will be nine (9) weeks of Day Camp serving up to 104 campers
per week. The camp accepts children entering I" through 6`h grades. The camp operates at
Wilderness Park, Monday through Friday from June 18 through August 17, 2007 except for
July 4, 2007. It is anticipated that the 2008 schedule will be similar to that listed for 2007.
Day Camp will require two busses per day, each following their own fixed route with fixed
stops that must follow a time schedule.. Campers are to be picked up between 8:53 and 9:30
a.m. and returned home between 3:00 and 3:35 p.m. On Tuesday and Thursday afternoons
the Day Camp children will go to the Arcadia High School pool from Wilderness Park at
approximately 12:30 p.m. After swimming the children will need to be transported back to
the original stops they were picked up from during the morning route. Please note that the
Tuesday and Thursday return times are the opposite the rest of the week, as departure is from
Arcadia High School. See "Exhibit 1" attached.
Each week, at Day Camp there will be one excursion to an off site location. Day Camp
excursions are noted on the attached Sheet "Exhibit 3 ".

SPORTS CANIP:
For the 2007 summer season there will be three (3) weeks of Sports Camp serving up to 96
campers per week. One sports camp will accept children entering I" through 4th grades and
two of the sports camps will accept children entering 5`h through 9`h grades. The three camps
operate Nlonday through Friday, July 30- August 170 at Arcadia High School. It is
anticipated that the schedule in the future years will be similar to what is noted for 2007.
Sports Camp will typically require only one bus, however if enrollment exceeds 82 campers
two busses wilt be required. If two busses are required the route will be split accordingly as
mutually agreed upon with City staff. Sports Camp busses pick up campers between 8:34
a.m. and 9:30 a.m. following a fixed route and transport campers to the same stops between
3:00 p.m. and 3:45 p.m. See "Exhibit 2" attached.
Sports camp has two excursions per week, one on Tuesday and one on Friday. Each of the
off -site excursions (Exhibit 3) will require two busses.
FAMILY EXCURSIONS
The City operates Family Excursions on eight (8) consecutive Fridays, June 22 through
August 10, 2007. Specific dates, times and locations are shown on the attached schedule,
"Exhibit 3 ". Family excursions at other times of the year will be to some of the same
locations. At least one bus will be required for each family excursion and many trips will
need two busses. If two busses are required, the City will give at least a forty -eight (48) hour
verbal notice to the vendor. Successful vendor will be required to submit the name and
phone number of a contact person who will be responsible for scheduling additional busses,
if any are needed.
Friday excursion times will vary departing between 9:00 a.m. and 12:00 p.m. and will return
between 2:30 p.m. and 8:00 p.m. as outlined in attached "Exhibit 3 ". Family excursions
leave from and return to Arcadia Community Center, 375 Campus Drive, Arcadia. The
number of participants for these excursions vary between 70 and 140. Busses are to report
by the check in time noted in attached "Exhibit 3 ".
PERIOD:
This agreement shall be for the annual period of approximately July 1, 2007 -June 30, 2008
with the option to renew on a year -by -year basis for a maximum of three (3) additional
seasons.

PARKING FEES:
Any /all bus parking fees that may be incurred during day camp, sports camp or excursions
will be paid by the City of Arcadia in £till.
NUMBER OF OCCUPANTS:
Throughout this contract the number of occupants typically varies between 82 and 104 for
camps and between 70 and 140 for excursions.
PRICES:
It shall be understood that the unit prices quoted herein are to remain firm for the entire term
of the agreement and any extended period, if any is offered.
INSURANCE:
Successful bidder will be required to furnish a Certificate of Insurance.
TER'MIINATION OF AGREEMENT:
The City of Arcadia desires the option of extending this agreement on a year -by -year basis.
If such option is exercised, the prices, terms and conditions quoted herein are to remain firm
for the extended period of the agreement. AGREEMENT OR EXCEPTION TO THIS
OPTION MUST BE SPECIFIED ON THE ATTACHED BIDDER'S PROPOSAL SHEET.
EXTENSION OF CONTRACT TO OTHER LOCAL AGENCIES:
The prices, temis and conditions of this bid may be extended to other govennnental agencies
at the mutual agreement of both the agency and the bidding vendor. All requirements of the
specifications, purchase orders, invoices and payments with other agencies would be handled
directly with the successful bidder. The City of Arcadia does not warrant any additional use
of the contract by such agencies. The bidder's response as requested on the Bidder's
Proposal Sheet will in no way affect the City of Arcadia's consideration of this bid.
Agreement or exception to this must be clearly noted on the Bidder's Proposal Sheet
attached.
TRANS PORTATION/IDENTIFICAITON:
The first day of each camp session, a City of Arcadia staff member, on each bus, will attach a
colored plastic identification band on the child's wrist. This band will identify the child's
bus and bus stop. The band should be left on the child's wrist for the week's duration. In the
event the band was removed or lost, city staff assigned to that bus will have a list of the
names of the children riding that particular bus and staff will provide replacement
wristbands.

DROP OFF OF CHILDREN:
On occasion and/or in the event a guardian/parent is not at the drop off location on the camp
bus route the child will be required to complete the remainder of the stops. Successful bus
company's driver must return with the child(ren) to the Arcadia Community Center, 375
Campus Drive, Arcadia for City staff to contact guardian/parent. Bus driver can leave as soon
as child is released to recreation staff at the Community Center.

Wilderness Park. (Please note the different return time schedule.)
Day'Camp Hours • •
1) Day Camp Hours ore Monday through Friday (excluding July 4 ") 9:30 am to 3:00 pm:

2) Wilderness Park may be reached by going north on Santa Anita to Elkins, right on Elkins to Highland
Oaks, and left on Highland Oaks to the park entrance. Park address is 2240 N. Highland Oaks Dr.

assistance.
Transportation
3) Transportation by bus is included in the day camp fee. The complete list of bus stop pick -up and
drop -off times is included on the opposite side of this paper. WHEN DROPPING CHILDREN OFF
OR PICKING THEM UP PLEASE LEAVE PLENTY OF ROOM FOR THE BUS AT THE SPECIFIC
CORNER. CAMPERS SHOULD BE AT THEIR BUS STOP 10 MINUTES PRIOR TO THE
DESIGNATED PICK -UP TIME. It is the responsibility of the parent to transport their child to
camp if the bus is missed. Campers will be returned to the some bus stop. Return times are
approximate and may vary 10 -20 minutes.
4) The first day of each camp session, the Counselors on each bus will attach a colored plastic
identification band on your child's wrist. This band will identify your child's bus and bus stop. The
band should be left on your child's wrist for the week's duration.
5) Campers not using bus transportation can be dropped of at Wilderness Park no earlier than 9:30 am
and picked up no later than 3:00 pm. These campers will also have a colored wristband indicating
that they are non -bus riders. The band should be left on your child's wrist for the week's duration.
6) If campers are to be released from our supervision during the day it is imperative that the
parent /guardian provide a note to the Camp Manager that morning indicating the camper's name the
time, and to whom the child should be released. YOUR CHILD MUST CHECK OUT WITH THE
CAMP MANAGER BEFORE THEY CAN BE RELEASED. This is for the safety of all participants.
Any participant not providing a note will be released in accordance with their regular pick up routine.
Lunch /Snack
7) Free milk will be provided each day with lunch.
8) Campers should bring a sack lunch every day except Friday when there will be a cookout and lunch
will be furnished. The lunch includes: an all -beef hot dog, a bag of chips, and fruit punch.
9) On the first day of each camp session a popsicle will furnished for the afternoon snack. Each week
a cooking activity is provided and homemade ice cream. will be made. For more information on the
ingredients used or food being prepared contact the Camp Manager. The staff requests that any
food allergies should be noted on the registration form /health record.
Swimming /Excursion
10) On Tues. and Thurs. of each week campers will be transported by bus to the Arcadia High School
Pool for swimming. Water games will be held in the park on Fridays. Campers should bring swimsuit
and towel on Tues., Thurs. and Fridays. If for some reason your child cannot swim on a particular
day, it is suggested that the child be picked -up either at Wilderness Park by 12:45 pm or at the
pool after 1:20 pm.
11) The Arcadia High School Swimming Pool is located on Duarte Rd. just east of the North Gym, next
to the tennis and basketball courts. The phone number is (626) 445 -3105.
12) Excursions have been planned for most day camp sessions. Campers must wear their camp t -shirt on
the day of the excursion. Trips are listed in the summer brochure and more specific information
can be obtained on the letter distributed each session.
Additional Information
13) Suggested suitable camp clothes: comfortable pants or shorts, camp t -shirt or blouse, athletic shoes
(no sandals), and sweatshirt if mornings are cool.

1. Juice will be served free each day with lunch. Campers should

served during morning break every day of sports camp.

t -shirt and tennis shoes. (No sandals or cleats.)
6. Be sure Health Record, included in the Camp Brochure, is
submitted to the Recreation Department prior to attending camp.
7. Campers will meet at the East end of the High School faculty
parking lot on Campus Drive at 9:30 a.m. daily.
8. Campers generally are taken on two excursions each week during
Sports Camp. This year, excursions are on Tuesday and
Friday.
