also obtained NSF certification on May 29,
2020.
It's listed on the NSF online list, so you can
check it. The attached sticker is also a

These Terms and Conditions("Agreement")for Services shall govern any and all current and future services,whether requested in writing,orally,electronically,or in any other form. No
other terms,conditions,or requirements—including those contained in any purchase order of CLIENT—shall apply.
1. This Agreement addresses both:(a)certification/registration/verification services("Certification Services");and(b)non-certification/registration/verification services such as testing,
audit,training and/or evaluation services("Non-Certification Services')(collectively Certification Services and Non-Certification Services shall be referred to as'Services"). The
specific Services,along with the pricing for such services,shall be set forth In a proposal/quotation or series of proposals/quotations issued by NSF from time-to-time(Proposal").
Each Proposal is incorporated by reference into this Agreement. This Agreement does not authorize or contemplate the provision of consulting services.
2. Terms and Conditions for Certification Services.
a. NSF is an independent,non-governmental,third party certifying organization. It does not guarantee or warranty any product,service or facility,and does not approve or verify
any product,service or facility. It does not assume,displace,or undertake to discharge any obligations or responsibilities of the CLIENT,product manufacturer or any other
party,including but not limited to those responsibilities and obligations arising horn the other certifications,registrations,verifications and/or standards incorporated into the
documents set forth in paragraph 2.b of this Agreement NSF also does not review or evaluate every product,service or facility,but instead follows the protocols set forth in the
materials described in paragraph 2.b of this Agreement Certified product(s)are any goods,equipment,component(s),system(s),service(s),material(s),compound(s),or
ingredient(s)that have been specifically authorized by NSF for Certification and use of an NSF Certification Mark("Mark"). Certified facility or facilities are the facilities that
have been specifically authorized by NSF for Certification and,if applicable,the limited use of a Mark as more fully described In the Policies(defined below).The terms
°Certification"and°Certified"are synonymous with the terms'Listing"or'Listed."
b. CLIENT hereby certifies and represents that it has received,read,and shall abide by the Certification standards,protocols,or criteria(hereinafter called"the Standard(s)")and
Certification policies,guidelines,and accreditation body requirements'(hereinafter called"the Policies"). The Standard(s)and Policies shall be that which NSF may list in any
written notice to CLIENT,which list may be amended from time to time. CLIENT expressly agrees that it will supply NSF with any information needed for evaluation of the
products to be Certified. CLIENT represents and warrants that,to the best of its information and knowledge,the information given to NSF for purposes of Certification is true,
accurate,and complete. CLIENT acknowledges that the ability of NSF to perform Services in the timeframe set forth in any Proposal is contingent upon CLIENT's provision to
NSF of timely information.NSF's time of performance will be increased,day-for-day to match any delay caused by:(a)failure by CLIENT to submit the required information by
the dates set forth in the Proposal;(b)a special request by CLIENT;or(c)CLIENT's failure to provide access to any of its facilities as called for by any Proposal.CLIENT
assumes sole responsibility for the truth,accuracy,and completeness of such information,including,but not limited to,information about the products or product names for
which CLIENT requests Certification.
c. Upon determination by NSF that the evaluated products comply with the applicable requirements of the materials referenced in paragraph 2.b of this Agreement,and upon
execution of This Agreement and payment of the annual Certification fee and other outstanding fees,NSF agrees to authorize the CLIENT for Certification and use of the Mark
on CLIENT's Certified products.
d. CLIENT expressly acknowledges and agrees that execution of this Agreement,of and by itself,is not authorization of Certification or to use the Mark. In accordance with the
materials referenced in paragraph 2.b of this Agreement,NSF will notify CLIENT in writing if NSF issues Certification and authorization to use the Mark.
e. CLIENT hereby certifies and represents that if authorized to use the Mark,the Mark will be placed only on products fully complying at all time with all Standards,Policies,and
NSF requirements. CLIENT shall comply with all requirements of NSF concerning use of Marks and claims on packaging and/or advertising,including those requirements as
set forth in paragraph 2.b of this Agreement CLIENT shall implement changes when communicated by NSF. CLIENT shall make all necessary arrangements for:(i)the
conduct of evaluation and surveillance(if required)by NSF,including provision for examining documentation and records,and accesses to relevant equipment,locations,areas,
personnel,and CLIENT'S subcontractors;(ii)investigation of complaints;and(fit)the participation of observers as may be required by the Standards or NSF's accreditation
bodies. CLIENT further certifies and represents that it will abide by all NSF requirements,as specified in the materials referenced in paragraph 2.b of this Agreement
f. It is understood and agreed that the materials referenced in paragraph 2.b of this Agreement shall be periodically revised. Any revision shall be announced by NSF by written
notice to CLIENT. Upon receipt of notice of any applicable revision,CLIENT agrees that it will abide by the announced revision;or,at its option,CLIENT may terminate this
Agreement In accordance with the provisions of this Agreement.
I For Certification Services applicable to Canada,CLIENT acknowledges and agrees that Standards Council of Canada,SCC Requirements and Guidance—Product Process and
Service Certification Body Accreditation Program(all as may be amended from time to time)apply.

g. CLIENT agrees that its use of the Mark is its representation that its products are Certified by NSF and comply with all NSF requirements. CLIENT assumes full and complete
responsibility for its use of the Mark or other representation that its products are Certified. CLIENT agrees that it will make claims regarding Certification only in respect to the
scope for which Certification has been granted. CLIENT shall not(i)use its Certification in any manner that brings NSF into disrepute;(ii)make any statement concerning its
Certification that is misleading or unauthorized by NSF;or(iii)use in any misleading manner any Certification certificate or report related to Certification. NSF assumes no
liability,and CLIENT shall be solely responsible,for any claims arising from the CLIENT's misuse of the Mark or misrepresentation of the Certification status of its products,or
failure at all times to comply with the materials referenced in paragraph 2.b of this Agreement.
h. It is understood and agreed that the Mark on a product and its Certification are invalid if,as determined by NSF,the product has been altered or has been represented as being
Certified for any purpose or end use other than that Certified by NSF. If CLIENT provides to third parties copies of the relevant test reports,evaluation reports,and/or certificates
of certification to third parties,it must produce such documents in their entirety or as otherwise set forth in the documents referenced in paragraph 2.b of this Agreement In
making reference to its Certification in communications media such as documents,website,brochures or advertising,CLIENT shall comply with all requirements of NSF,
including those referenced in paragraph 2.b of this Agreement
i. CLIENT shall maintain records of all complaints regarding Certified products,make such records available to NSF when requested,take appropriate action with respect to any
complaints and any deficiencies found in products that affect compliance with the requirements for Certification and document all such actions. CLIENT shall inform NSF,
without delay,of any changes that may affect its ability to conform to the Standards,Policies,or requirements of NSF. For products subject to Canadian law,CLIENT shall
notify NSF of any situation where a Certified product of CLIENT could lead to a potential hazard.
j. Certification Services may include,but are not limited to audit,laboratory testing,toxicological review,and initial Listing activities. All quotes for such Certification Services
(including those in a Proposal)are estimates and do not include the'cost of retesting in the event of a product failure during the initial Certification. Before NSF begins
Certification Services,CLIENT shall provide NSF the non-refundable application fee or project deposit as set forth in a Proposal.
k. Unless terminated by a party,this Agreement for Certification Services shall continue in effect from year to year. CLIENT shall notify NSF by December 30 if it wishes to cancel
the Agreement for the next year. If NSF has not received such notice in writing by December 30,CLIENT shall make payment of the required annual fees by January 31. If
any annual fee or any other fee is not paid when due,and such failure shall continue for a period of sixty(60)days after written notice of discontinued Listing services,then this
Agreement for Certification Services shall be deemed irrevocably terminated without further notice.
I. After termination of this Agreement for any reason or withdrawal of Certification and/or use of the Mark,CLIENT agrees to immediately discontinue all use of the Mark and shall
promptly confirm,in writing,to NSF that CLIENT has discontinued use of the Mark on its products and/or in its literature and advertising. CLIENT further agrees that,upon
termination of the Agreement for any reason,it shall surrender,efface,or otherwise dispose of,in a manner acceptable to NSF,any unused Marks and data labels,dies,molds,
stencils,marking devices,literature,advertisement,or other information bearing the Mark or referencing NSF Certification. CLIENT agrees to allow NSF reasonable access to
CLIENT's facilities to conduct inspections to verify conformance, CLIENT agrees that NSF's remedies at law to enforce the provisions of this paragraph are inadequate and
that accordingly NSF shall be entitled to and CLIENT agrees to the entry of an order in any court of competent jurisdiction specifically enforcing the provisions of this paragraph.
In the event CLIENT shall become a debtor in any insolvency or bankruptcy proceeding(whether under the laws of the United States of America or the laws of any other country,
territory or jurisdiction)after termination of this Agreement,the CLIENT agrees and stipulates that NSF shall be entitled to relief from any applicable stay,order or injunction to
immediately pursue enforcement of this paragraph under applicable law.
m. In connection with determining whether initial Certification is warranted and/or as to any re-Certification,NSF agrees to provide CLIENT written notice of nonconformance with
any NSF requirement. NSF reserves the right to withdraw authorization for Certification and use of the Mark for any product,at any time,for CLIENT's failure to correct the
nonconformance within a reasonable time,
3. Terms and Conditions for Non-Certification Services.
a. CLIENT represents and warrants that,to the best of its information and knowledge,the information given to NSF for purposes of Non-Certification Services is true,accurate,
and complete. CLIENT expressly agrees that it wit supply NSF with any information needed for completion of Non-Certification Services. CLIENT assumes sole responsibility
for the truth,accuracy,and completeness of such information.CLIENT acknowledges that the ability of NSF to perform Services in the timeframe set forth in any Proposal is
contingent upon CLIENT's provision to NSF of timely information.NSF's'time of performance will be increased,day-for-day to match any delay caused by:(a)failure by CLIENT
to submit the required information by the dates set forth in the Proposal;(b)a special request by CLIENT;or(c)CLIENT's failure to provide access to any of its facilities as
called for by any Proposal.
b. The Non-Certification Services and the results and the reports developed as a result of the Non-Certification Services do not constitute certification or registration by NSF.
CLIENT's actual or implied use of NSF's name and/or NSF's trademark,service mark,or certification mark("Marks)Is prohibited except with NSF's specificwritten authorization.
c. For Non-Certification Services related to GMP(*GMP Services"),CLIENT acknowledges that regulatory enforcement related to GMP is ever evolving/changing and therefore
unpredictable. In providing such GMP Services,NSF does not guarantee,warranty,verify and/or approve any product,system,facility or service. NSF's GMP Services are
limited in scope and only are for CLIENT's internal use in evaluating and establishing its own procedures or requirements for GMP compliance. NSF assumes no liability,and
CLIENT shall be solely responsible,for any claims arising from the CLIENT's use,sale,offer for sale,and/or distribution of any product,service or system,for any condition on
or related to CLIENT's facilities,and/or for any CLIENT statement or representation related to GMP or GMP compliance.
d. Where CLIENT requests Non-Certification Services for purposes of compliance with or conformity to retailer/vendor supply chain requirements(including but not limited to
requirements related to GMP),CLIENT expressly authorizes NSF to communicate with and disclose to the retailer(s)the details concerning the Non-Certification Services and
the results of the Non-Certification Services,including providing any report(s)to the retailer(s).
4. General Terms and Conditions for All Services.
a. Payment term on all invoices is NET 30 days. NSF reserves the right to impose a finance charge for late invoices,computed by application of the periodic rate of 1%per month
- (12%per annum)to the previous month's balance after deduction of payments made since the previous statement date.
b. NSF has the right,in its sole discretion,to utilize subcontractors,including subcontract laboratories,to perform some or all of the Services. When a subcontractor is used,for
proprietary reasons NSF reserves the right not to identify the subcontractor in the Report,but shall provide this information to CLIENT if requested.
c. The term°Report"or"Reports"includes data,findings,and any other information included in an NSF assessment,evaluation,or testing activity whether such information Is in
preliminary or final form. The Reports will set forth in writing the findings of NSF solely with respect to the products,facilities or matters identified therein. The Reports will

reflect the findings of NSF at the time Services are performed and based on the information provided to NSF. Unless otherwise set forth in a Proposal,the results of evaluations
and the Reports developed as a result of the Services are for internal use only. Only Reports obtained directly from NSF are considered to be authorized Reports.Only
authorized Reports in their entirety may be distributed by CLIENT upon prior written approval from NSF. Any unauthorized publication or other unauthorized use of Reports is
prohibited. If so authorized,a date of expiration and conditions relating to the use of the Report may be established by NSF and will be Indicated in the Report, NSF may from
time to time provide CLIENT with preliminary Reports,which preliminary Reports are subject to change.NSF owns all NSF Property.CLIENT may provide suggestions/feedback
which NSF may use without any obligation to CLIENT.
d. CLIENT acknowledges that NSF holds various accreditations that require review,audit,and inspections by accreditation and oversight bodies. CLIENT agrees that such
accreditation/oversight bodies may review,witness,and analyze any Services and the associated data,information and Reports for the Services,whether at the premises of
CLIENT,NSF,or elsewhere. To the extent required by such accreditation/oversight bodies with respect to the particular Services provided to CLIENT,CLIENT expressly
consents that NSF may disclose to third parties the information about CLIENT or CLIENT's products or services as directed by such accreditation/oversight bodies.
e. CLIENT agrees to assume all risks of loss or damage of any kind to products,equipment,or materials placed with NSF under the terms of this Agreement,whether such loss
or damage results from fire,vandalism,strikes,Acts of God,negligence or other agencies. CLIENT shall be solely responsible for,and assumes all risk of property damage,
personal injury(including death),or other damages of any kind arising out of or relating to: (i)the use,misuse,sale,resale,and/or distribution of any of its products or related
services,whether or not Certified,reviewed,audited,or otherwise evaluated by NSF;(it)the failure to comply with,or violation of,all applicable laws,rules,codes,regulations
and industry practices relating to CLIENT's products,services,or facilities;(iii)any of CLIENT's negligent acts or omissions,or its willful misconduct;(iv)actual or alleged
violation or infringement of the intellectual property rights of a third party;and(v)any matters covered by this paragraph 4.e.of the Agreement.
f. CLIENT is solely responsible for providing all warnings,instructions,and notices of any kind(including but not limited to those related to safety)to governmental/regulatory
agencies and to the general public. NSF does not assume any responsibility for any conditions that may present a danger,either potential or real,to health,safety,or the
environment CLIENT agrees to notify any and all appropriate federal,state,and local authorities,as required by law,of the existence of any such potential or real danger,and
otherwise to disclose to all appropriate or affected individuals or entities,in a timely manner,any information(e.g.,safety labels or warnings)that may be necessary to prevent
any danger to health,safety,or the environment Such notification(including any safety labels or warnings),where applicable,shall be made in English and the official language
of the country. CLIENT agrees that,in the event NSF notifies CLIENT of any violation or unsafe condition,CLIENT will address that problem,will notify appropriate authorities
and will take full responsibility for the failure to notify appropriate authorities or otherwise address the problem.
g. CLIENT shall indemnify,defend and hold harmless NSF,its affiliates,successors and assigns and its and their respective directors,officers,employees,representatives and
agents(hereinafter referred to collectively as the'NSF Indemnified Persons')from,against and with respect to any and all demands,claims,complaints,actions or causes of
action,suits,proceedings,investigations,arbitrations,assessments,losses,damages,liabilities,costs and expenses(including,but not limited to,interest,penalties and
reasonable attorneys'fees and other costs)asserted or alleged against,imposed upon or incurred by such NSF Indemnified Persons,directly or indirectly,by reason of or
resulting from or in connection with:(i)the failure or alleged failure of CLIENT to comply with industry practices relating to CLIENT's products,facilities or processes,including
any failure or alleged failure to comply with any applicable law,rule,code or regulation;(ii)any matter covered by paragraphs 4.e,and 4.f.of this Agreement;(Hi)any use,
misuse,sale or resale of any products by CLIENT(or allegations thereof);(iv)any negligent acts or omissions of CLIENT(or allegations thereof);(v)CLIENT's willful misconduct
(or allegations thereof);(vi)any unauthorized use,misuse,infringement or misappropriation of NSF's name,Marks or Reports;(vii)any infringement or violation of the intellectual
property rights of a third party(or allegations thereof);and(viii)any material breach by CLIENT of this Agreement This paragraph 4.g.shall survive any and all terminations
of this Agreement
h. Where either party(°Discloser')provides the other("Recipient')with Confidential Information,it shall be held in strict confidence and shall not be disclosed or used for any
purpose other than as specifically authorized/provided in this Agreement without the prior written consent of the other party.Confidential Information shall not include information:
(i)which is or becomes public knowledge other than by a breach of this clause,(H)that is required to be disclosed by any applicable law,(Hi)that is obtained from a third party
without breach of an obligation of confidentiality and(Iv)which can be shown to have been independently developed by the parties by means other than through its access to
the Confidential Information.Unless prohibited by law,NSF agrees that it will notify CLIENT of a subpoena or government or court order requesting for production of confidential
business information covered by this Agreement. CLIENT will reimburse NSF for all reasonable expenses(including reasonable attorneys'fees)related to those proceedings
concerning CLIENT,its products or facilities and/or the Services. The term"Confidential Information°means:(a)NSF Property;(b)any confidential or proprietary information
or data provided by CLIENT to NSF to enable NSF to perform its obligations under the Agreement(c)the terms of the Agreement and Proposal;and(d)any information that
by its nature,Recipient knows or should know is confidential or proprietary,including Discloser business or technical information.The term"NSF Property"means the business
process,management and analytics technologies of NSF,including without limitation;(a)any algorithms,analyses,data,databases,documentation,formats,forecasts,
formulas,inventions,know-how,methodologies,processes,tools,trade secrets,and Services,and(b)any and all derivative works,enhancements,or other modifications to
any or resulting from any of the above.
i. Each party agrees that:(a)when NSF processes personal data(including sensitive personal data)within CLIENT data,CLIENT shall be the data controller and NSF shall be
the data processor;and(b)when the CLIENT processes personal data(including sensitive personal data)provided to it by or on behalf of NSF then(unless otherwise agreed),
NSF shall be the data controller and CLIENT shall be the data processor.Each of the parties hereby agrees that where NSF's services will require NSF to process personal
data originating in the EU,NSF's Data Processing Addendum("Data Processing Addendum')will be annexed to this Agreement and shall form an integral part of this Agreement.
The parties agree and acknowledge that they will comply with applicable data protection laws relating to personal data(including sensitive personal data)and that whenever
NSF processes personal data on behalf of CLIENT,such processing shall be carried out subject to and in accordance with the terms of the Data Processing Addendum,When
acting as a data controller under this clause 4(i),each party agrees to obtain all necessary,specific,informed and unambigious consents from affected data subjects to the
processing of their personal data(including sensitive personal data)by the data processor.Without prejudice to its other obligations under this clause 4t'),NSF shall not permit
any personal data provided by or on behalf of the Client to a member of the NSF group to be transferred outside of the European Economic Area unless:(a)the data importer
and CLIENT are both parties to a data transfer agreement on the basis of a valid adequacy decision by the European Commission(such as the terms of the Model Contract
for the transfer of personal data to third countries(Commission Decision 201087/EU));and(b)the transfer is made pursuant to the data transfer contract referred to in clause
4(i)(a).The terms personal data,sensitive personal data,data subject,data controller and data processor shall have the meanings given to them in the current applicable data
protection regulations.
j. NSF warrants and represents that it shall perform Services in a reasonable and workmanlike manner.NSF makes no other representations or warranties,whether express or
implied,with regard to its obligations hereunder or the merchantability or fitness of any goods or products for a particular purpose. NSF shall have no liability to CLIENT or to
any third party with respect to its obligations under this Agreement or otherwise for consequential,exemplary,special,incidental,or punitive damages even if NSF has been
advised of the possibility of such damages. In any event,NSF's entire liability shall be limited to twenty(20)percent of the amount actually paid to NSF by CLIENT under this
Agreement during the twelve(12)month period preceding the date of such claim or matter.This limitation applies to all claims in the aggregate,including,without limitation,
claims based on breath of contract,breach of warranty,professional negligence,strict liability,misrepresentations,and any other torts or claims.
k. Either party may terminate this Agreement for any reason upon thirty(30)days written notice. Either party may terminate this Agreement for breach by a party of its obligations
or undertakings under this Agreement upon ten(10)days written notice. Termination of this Agreement by whatever manner or means and on whatever ground shall not affect

the liability of the parties at the date of such termination. Payment shall be made for all work performed until the effective date of termination unless otherwise agreed to in
writing,and for any additional costs necessary to terminate Services.
I. Any delay in the performance of either party's obligations hereunder will not be considered a breach of this Agreement if such delay is caused by Acts of God(including but not
limited to environmental conditions arising from extreme weather events),natural disaster,war,terrorism,riot,crime or criminal activity(including but not limited to crime or
criminal activity in an affected area that create or make for unsafe conditions),civil unrest,national emergency,labor disputes,shortage of material,fire,earthquake,flood,
government restrictions,or any other event beyond the reasonable control of a party provided that the party uses reasonable efforts,under the circumstances,to notify the
other party of the event(s)causing such delay and to resume performance as soon as reasonably practicable following abatement or cessation of the event causing the
delay. Nothing in the foregoing sentence or otherwise shall prevent or hinder a party exercising its termination rights in this Agreement or as provided by applicable law.
m. NSF may offer CLIENT access to'NSF Connect",a client portal,the web address of which is http://clients.nsf.org. CLIENT acknowledges that NSF Connect may contain
CLIENT's confidential,proprietary or sensitive information,including but not limited to CLIENT's product formulations,if applicable. If CLIENT does NOT wish to have access
to its product formulations through NSF Connect,please provide written notification,including electronic notice,subject tine"NSF Connect Notification"to certrec@nsf.org.
Access to NSF Connect by CLIENT is limited to CLIENT's authorized representative(s).CLIENT's access to and use of NSF Connect is subject td the NSF Connect User
Access License("Access License")which is published on NSF Connect. Use of NSF Connect constitutes agreement to the Access License by CLIENT,its employees and
anyone else accessing NSF Connect NSF may change any of the terms or conditions of the Access License at any time and from time to time by publishing the amended
Access License on the NSF Connect website and may change or redirect the web address to a new web address. After publication of changes to the Access License on NSF
Connect or redirection of the web address,use of NSF Connect constitutes agreement to the changed Access License by CLIENT,its employees and anyone else accessing
NSF Connect.
CLIENT is solely responsible for maintaining the confidentiality of CLIENT'S usemame(s)and password(s),monitoring the appropriate use of NSF Connect by CLIENT and for
restricting access of NSF Connect to CLIENT's computers by CLIENT's authorized representative(s). CLIENT accepts sole responsibility for all activities that occur under
CLIENT's usemame(s)and password(s). NSF is not liable for any loss that CLIENT may incur as a result of someone else using or having access to CLIENT's usemame(s)
and password(s),either with or without CLIENT'S knowledge.CLIENT may request a change in a usemame and password at any time. NSF may from time to time notify
CLIENT that it is appropriate to change CLIENT's usemame(s)or password(s),but NSF disclaims any,responsibility for giving any such notice.
n. Any legal action by NSF or CLIENT,or by any person or party claiming any right or seeking to avoid any obligation under the Agreement,or otherwise relating in any way to
the Agreement,shall be brought and maintained exclusively in the United States District Court for the Eastern District of Michigan if it has subject matter jurisdiction,and
otherwise in a district or circuit court in the State of Michigan as determined by the venue statutes of the State of Michigan. The parties consent to personal jurisdiction and
venue in all such courts,and further agree not to seek to invoke the jurisdiction of any other courts. NSF and CLIENT expressly waive any and all rights to a trial by jury.
o. Notwithstanding any conflict of law provisions,this Agreement shall be interpreted in accordance with and governed by the laws of the State of Michigan.
p. This Agreement is for the benefit of the parties hereto and is not entered into for the benefit of any other person or entity.
q. The invalidity or unenforceability of any particular provision(s)of this Agreement and/or the materials/documents referenced herein shall not affect the other provisions.
r. This Agreement,each Proposal,the Access License,the Data Protection Addendum and data transfer agreement set forth in paragraph 4.i.(as applicable),and the materials
set forth in paragraph 2.b constitute the entire agreement between CLIENT and NSF with respect to the subject matter hereof and supersede all previous communications,
representations or agreements,whether oral or written,between the parties with respect to said subject matter. No modification will be binding upon either party unless it is
made in writing and is signed by duly authorized representatives of both parties. Any written modifications on this document are not acceptable and invalidate this Agreement.
