Home My WebLink AboutVaporooter Machine Rental AgreementMACHINE RENTAL AGREEMENT (Vaporooter Foaming Machine) This Agreement is by and between the City of Arcadia (Arcadia) and the City of Monrovia (Monrovia). WHEREAS, Arcadia has a Vaporooter Foaming Machine (Machine) that is generally in idle status; and, WHEREAS, Monrovia has a periodic need to utilize said Machine; and, WHEREAS, Arcadia can make the Machine availabie to Monrovia and Monrovia desires to pay a rental for its use. NOW, THEREFORE, the parties agree as follows: 1. USE. When Arcadia does not need the Machine, it shall be available for rental use by Monrovia. Monrovia shall use the Machine for the purpose of vaporooting of main line sewers. Under no circumstances shall the Machine be used for any purpose not consistent with the above. The Machine shall be returned to Arcadia upon request by Arcadia representatives. 2. RENTAL. The rental shall be at the rate of $34.75 per hour for use of the Machine, payable within thirty (30) days of receiving a statement for rental due from the City of Arcadia. There shall be no rental charge for storage of the Machine. 3. MAINTENANCE. The Machine shall be stored at the Monrovia City Yard. It shall be fully maintained and cared for on a daily basis, and safeguarded by Monrovia when in the possession of Monrovia. 4. TRAINING. Arcadia shall train Monrovia personnel who are responsible for the Machine. This training shall cost Monrovia $33.92 per hour of training to be paid within ten (10) days of the date of Arcadia's billing for this service. 5. DAMAGE AND LOSS RESPONSIBILITY. Monrovia shall be fully responsible for damage to the Machine while in their possession. This includes loss of the Machine due to damage or theft. Monrovia shall reimburse the City for any damages or loss arising out of their use and possession of the Machine. 6. HOLD HARMLESS/INSURANCE. Monrovia shall hold harmless, defend and indemnify Arcadia with reference to any claims, suits, liability, or losses arising out of or in any way related to Monrovia's use of the Machine pursuant to this Agreement including, but not limited to, transportation of the Machine, defects or malfunctions of the Machine itself and alleged negligence of Arcadia employees. This includes any claims, suits, losses, or liability alleged to arise out of the training provided by Arcadia pursuant to this Agreement. Monrovia shall name Arcadia as an additional insured covering their use of the Machine pursuant to Monrovia's liability insurance program and shall provide the appropriate proof of such coverage to the satisfaction of the Arcadia City Attorney as a condition precedent to Arcadia authorizing this Agreement.
