TO STATE THAT THE AGENCY IS FOR PURPOSES OF LAW
AN INCLUDED MUNICIPAL OPERATOR TO BE KNOWN
AS FOOTHILL TRANSIT
THIS AMENDMENT, dated 6' day of June 2000, is entered into between the COUNTY
OF LOS ANGELES, a political subdivision of the State of California, (the "County ") the
CITIES OF ARCADIA, AZUSA, BALDWIN PARK, BRADBURY, CLAREMONT,
COVINA, DIAMOND BAR, DUARTE, EL MONTE, GLENDORA, INDUSTRY,
IRWINDALE, LA PUENTE, LA VERNE, MONROVIA, POMONA, SAN DIMAS,
SOUTH EL MONTE, TEMPLE CITY, WALNUT AND WEST COVINA, each a
municipal corporation of the State of California (collectively referred to as "Cities"
herein).
WITNESSETH
WHEREAS, on December 2, 1987, the Los Angeles County Transportation
Commission ( "LACTC ") approved the establishment of a local transportation zone (the
"Zone ") within the Cities and County.
WHEREAS, by execution of a Joint Powers Agreement dated April 14, 1998, as
amended, the Cities and the County created a Joint Powers Agency (the "Agency") to
plan, contract for and operate transit services within the Zone.
WHEREAS, on July 24, 1991 the LACTC unanimously approved a motion
guaranteeing the Agency would be a local transit entity after its three -year demonstration
period;
WHEREAS, on September 25, 1995, the Los Angeles County Metropolitan
Transportation Authority, the successor agency to the LACTC, designated the Agency as
an Included Municipal Operator, as defined by the Public Utilities Code Section 99207,
effective July 1, 1996.
NOW, THEREFORE, the Joint Powers Agreement dated April 14, 1998 is hereby
amended to clarify that the Agency shall be known as Foothill Transit, which is an
included municipal operator under PUC Section 99207 and for all other purposes.
Furthermore, all references to the Agency as "Foothill Transit Zone" or "Zone" in
the Joint Powers Agreement shall be changed to "Foothill Transit."

SERVICE Consideration of the report and recommendation to approve fiscal year 2000 -2001
AGREEMENT agreement for services with the Arcadia Chamber of Commerce, and request for $50,000
(Arcadia for FY 2000 -2001.
Chamber of
Commerce — In response to Mayor Kovacic query Lee Shimmin, Chamber of Commerce President,
2000 -2001) provided a brief review of Chamber of Commerce accomplishments,' programs and
membership. With regard to the Chamber of Commerce newsletter, Mr. Penman stated
that the Chamber of Commerce provides a space in their newsletter for City use. The
City will start using the newsletter more regularly and on a monthly basis in order to
provide information to the 800 Chamber members.
It was MOVED by Councilmember Chandler, seconded by Councilmember Marshall and
CARRIED on roll call vote as follows to..AUTHORIZE the City Manager to EXECUTE the
fiscal year 2000 -2001 agreement for services with the Arcadia Chamber of Commerce,
and the request for funding in the amount of $50,000, subject to approval by the City
attorney as to form.

SERVICE Report and recommendation to authorize the City Manager to enter into an agreement
AGREEMENT with all City Management Services for school crossing guard services from July 1, 2000
(School to June 30, 2001.
Crossing Guard
7 -1 -2000 to Dave Hinig, Arcadia Police Chief, stated in part, that for over 40 years, the Arcadia Police
6 -30 -2001) Department has administered the crossing guard program on behalf of the City.
Currently there are 17 crossing guards who are compensated for working 3.5 hours per
day. After considerable study, the Department believes the City can save money and
provide better crossing guard coverage by contracting with an outside service provider.

The attached Amendment was presented to City Council on June 6, 2000, and approved
and authorized by Councilmembers Chandler, Chang, Marshall, Segal and Kovacic.
A document with original signatures was not completely executed following council
approval of the amendment, and therefore requires signatures for official filing with the
City Clerk.
Attached is a photocopy of the June 6, 2000, council minutes (Item 16n) verifying
approval of the amendment, and a copy of the partially executed document with Mr.
Deitsch's signature.

THIS AMENDMENT, dated the 18th day of Jun 1996, is

WHEREAS, the Foothill Transit Zone, a public entity, was formed on April 14, 1988 by
the execution of a Joint Powers Agreement; and
WHEREAS, the City of La Puente was not included as a member city in the original
Joint Powers Agreement; and
WHEREAS, the City of La Puente has requested to join the Foothill Transit Zone; and
WHEREAS, the member of the Foothill Transit Zone desire to include the City of La
Puente as a member of the Zone
amended to include the City of La Puente as a member of the Foothill Transit Zone, with all of
the rights, benefits, duties and obligations of a city member as fully described in the Joint
Powers Agreement and in the rules and regulations adopted pursuant to that agreement.

WHEREAS, the Foothill Transit Zone, a public entity, was formed on April 14, 1988 by

WHEREAS, the original language regarding limits requires clarification regarding terms
and appointment authority; and
WHEREAS, the Los Angeles County Transportation Commission became the Los
Angeles County Metropolitan Transportation Authority of 1993; and
Angeles County Metropolitan Transportation Authority of 1993; and
WHEREAS, it is the intent of the Zone to retain maximum flexibility in determining the
appointments of Board Secretary, Treasurer, and Controller; and
WHEREAS, the Foothill Transit Zone has grown and therefore requires increased
flexibility in determining its support options
NOW, THEREFORE, Section 3, subsections (C) and (D) of the Agreement are hereby
amended as follows:
Zone shall have an administrative entity, the Executive Board, composed of five
members of Zone at the time of their appointment to the Executive Board, each serving
in his /her individual capacity as a member of the Executive Board. One named
alternative may be selected for each Board member under rules which the Zone may
adopt. The Executive Board shall be called the "Zone Executive Board" (hereinafter
referred to as "Board ". One member of the Board shall be a County appointee. Four
members and their alternates shall be selected from the Zone members from the Cities
according to rules which Zone may adopt, provided that each such Board member and
each alternate shall at all times be an elected City Council member or Mayor of a
member city.
D. Secretary, Treasurer, Auditor and Counsel
The Board may appoint a Secretary of the Board. Subject to the restrictions contained
in Sections 6505.5 and 6505.6 of the California Government Code, the Board may
designate the treasurer and auditor of Zone or may appoint one of its officers to either
or both of such positions. Unless and until the Board makes a contrary designation or
appointment, the Executive Officer -Clerk of the Board of Supervisors shall be and act
as the Secretary of the Board, the County Auditor-Controller shall be and act as Zone,
and the County Auditor-Controller shall be and act as the Controller (Auditor) of the
Zone. The County Counsel shall, on request, advise the Board in connection with any
business relating to the Zone. The Board may employ inner counsel to represent the
Zone in any manner.
FURTHERMORE, all references to the Los Angeles County Transportation Commission
shall be changed to the Los Angeles County Metropolitan Transportation Authority.

That your Board direct the Chair to sign the enclosed
amendment to the Foothill Transit Zone Joint Exercise of
Powers Agreement (JPA) to grant the Foothill Executive Board
full authority to exercise the financing powers of the Zone
to the full extent allowable under applicable law.
In April of 1988, the County of Los Angeles signed a Joint
Exercise of Powers Agreement with 20 cities in the San Gabriel
Valley forming the Foothill Transit Zone. In April of 1991, the
Agreement was amended to include the newly incorporated City of
Diamond Bar.
The Agreement permits the Zone to issue bonds, notes and other
evidences of indebtedness, for specified purposes, upon the terms
and conditions as set forth in the Agreement. The proposed
amendment amends Section 11 of the Agreement so that the
Executive Board of the Zone may exercise the financing powers of
the Zone to the fullest extent allowed under applicable law
without the necessity of obtaining the consent of the County and
the Cities to each such exercise of financing powers.

has been executed by all of the cities that form the JPA. Please
forward an executed copy to each member City of the JPA, the
Auditor- Controller, the Department of Public Works, the Foothill

NOW THEREFORE, Section 11 of the Agreement is hereby amended
to read as follows:
"Section 11. BONDS.
"Zone may issue Bonds in order to finance acquisition
and construction of facilities and vehicles, or to finance
operations or any lawful activities of Zone, or for any
other purpose permitted under applicable law, including the
establishment of reserves and the payment of incidental
expenses. The term "Bonds" means any evidence of
indebtedness authorized by the Act or any other applicable
law now existing or hereafter enacted, including but not
limited to revenue bonds and notes, bond anticipation notes,
certificates of participation, lease purchase agreements or
other evidences of indebtedness. Zone may also issue
refunding bonds to refund any Bonds or other obligations of
Zone. Bonds may be issued from time to time in more than
one series, may be sold by competitive bidding or by private
sale, to the extent permitted by law, and shall not
constitute a debt, liability or obligation of Cities or
County or any of them. Any issuance of Bonds shall be
approved by a resolution of the Board and shall not be
subject to the approval or consent of County, Cities or any
other person or entity.
"The services of bond counsel, financing consultants
and other consultants and advisors may be used by Zone in
connection with the issuance and sale of Bonds. The fees
and expenses of such counsel, consultants and advisors may
be paid from the proceeds of the Bonds, and Cities or County
may be reimbursed from such proceeds for any portion of such
fees and expenses which it has paid prior to the issuance of
such Bonds.
"In connection with the issuance of Bonds, the Board
may approve such other contracts and arrangements, and take
such other actions, as may be permitted under any applicable
law, including but not limited to Chapters 5.5, 11 and 12 of
Division 6 of Title 1 of the California Government Code."

All other provisions of the Agreement shall remain unchanged
and in full effect.

AMENDMENT NUMBER TWO TO THE JOINT EXERCISE OF POWERS
AGREEMENT BETWEEN THE COUNTY OF LOS ANGELES,
THE CITIES OF ARCADIA, AZUSA, BALDWIN PARK,
BRADBURY, CLAREMONT, COVINA, DUARTE, EL MONTE,
GLENDORA, INDUSTRY, IRWINDALE,
LA VERNE, MONROVIA, POMONA, SAN DIMAS, SOUTH EL MONTE,
TEMPLE CITY,.WALNUT, WEST COVINA and
DIAMOND BAR TO CHANGE COUNTY REPRESENTATION
ON THE FOOTHILL TRANSIT ZONE
THIS AMENDMENT, dated the / 6-# - day of Avis
entered into between the COUNTY OF LOS ANGELES, a political
subdivision of the State of California, the CITIES OF ARCADIA,
AZUSA, BALDWIN PARK, BRADBURY, CLAREMONT, COVINA, DIAMOND BAR,
DUARTE, EL MONTE, GLENDORA, INDUSTRY, IRWINDALE, LA VERNE,
MONROVIA, POMONA, SAN DIMAS, SOUTH EL MONTE, TEMPLE CITY,
WALNUT, and WEST COVINA, each a municipal corporation of the
State of California, (collectively referred to as "Cities"
herein.)
WITNESSETH:
WHEREAS, the Foothill Transit Zone, a public entity,
was formed on April 14, 1988 by the execution of a Joint
Powers Agreement;
WHEREAS, the Foothill Transit Zone Joint Powers
Agreement provides for two of the Zone members to be appointed
by the Board of Supervisors of the County of Los Angeles;

WHEREAS, due to redistricting, the Foothill Transit Zone now
lies in three Supervisorial Districts;
WHEREAS, the members of the Foothill Transit Zone desire to
increase the representation appointed by the County of Los -
Angeles from two to three members;
NOW THEREFORE, Subsection B of Section 3 the Joint Powers
Agreement dated April 14, 1988, is hereby amended to read as
follows:
"B. Zone Members
Zone shall consist of one elected city council member
or mayor from each City and three members appointed by the Board
of Supervisors. Each City may also select an alternate who is
also an elected city council member or mayor from that City. No
person who receives the substance of his /her income from another
transit operating agency may sit on the Zone or Executive Board."
All other provisions of the Agreement shall remain unchanged
and in full effect.

IN WITNESS WHEREOF, the parties hereto have caused this Amendment
to be executed and attested by their proper officers thereunto
duly authorized, their official seals to be hereto affixed, as of
the date first above written.
