CITY OF ARCADIA, a municipal corporation in the County of
Los Angeles, hereinafter referred to as "CITY ", and the COUNTY OF
LOS ANGELES, a political subdivision of the State of California,
hereinafter referred to as "COUNTY ":
W I T N E S S E T H
WHEREAS, Foothill Boulevard is on the Highway Element of
CITY'S General Plan and on COUNTY'S Highway Plan; and
WHEREAS, COUNTY proposes to synchronize and upgrade the
traffic signals along Foothill Boulevard from Baldwin Avenue to

Shamrock Avenue, which work is hereinafter referred to as
"PROJECT "; and
WHEREAS, the intersections of Foothill Boulevard with 2nd
Avenue, lst Avenue /Highland Oaks Drive, Santa Anita Avenue and
Baldwin Avenue are entirely within CITY; and
WHEREAS, PROJECT is in the general interest of CITY, City of
Monrovia and COUNTY; and
WHEREAS, COUNTY is willing to perform the preliminary
engineering, administer the construction of PROJECT and finance
one -half of CITY'S share of the cost of PROJECT; and
WHEREAS, CITY is willing to finance one -half of CITY'S share
of the cost of PROJECT; and

THIS AGREEMENT, made and entered into by and between the
CITY OF ARCADIA, a municipal corporation in the County of
Los Angeles, hereinafter referred to as "CITY ", and the COUNTY OF
LOS ANGELES, a political subdivision of the State of California,
hereinafter referred to as "COUNTY ":

WHEREAS, Foothill Boulevard is on the Highway Element of
CITY'S General Plan and on COUNTY'S Highway Plan; and
WHEREAS, COUNTY proposes to synchronize and upgrade the
traffic signals along Foothill Boulevard from Baldwin Avenue to

Shamrock Avenue, which work is hereinafter referred to as
"PROJECT "; and
WHEREAS, the intersections of Foothill Boulevard with 2nd
Avenue, lst Avenue /Highland Oaks Drive, Santa Anita Avenue and
Baldwin Avenue are entirely within CITY; and
WHEREAS, PROJECT is in the general interest of CITY, City of
Monrovia and COUNTY; and
WHEREAS, COUNTY is willing to perform the preliminary
engineering, administer the construction of PROJECT and finance
one -half of CITY'S share of the cost of PROJECT; and
WHEREAS, CITY is willing to finance one -half of CITY'S share
of the cost of PROJECT; and
WHEREAS, the total cost of PROJECT is currently estimated to
be $220,000, with the City of Monrovia's estimated cost being
$30,000, COUNTY'S estimated cost being $110,000 and CITY'S
estimated cost being $80,000; and
WHEREAS, CITY will pay for its estimated cost of PROJECT by
utilizing its available 1989/90 Aid -to- Cities (ATC) allocation
credit in COUNTY'S Road Fund Budget; and
WHEREAS, CITY'S use of its 1989/90 ATC allocation to finance
its estimated cost of PROJECT is in compliance with the adopted
COUNTY policy regarding the use of ATC funds.
NOW, THEREFORE, in consideration of the mutual benefits to
be derived by CITY and COUNTY and of the premises herein
contained, it is hereby agreed as follows:
(1) CITY AGREES:
a. To finance 50 percent of the cost of the work at
the intersections of Foothill Boulevard with 2nd
Avenue, 1st Avenue /Highland Oaks Drive, Santa Anita
Avenue and Baldwin Avenue, based upon a final
accounting.
b. To use its available 1989/90 ATC allocation credit
in COUNTY'S Road Fund Budget to finance CITY'S cost
of PROJECT, currently estimated to be $80,000.

c. Upon completion of PROJECT to maintain in good
condition and at CITY expense all improvements
constructed as part of PROJECT within its
jurisdiction.
(2) COUNTY AGREES:
a. To perform the preliminary engineering for PROJECT.
b. To finance 50 percent of the cost of the work at
the intersections of Foothill Boulevard with
2nd Avenue, 1st Avenue /Highland Oaks Drive,
Santa Anita Avenue and Baldwin Avenue, based upon
a final accounting of PROJECT costs.
C. Before advertising for construction bids, to obtain
CITY'S approval of PROJECT plans.
d. To advertise PROJECT for construction bids, to
award and to administer the construction contract,
to do all things necessary and proper to complete
PROJECT, and to act on behalf of CITY in all
negotiations pertaining thereto.
e. As set forth herein, to accept CITY'S available
1989/90 ATC allocation credit in COUNTY'S Road Fund
Budget as payment of CITY'S estimated cost of
PROJECT.

f. To furnish CITY, within 120 days after final
acceptance of PROJECT and the Board of Supervisors'
approval of final payment to contractor, a final
accounting of the actual total cost of PROJECT
including itemization of actual unit costs and
actual quantities for PROJECT.
(3) IT IS MUTUALLY UNDERSTOOD AND AGREED AS FOLLOWS:
a. The cost of PROJECT, as referred to in this
Agreement, shall consist of the costs of
preliminary engineering, the construction contract,
required materials, COUNTY furnished material and
installation, detour and final signing and
striping, construction engineering and inspection,
construction survey, utility relocation,
administration, and all other work necessary to
construct PROJECT in accordance with the approved
plans, and shall include currently effective
percentages added to total salaries, wages and
equipment costs to cover overhead, administration
and depreciation in connection with any or all of
the aforementioned items.
b. The cost of preliminary engineering, as referred to
in this Agreement, shall consist of the costs of
environmental documentation, design survey, soils
report, traffic index and geometric investigation,

equipment testing, preparation of plans,
specifications and cost estimates, utility
engineering, right of way certification and all
other necessary work prior to advertising of
PROJECT for construction bids and shall include
currently effective percentages added to total
salaries, wages and equipment costs to cover
overhead, administration and depreciation in
connection with any and all of the aforementioned
items.
C. The cost of the construction contract, as referred
to in this Agreement, shall consist of the total of
all payments to the contractor for PROJECT.
d. The final accounting of the actual total cost of
PROJECT shall allocate to CITY its share of said
total cost on the basis of paragraph (1) a. above.
e. If, for some reason, CITY'S 1989/90 ATC allocation
credit is insufficient to finance CITY'S cost of
PROJECT, as set forth in paragraph (1) a., above,
CITY shall utilize its Federal -aid Urban credit,
previously assigned to COUNTY under Agreement
No. 64817 or shall deposit other CITY funds with
COUNTY, upon demand by COUNTY, so that when
combined with CITY'S available 1989/90 ATC
allocation credit, equals CITY'S cost of PROJECT.
f. This Agreement shall not take effect unless and
until COUNTY, pursuant to Section 1700 of the
Streets and Highways Code of the State of
California, declares the portion of Foothill
Boulevard between PROJECT limits within CITY and
the City of Monrovia to be a COUNTY highway for the
purpose of synchronizing the traffic signals
thereon and CITY and the City of Monrovia, pursuant
to Section 1701 of aforementioned Code, shall
consent to said street becoming a COUNTY highway
for said purpose.
g. Neither COUNTY nor any officer or employee of
COUNTY, shall be responsible for any damage or
liability occurring by reason of any acts or
omissions on the part of CITY under or in
connection with any work, authority or jurisdiction
delegated to CITY under this Agreement. It is also
understood and agreed that, pursuant to Government
Code, Section 895.4, CITY shall fully indemnify,
defend and hold COUNTY harmless from any liability
imposed for injury (as defined by Government Code,
Section 810.8) occurring by reason of any acts or
omissions on the part of CITY under or in
connection with any work, authority or jurisdiction
delegated to CITY under this Agreement.

h. Neither CITY nor any officer or employee of CITY,
shall be responsible for any damage or viability
occurring by reason of any acts or omissions on the
part of COUNTY under or in connection with any
work, authority or jurisdiction delegated to COUNTY
under this Agreement. It is also understood
and agreed that, pursuant to Government Code,
Section 895.4, COUNTY shall fully indemnify, defend
and hold CITY harmless from any liability imposed
for injury (as defined by Government Code,
Section 810.8) occurring by reason of any acts or
omissions on the part of COUNTY under or in
connection with any work, authority or jurisdiction
delegated to COUNTY under this Agreement.
i. It is understood and agreed that the provisions of
any previous Assumption of Liability Agreement
heretofore entered into between the parties hereto
are inapplicable to this Agreement.

Agreement to be executed by their respective officers, duly
authorized, by the CITY OF ARCADIA on 1992
and by the COUNTY OF LOS ANGELES on
