HomeMy WebLinkAboutItem 11d - Establishing By-Laws for Arcadia Health CommissionSTAFF REPORT RECREATION AND COMMUNITY SERVICES DEPARTMENT DATE: July 15, 2025 TO: Honorable Mayor and City Council FROM: Sara Somogyi, Recreation and Community Services Director By: Ashley Marston, Management Analyst SUBJECT: RESOLUTION NO. 7644 ESTABLISHING BY-LAWS FOR THE ARCADIA HEALTH COMMISSION CEQA: Not a Project Recommendation: Adopt SUMMARY The Arcadia Health Commission is the newest of the City’s eight Boards and Commissions that serve to advise the City Council on matters that impact the community. Adoption of Resolution No. 7644 will establish Arcadia Health Commission by-laws to align with Ordinance No. 2404, which formally established the Arcadia Health Commission per the Arcadia City Charter. It is recommended that the City Council adopt Resolution No. 7644, establishing by-laws for the Arcadia Health Commission. BACKGROUND On May 6, 2025, the City Council adopted Ordinance No. 2404 to establish the Arcadia Health Commission. The mission of the Arcadia Health Commission is to enhance health care education and access within the City by increasing the visibility of available services, and to act as a facilitator and convener for health care organizations in Arcadia. The Arcadia Health Commission facilitates health education to the community and provides an annual Citywide Health Fair, open to all residents. Resolution No. 7644 Establishing Arcadia Health Commission By-laws July 15, 2025 Page 2 of 3 The Arcadia Health Commission consists of seven members in total, with four members from local health care entities and three at-large members. The four members from local health care entities include a maximum of one representative from any of the following: USC Arcadia Hospital, Keck Medicine of USC, Kaiser Permanente, Children’s Hospital of Los Angeles, Huntington Health, and the City of Hope. The three at-large members are healthcare professionals that either live in the City (verified by address) or practice in the City (verified by business address). DISCUSSION To align with Ordinance No. 2404, by-laws for the Arcadia Health Commission must be established. The Arcadia Health Commission by-laws, attached hereto as Exhibit “A” of Resolution No. 7644, outline the operation of the Arcadia Health Commission, including details relating to its membership, officers, agenda, meetings, voting, and budget; the highlights of which are summarized below. Officers The Arcadia Health Commission will have two elected offices, Chairperson and Vice-Chairperson. The Chairperson shall preside at Commission meetings and operate as chief official. The Vice-Chairperson shall carry out the responsibilities of the Chairperson during the Chairperson’s absence. Meetings The Arcadia Health Commission will hold regular meetings on a quarterly basis on the first Wednesday of the month at 5:00 p.m., in the Recreation and Community Services Department Conference Room. Special Arcadia Health Commission meetings may be called at any time by the Staff Advisor, Chairperson, or by a majority of the Commission members. All meetings shall be open and public. Voting Action of the Commission requires the affirmative vote of a majority of members present at the meeting. Committees of less than a majority will only make recommendations. Resolution No. 7644 Establishing Arcadia Health Commission By-laws July 15, 2025 Page 3 of 3 ENVIRONMENTAL ANALYSIS The proposed action does not constitute a project under the California Environmental Quality Act (“CEQA”), as it can be seen with certainty that it will have no impact on the environment. FISCAL IMPACT The recommended action has no impact on the General Fund. RECOMMENDATION It is recommended that the City Council determine that this action does not constitute a project under the California Environmental Quality Act (“CEQA”); and adopt Resolution No. 7644 establishing by-laws for the Arcadia Health Commission. Attachment: Resolution No. 7644 1 RESOLUTION NO. 7644 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ARCADIA, CALIFORNIA, ESTABLISHING BY-LAWS FOR THE ARCADIA HEALTH COMMISSION WHEREAS, Article VIII of the City Charter authorizes the City Council to create commissions with powers and duties established by ordinance; and WHEREAS, the Arcadia Health Commission was established by Ordinance No. 2404 on May 6, 2025; and WHEREAS, the Arcadia Health Commission serves in an advisory capacity to the City Council on matters pertaining to health education and health care access in Arcadia; and WHEREAS, the Arcadia Health Commission by-laws must be established to align with Article VIII of the City Charter and Ordinance No. 2404; and NOW THEREFORE, THE CITY COUNCIL OF THE CITY OF ARCADIA, CALIFORNIA, DOES HEREBY FIND, DETERMINE AND RESOLVE AS FOLLOWS: SECTION 1. The Arcadia Health Commission by-laws attached hereto as Exhibit “A” are hereby adopted in their entirety and incorporated herein by reference. SECTION 2. The powers and duties of the Arcadia Health Commission, as set forth in the by-laws, are consistent with the City Charter. SECTION 3. Maurer City Attorney Exhibit “A” ARCADIA HEALTH COMMISSION BY-LAWS PURPOSES The purpose of the Arcadia Health Commission as established by the City Council are: A. Serve in an advisory capacity to the City Council on matters pertaining to health education and health care access in Arcadia. B. Provide health care education and a City Health Fair, open to all residents. C. Increase the visibility of health care related services in Arcadia. D. Serve as a facilitator and convener of health care entities in Arcadia. E. Showcase the abundance and availability of health care providers in Arcadia through City resources. F. Provide such other advice or reports as may be directed by the City Council, within the purview of the Arcadia Municipal Code and City Charter. ARTICLE I. MEMBERSHIP Section 1. Appointment by City Council. Pursuant to the ordinance of the City Council establishing the Health Commission, the members of the Commission shall be appointed by the City Council and shall be subject to removal by the City Council. Section 2. Applications. Nominees or prospective candidates shall submit written applications for membership on the Commission. ARTICLE II. OFFICERS A Chairperson and a Vice-Chairperson shall be elected annually as soon as practicable, following the first day of July of each year and shall serve at the pleasure of the members. The Commission shall fill vacant officer positions as soon as practicable. The Chairperson shall preside at Commission meetings and shall be the chief official of the Commission for all ceremonial purposes. The Vice-Chairperson shall carry out the responsibilities of the Chairperson during the Chairperson’s absence. A Staff Advisor shall be appointed by the Recreation and Community Services Director from the staff of the Recreation and Community Services Department. The Staff Advisor shall keep minutes of the meetings and submit all official documents to the City Clerk for filing. ARTICLE III. AGENDA An agenda shall be kept and published prior to meetings. It shall be prepared by the Chairperson with assistance of the Staff Advisor and meet all requirements of the Ralph M. Brown Act and the City Charter. ARTICLE IV. MEETINGS Section 1. Time and Place of Regular Meetings Health Commission meetings shall be held on a quarterly basis on the first Wednesday of the month at 5:00 p.m. in the Recreation and Community Services Department Conference Room. At any time a regular meeting falls on a holiday, it will not be rescheduled unless necessary. Section 2. Special Meeting. Call; Notice. A special Health Commission meeting may be called at any time by the Staff Advisor, Chairperson, or by a majority of the Commission members, by delivering personally or by mail or electronic mail written notice to each member of the Commission, the Staff Liaison, and to each local newspaper of general circulation requesting notice in writing. Such notice shall be delivered at least 24 hours before the time of such meeting as specified in the notice. The call and notice shall specify the time and place of the general meeting and the business to be transacted. No other business shall be considered at such meetings by the Commission. Section 3. Absence from Meetings. If a member is absent from three consecutive regular meetings of the Commission, unless by permission of the Commission expressed in its official minutes; is convicted of a crime involving moral turpitude; or files or causes to be filed nomination papers with the City Clerk for elective City office; their position on the Commission shall become vacant and shall be so declared by the City Council. Section 4. Open Meetings. In compliance with State law, all meetings of the Commission shall be open and public, and all persons shall be permitted to attend any meeting of the Commission. Section 5. Conduct of Members. The Commission may reprimand or recommend the removal of any member who engages in disorderly conduct at a Commission meeting or at any time while representing the Health Commission. Section 6. Participation by Representative of the Council. A representative from the City Council shall be entitled to participate in all deliberations of the Commission, but shall not have a vote. ARTICLE V. VOTING All action of the Commission shall require the affirmative vote of a majority of members present at the meeting. Committees of less than a majority of the Commission may make recommendations to the Commission. ARTICLE VI. BUDGET Preparation of the Commission’s annual budget shall commence prior to the first regular meeting in February. The budget shall include all estimated expenditures and revenues for the next fiscal year. Two copies of the budget shall be submitted to the City Manager on or before March 15. ARTICLE VII. AMENDMENTS These By-Laws may be amended by the Health Commission with approval by the City Council.
